यस एनएमबि बैंक लिमिटेडका संस्थापक शेयरधनी श्री तिला देवी पाण्डेले आफ्नो नाममा कायम रहेको ६९,४२४ कित्ता संस्थापक शेयर बिक्री गर्नका लागि संचालक समिति समक्ष निवेदन दिनु भएकोमा संस्थापक शेयर खरिद बिक्री गर्दा बैंकका अन्य विद्यमान संस्थापक शेयरधनीहरुलाई पहिलो प्राथमिकता दिनुपर्ने व्यवस्था भए बमोजिम संचालक समितिबाट सोही बमोजिम निर्णय भई संस्थापक शेयर खरिद गर्न ईच्छुक विद्यमान संस्थापक शेयरधनीहरुको जानकारीको लागि मिति २०८३/०१/१० गते कारोबार राष्ट्रिय दैनिक पत्रिकामा ३५ दिने सार्वजनिक सूचना प्रकाशित गरी खरिदकालागि निवेदन दिन सूचित गरिएकोमा उक्त समयावधिभित्र विद्यमान संस्थापक शेयरधनीहरुबाट शेयर खरिदकालागि कुनै आवेदन पेश हुन नआएको हुँदा नेपाल राष्ट्र बैंकबाट जारी गरिएको निर्देशनमा भएको व्यवस्था बमोजिम अन्य ईच्छुक व्यक्ति/संस्थाले समेत खरिद गर्न पाउने हुँदा उल्लेखित सम्पूर्ण शेयर खरिद गर्ने भएमा प्रस्तावित खरिद मूल्यका साथै नेपाल राष्ट्र बैंकबाट संस्थापक हुनकालागि तोकिएका आवश्यक कागजात तथा विवरणहरु समेत संलग्न गरी यो सूचना प्रकाशित भएको मितिले १५ दिनभित्र कम्पनी सचिवको कार्यालय, बबरमहल, काठमाडौंमा निवेदन पेश गर्न यो सूचना प्रकाशित गरिएको छ । शेयर खरिदको निवेदन प्राप्त भएपश्चात् बिक्रेता शेयरधनीसँग समन्वय गरी खरिदकर्ता र बिक्रीकर्ताको आपसी सहमति भए पश्चात् मात्र शेयर खरिद बिक्रीको प्रक्रिया अगाडि बढाईने व्यहोरा समेत यसै सूचना मार्फत जानकारी गराईन्छ ।

Promoter shareholder Ms. Tiladevi Pandey of NMB Bank Limited had submitted an application to the Board of Directors to sell ६९,४२४ units of promoter shares registered in her name. As per the arrangement to give first priority to other existing promoter shareholders of the bank during the sale and purchase of promoter shares, the Board of Directors decided accordingly. For the information of existing promoter shareholders interested in purchasing promoter shares, a public notice was published in a national daily newspaper on २०८३.०१.१० for ३५ days, inviting applications for purchase. However, no applications for share purchase were received from existing promoter shareholders within the specified period. Therefore, as per the provisions of the directive issued by Nepal Rastra Bank, other interested individuals/institutions can also purchase the shares. This notice is published to inform that if interested in purchasing all the aforementioned shares, an application along with the proposed purchase price and necessary documents and details specified by Nepal Rastra Bank for becoming a promoter shareholder must be submitted to the Company Secretary's office, Babarmahal, Kathmandu, within १५ days from the date of publication of this notice. It is also informed through this notice that after receiving the share purchase application, the share purchase and sale process will only proceed after coordination with the selling shareholder and mutual agreement between the buyer and seller.
