बुद्धभुमि नेपाल हाइड्रोपावर कम्पनी लिमिटेडको १ : १ को अनुपातमा हकप्रद शेयर बिक्री खुल्ला गरी आवेदन माग गरिएकोमा निर्धारित समयभित्र आवेदन नपरेकाले प्रचलित कानून तथा धितोपत्र निष्काशन तथा बाँडफाँड निर्देशिका, २०७४ को निर्देशन नं. १५ समेतको प्रावधानलाई आधार मानी उक्त निष्काशनकर्ता कम्पनीको सञ्चालक समितिको निर्णयअनुसार उक्त शेयर खरिद गर्न इच्छुक जो कोही व्यक्ति, कम्पनी, संघ, संस्थाहरुले मिति २०८३ साल जेष्ठ २९ गते भित्र देहाय बमोजिमको स्थानहरुमा आइपुग्ने गरी प्रति कित्ता के कति दर रेटमा लिन कबुल गर्ने हो तपसिलमा उल्लेखित शर्तहरुको अधिनमा रही गोप्य शिलबन्दी बोलपत्र आवेदन पेश गर्न आव्हान गरिन्छ।

शर्तहरुः
- बोलपत्र आवेदन फाराम माथि उल्लेखित संकलन केन्द्रहरुबाट रु.१००/- नगद भुक्तानी गरी प्राप्त गर्न सकिने छ। साथै माथि तोकिएका एन आई सी एशिया बैंक लिमिटेडका शाखा कार्यालयहरुबाट आवेदन दिन चाहने आवेदककर्ताहरुले सोही शाखाबाट बैंकको छाप लगाएको आवेदन फाराम खरिद गरी लिनुपर्नेछ। छाप नलगाएको आवेदन फारामलाई अयोग्य ठहरार्इ बाँडफाँडमा समावेश गरिने छैन।
- शेयरको न्यूनतम मूल्य प्रति शेयर रु.१००/- तोकिएको हुँदा सो वा सो भन्दा बढी मूल्य अंकित गरी बोलकबोल गर्नुपर्नेछ। साथै, बोलपत्र फाराम शिलबन्दी गरिएको हुनुपर्नेछ।
- बोलपत्र आवेदन फाराममा आफुले लिन चाहेको शेयर संख्या तथा प्रति कित्ता दर अंक र अक्षरमा स्पष्ट रुपमा लेख्नु पर्नेछ। अंक र अक्षरमा लेखेको फरक भएमा कम्पनीले अंकमा लेखेकोलाई मान्यता दिईने छैन। केरमेट भएको ठाउँमा दस्तखत गरी केरमेट भएकोलाई मात्र मान्यता दिईनेछ। केरमेट भई कबोल गरेको शेयर संख्या वा रकममा कुनै रकम नबुझिने गरी केरमेट भएकोलाई मान्यता दिईने छैन। साथै, आवेदन गर्ने कित्ता पूर्ण कित्तामा हुनुपर्नेछ।
- बोलपत्रदाताले बोलपत्रमा आफ्नो नाम, ठेगाना, टेलिफोन नम्बर तथा आफ्नो हितग्राही खाता नं. (Demat Account No.) लगायत बोलपत्र आवेदन फाराममा उल्लेखित सम्पूर्ण विवरण स्पष्ट रुपमा अनिवार्य उल्लेख गर्नुपर्नेछ।
- बोलपत्र पेश गर्दा न्यूनतम १०० कित्ताको लागि आवेदन दिनु पर्नेछ भने अधिकतम संख्याको लागि कुनै हद नभएकोले रु. ५ लाखसम्मको आवेदन दिनेले स्वेच्छिक रुपमा र रु. ५ लाख भन्दा बढी रकमको आवेदन दिनेले अनिवार्य रुपमा आफ्नो प्यान नं. (PAN) आवेदन फाराममा उल्लेख गर्नुपर्नेछ।
- बोलपत्रवालाले आफुले खरिद गर्न चाहेको सम्पूर्ण शेयर कित्ता बराबरको रकम NIC ASIA CAPITAL - BUDDHABHUMI को नाममा खिचिएको Good for Payment Cheque संलग्न गरी बोलपत्र पेश गर्नु पर्नेछ। आवेदकले पेश गरेको Good for Payment Cheque लाई NIC ASIA CAPITAL - BUDDHABHUMI को बैंक खातामा जम्मा हुने गरी Clearing गर्ने व्यवस्था मिलाईने छ। साथै, IPS मार्फत भुक्तानी गर्नेको हकमा तपसिल बमोजिमको बैंक खातामा रकम रकमान्तरण गरी सो को निस्सा बोलपत्र आवेदनसाथ संलग्न गर्नु पर्नेछ। Good for Payment गर्दा लाग्ने शुल्क तथा रु. २ लाखभन्दा बढी रकमको Good for Payment को चेक जम्मा गर्दाको चेक क्लियरीङ्ग शुल्क बापतको रकम आवेदक स्वयंले व्यहोर्नु पर्नेछ।

- शिलबन्दी बोलपत्र पेश गर्दा खाम बाहिर "बुद्धभुमि नेपाल हाइड्रोपावर कम्पनी लिमिटेडको शेयर खरिद आवेदन" र बोलपत्रदाताको नाम समेत उल्लेख भएको हुनु पर्नेछ। शिलबन्दी बोलपत्र लाहाछाप गरिएको हुनुपर्नेछ।
- बोलपत्र आवेदन मिति २०८३/०२/२९ गते बैंकिङ्ग समयभित्र यस निष्काशनका लागि तोकिएको संकलन केन्द्रहरुमा प्राप्त भई सक्नु पर्नेछ। कुनै शर्त राखी पेश गरेको वा रित नपुगेको वा म्याद नाघि आएको बोलपत्रलाई मान्यता दिईने छैन।
- बोलपत्र दाखिला गरिसकेपछि बोलपत्रमा कबोल गरेको शेयर संख्या वा रकममा कुनै हेरफेर गर्न वा बोलपत्र फिर्ता लिन सकिने छैन।
- प्राप्त बोलपत्रहरु तोकिएका संकलन केन्द्रहरुबाट बिक्री प्रबन्धकको कार्यालयमा प्राप्त भए पश्चात सार्वजनिक सूचना प्रकाशित गरी बोलपत्र खोलिने मिति, समय र स्थानको बारेमा जानकारी गराइने छ।
- उपत्यका बाहिरका संकलन केन्द्रहरुबाट संकलित आवेदनहरु कुरियर मार्फत पठाउनु पर्ने भएकोले कुनै कारणवश काबु बाहिरको परिस्थिति पर्न गई निष्काशन तथा बिक्री प्रबन्धकको कार्यालय समयमा प्राप्त हुन नसकेमा वा बीचमा नै नष्ट हुन गएमा नियामक निकायको राय सुझाव लिएर मात्र लिलाम बढाबढको आवश्यक प्रक्रिया अगाडी बढाईनेछ।
- प्राप्त बोलपत्रहरुमध्ये सबैभन्दा बढी बोलकबोल गर्ने आवेदकलाई शेयर बाँडफाँड गरिनेछ। यसबाट पनि शेयर बाँकी रहेमा त्यसपछिको बढी रकम कबोल गर्नेलाई क्रमशः बाँडफाँड गरिनेछ। बोलकबोलमा शेयर बिक्री गर्दै जाँदा एउटै मूल्यमा दुई वा दुई भन्दा बढी बोलपत्र आवेदनहरु पर्न गई बाँडफाँड हुन बाँकी शेयर भन्दा बढी माग भएमा माग गरेको शेयरको आधारमा समानुपातिक रुपमा बाँडफाँड गरिनेछ। यसरी समानुपातिक रुपमा बाँडफाँड गर्दा समेत केही शेयर बाँकी रहन गएमा निष्काशन कम्पनीको सञ्चालक समितिको निर्णयअनुसार हुनेछ।
- बोलपत्र आवेदनहरु मध्ये बाँडफाँडमा नपरेका आवेदकहरुको बोलकबोल बापत जम्मा भएको रकम धितोपत्र निष्काशन तथा बाँडफाँड निर्देशिका, २०७४ बमोजिम आवेदकले आवेदन फाराममा उल्लेख गरेको बैंक खातामा जम्मा हुने गरी IPS मार्फत फिर्ता भुक्तानी गरिनेछ। यस्तो यस्तो फिर्ता गर्ने रकममा कुनै ब्याज प्रदान गरिने छैन।
- शेयर बिक्री गर्ने वा नगर्ने वा आवेदनमा माग गरेको भन्दा कम शेयर बाँडफाँड गर्न सक्ने वा बोलपत्र आवेदन सम्बन्धी कुनै विवाद उत्पन्न भएमा सो को अन्तिम निर्णय गर्ने अधिकार यस कम्पनीको सञ्चालक समितिमा रहनेछ।
- बोलपत्र बुझाउने समयवधि भित्र कुनै सार्वजनिक विदा पर्न गएमा बोलपत्र बुझाउने म्याद थप गरिने छ।
- बोलपत्र स्वीकृत भएको खण्डमा बोलपत्र स्वीकृतिको जानकारी बिक्री प्रबन्धकको Website: www.nicasia capital.com मा हेर्न सक्नुहुने छ।

Buddhabhumi Nepal Hydropower Company Limited had opened applications for the sale of rights shares in a 1:1 ratio, but no applications were received within the stipulated time. Therefore, based on the prevailing laws and the provisions of Directive No. 15 of the Securities Issuance and Allotment Guidelines, 2074, and as per the decision of the company's Board of Directors, individuals, companies, associations, and institutions interested in purchasing these shares are invited to submit confidential sealed bid applications, stating the rate per share they are willing to accept, by २०८३ Jestha २९, at the locations mentioned below, subject to the terms and conditions specified in the details.

Details of shares to be sold through bid: ४,७४,६९६ units ordinary shares
S.N. Locations for obtaining and submitting bid application forms (Collection Centers):
१. NIC ASIA Capital Limited, Trade Tower Nepal, Thapathali-११, Kathmandu.
२. Branch offices of NIC ASIA Bank Limited: (१) Biratnagar-३, Morang (२) Adarshnagar, Birgunj (३) Mahendrapul, Pokhara (४) Shrawanpath, Butwal (५) Hospital Line, Dhangadhi (६) Trishuli, Nuwakot (७) Narayanagadh, Chitwan and (१०) Nepalgunj, Banke.
Terms and Conditions:
१. Bid application forms can be obtained from the above-mentioned collection centers by paying Rs. १००/- in cash. Additionally, applicants wishing to apply from the specified branch offices of NIC ASIA Bank Limited must purchase the application form with the bank's seal from that branch. Application forms without the seal will be deemed invalid and will not be included in the allotment.
२. The minimum price per share is fixed at Rs. १००/-, so bids must be made at or above this price. Also, the bid form must be sealed.
३. The number of shares desired and the rate per share must be clearly written in both figures and words on the bid application form. If there is a discrepancy between figures and words, the company will recognize the amount written in figures. Only corrections made with a signature will be recognized. If the number of shares or amount is unclear due to corrections, such bids will not be accepted. Also, the number of shares applied for must be in whole units.
४. The bidder must clearly mention their name, address, telephone number, and beneficiary account number (Demat Account No.) along with all other details specified in the bid application form.
५. A minimum of १०० units must be applied for when submitting a bid, while there is no maximum limit for the number of shares. Applicants applying for up to Rs. ५ lakh can voluntarily mention their PAN, while applicants applying for more than Rs. ५ lakh must mandatorily mention their PAN in the application form.
६. The bidder must submit a Good for Payment Cheque drawn in the name of NIC ASIA CAPITAL - BUDDHABHUMI for the full number of shares they wish to purchase. Arrangements will be made to clear the Good for Payment Cheque and deposit it into the bank account of NIC ASIA CAPITAL - BUDDHABHUMI. In the case of payment through IPS, the amount must be transferred to the bank account as per the details below, and the receipt must be attached with the bid application. The applicant themselves must bear the charges for Good for Payment and the cheque clearing charges for Good for Payment amounts exceeding Rs. २ lakh.

७. The bidder must be a Nepali citizen or an organized institution registered in Nepal. If the applicant is an organized institution, firm, or company, certified copies of the company registration certificate, PAN, and documents related to share purchase, certified copy of the chief's citizenship, and other details and documents mentioned in the application form must be attached.
८. The sealed bid envelope must clearly state "Buddhabhumi Nepal Hydropower Company Limited Share Purchase Application" and the bidder's name outside the envelope. The sealed bid must be wax-sealed.
९. The bid application must be received by २०८३/०२/२९ within banking hours at the collection centers specified for this issuance. Bids submitted with any conditions, incomplete bids, or bids received after the deadline will not be accepted.
१०. Once the bid is submitted, no changes can be made to the number of shares or amount bid, nor can the bid be withdrawn.
११. After the received bids are obtained by the sales manager's office from the specified collection centers, information regarding the date, time, and place of bid opening will be published through a public notice.
१२. If applications collected from collection centers outside the Kathmandu Valley need to be sent via courier and cannot be received by the sales manager's office within working hours due to any unforeseen circumstances or are lost in transit, the necessary auction process will only proceed after taking advice from the regulatory body.
१३. Among the received bids, shares will be allotted to the applicant who bids the highest. If shares remain after this, they will be allotted sequentially to those who bid the next highest amount. If, during the share sale through bidding, two or more bid applications are received at the same price, and the remaining shares are less than the demand, the shares will be allotted proportionally based on the demanded shares. If some shares still remain even after proportional allotment, it will be as per the decision of the issuing company's Board of Directors.
१४. For applicants whose bids are not allotted, the amount deposited for bidding will be refunded via IPS to the bank account mentioned by the applicant in the application form, as per the Securities Issuance and Allotment Guidelines, 2074. No interest will be provided on such refunded amounts.
१५. The final decision regarding whether to sell the shares or not, or to allot fewer shares than demanded in the application, or any dispute related to the bid application, will rest with the company's Board of Directors.
१६. If any public holiday falls within the bid submission period, the bid submission deadline will be extended.
