गोर्खा हाइड्रोपावर लि. को मिति २०८३/०२/२९ गते बसेको सञ्चालक समितिको ४१ औं बैठकको निर्णयानुसार कम्पनीको विशेष साधारण सभा निम्न मिति, समय र स्थानमा निम्न विषयहरु उपर छलफल तथा निर्णय गर्न बस्ने भएकोले सम्पूर्ण शेयरधनी महानुभावहरुको जानकारीको लागि यो सूचना प्रकाशित गरिएको छ ।
विशेष साधारण सभा हुने समय तालिका
स्थान : होटल इम्पेरियल (Hotel Imperial), बत्तिसपुतली, काठमाण्डौ ।
मिति : २०८३/०३/१५ (June 29, 2026), सोमबार ।
समय : बिहान १० बजे देखि ।
छलफल तथा निर्णयका लागि पेश गरिएका विशेष प्रस्तावहरु :
(क) कम्पनीको प्रबन्धपत्रको दफा ६ (क) लाई संशोधन गरि कम्पनीको अधिकृत पूँजी रु.१,८०,००,००,०००/- (अक्षरेपी एक अर्ब असी करोड मात्र) बाट वृद्धि गरि रु.२,२०,००,००,०००/- (अक्षरेपी दुई अर्ब बीस करोड मात्र) पुऱ्याउनका लागि आवश्यक छलफल गरि पारित गर्ने सम्बन्धमा ।
(ख) कम्पनीको प्रबन्धपत्रको दफा ६ (ख) लाई संशोधन गरि कम्पनीको जारी पूँजी रु.१,८०,००,००,०००/- (अक्षरेपी एक अर्ब असी करोड मात्र) बाट वृद्धि गरि रु.२,२०,००,००,०००/- (अक्षरेपी दुई अर्ब बीस करोड मात्र) पुऱ्याउनका लागि आवश्यक छलफल गरि पारित गर्ने सम्बन्धमा ।

(ङ) प्राथमिक सार्वजनिक शेयर (IPO) निष्काशन संग सम्बन्धित काम कार्यवाही अगाडि बढाउन स्वीकृतीको लागि नियमनकारी निकायमा पेश गर्दा नियमनकारी निकायबाट कुनै पनि विषयमा संशोधन वा परिवर्तन गर्न कुनै निर्देशन वा कैफियत प्राप्त भएमा सो समेत मिलाई संशोधन वा परिवर्तन लगायत अन्य कार्यहरु समेत गर्न सञ्चालक समितिलाई पूर्ण अख्तियारी प्रदान गर्ने सम्बन्धमा ।
(च) प्राथमिक सार्वजनिक शेयर (IPO) निष्काशनबाट प्राप्त हुने रकमको उपयोग सम्बन्धमा ।

Notice regarding Special General Meeting (SGM)
As per the decision of the 41st meeting of the Board of Directors of Gorkha Hydropower Ltd. held on २०८३/०२/२९, a Special General Meeting of the company will be held on the following date, time, and place to discuss and decide on the following matters. This notice has been published for the information of all esteemed shareholders.
Special General Meeting Schedule
Venue: Hotel Imperial, Battisputali, Kathmandu.
Date: २०८३/०३/१५ (June 29, 2026), Monday.
Time: From १०:०० AM.
Special proposals presented for discussion and decision:
(a) Regarding the discussion and approval of the necessary amendment to Article ६ (a) of the company's Memorandum of Association to increase the authorized capital from Rs.१,८०,००,००,०००/- (in words: one billion eighty crores only) to Rs.२,२०,००,००,०००/- (in words: two billion twenty crores only).
(b) Regarding the discussion and approval of the necessary amendment to Article ६ (b) of the company's Memorandum of Association to increase the issued capital from Rs.१,८०,००,००,०००/- (in words: one billion eighty crores only) to Rs.२,२०,००,००,०००/- (in words: two billion twenty crores only).
