नेपाल राष्ट्र बैंकको एकीकृत निर्देशन २०७२ को इ.प्रा. निर्देशन नं.१०/०७८ बुँदा नं १६ को उपबुँदा नं. (ग) र (च) मा व्यवस्था भए बमोजिम संस्थापक शेयरधनीहरुले चाहेमा संस्थापक समूहको शेयर स्वामित्व कम्तीमा ५१ प्रतिशत कायम रहने गरी बाँकी संस्थापक शेयर सर्वसाधारण शेयरमा परिणत गर्न सकिने र संस्थापक समूहको स्वामित्वमा रहेको शेयर सर्वसाधारण शेयरमा परिणत गर्ने कार्य पुँजीबजार, बैंकिङ्ग लगायत समग्र वित्तीय क्षेत्रमा पर्ने प्रभाव समेतलाई विचार गरी एक पटकमा बढीमा १० प्रतिशत बिन्दुसम्म परिणत गर्न सकिने प्रावधान रहेकोले यस बैंकको संचालक समितिको मिति २०८२/१२/१५ गते बसेको बैठक नं. ४९३ औं बैठकबाट १० प्रतिशत संस्थापक समूहको शेयर सर्वसाधारण शेयरमा परिणत गर्ने निर्णय भए बमोजिम हिमालयन बैंक लिमिटेडका संस्थापक समूहका इच्छुक शेयरधनीहरुबाट आफ्नो स्वामित्वको संस्थापक शेयरलाई सर्वसाधारण शेयरमा परिणत गर्ने प्रयोजनको लागि यो सूचना प्रकाशित भएको मितिबाट ३५ दिन भित्र (कम्पनीको हकमा संचालक समितिको निर्णय सहित) यस बैंकको शेयर रजिष्ट्रार हिमालयन क्यापिटल लिमिटेड, का.जि., का.म.न.पा.वडा नं. २८ कमलादी, काठमाडौं स्थित आई.टि. प्लाजा, (दोश्रो तल्ला), ईमेल ठेगाना: [email protected], सम्पर्क नं. ९८६२२९९०८० मा सम्पर्क/आवेदन दिनु हुन यो सूचना प्रकाशित गरिएको छ। साथै, यस प्रयोजनको लागि आवश्यक स्व-घोषणा सहितको आवेदन फारम हिमालयन क्यापिटल लिमिटेडको वेवसाईट: www.himalayancapital.com तथा हिमालयन बैंक लिमिटेडको वेवसाईट: www.himalayanbank.com बाट डाउनलोड गरि [email protected] मा ईमेल गर्न तथा हिमालयन क्यापिटल लिमिटेड, का.जि., का.म.न.पा.वडा नं. २८ कमलादी, काठमाडौं स्थित आई.टि. प्लाजा, (दोश्रो तल्ला), मा स्वयम् उपस्थित भई आवेदन पेश गर्न समेत सकिने छ।

As per the provisions of Nepal Rastra Bank's Unified Directive २०७२, E.Pra. Directive No. १०/०७८, Clause No. १६, Sub-clause (g) and (ch), if promoter shareholders wish, the remaining promoter shares can be converted into ordinary shares while maintaining at least ५१ percent promoter group share ownership. Considering the impact of converting promoter group shares into ordinary shares on the capital market, banking, and overall financial sector, there is a provision to convert up to a maximum of १० percentage points at a time. As per the decision made by the Board of Directors of this bank on २०८२/१२/१५, meeting no. ४९३, to convert १० percent of promoter group shares into ordinary shares, interested shareholders from the promoter group of Himalayan Bank Limited are hereby informed to submit an application to convert their promoter shares into ordinary shares within ३५ days from the date of publication of this notice (including the decision of the Board of Directors in case of a company) to the bank's share registrar, Himalayan Capital Limited, K.J., K.M.N.P. Ward No. २८ Kamaladi, Kathmandu, located at I.T. Plaza, (Second Floor), email address: [email protected], contact no. ९८६२२९९०८०.
