यस बैंकका संस्थापक शेयरधनी श्री गोविन्द लाल संघदले आफ्नो स्वामित्वमा रहेको ४५,००० कित्ता संस्थापक शेयर बिक्री गर्ने ईच्छा गरी निवेदन पेश गर्नुभएकोले नेपाल राष्ट्र बैंकको निर्देशन अनुसार सो शेयर खरिद गर्नका लागि बैंकका संस्थापक शेयरधनीहरुलाई प्राथमिकता दिनुपर्ने भएकोले बैंकका संस्थापक शेयरधनीहरुलाई उक्त शेयर खरिद गर्न ईच्छा भए निवेदन पेश गर्न आग्रह गर्दै मिति २०८३/०१/२५ गतेको "न्यूज २४" राष्ट्रिय दैनिक पत्रिकामा ३५ दिने सूचना प्रकाशन गरिएकोमा उक्त अवधिमा संस्थापक शेयरधनीहरुबाट कुनै आवेदन प्राप्त नभएकोले नेपाल राष्ट्र बैंकको निर्देशन बमोजिम अन्य व्यक्ति/संस्थाहरुले समेत खरीद गर्न आवेदन दिन सक्ने गरी यो सूचना प्रकाशन गरिएको छ ।
उक्त संस्थापक शेयर खरीद गर्न ईच्छुक तथा नेपाल राष्ट्र बैंकले संस्थापक हुनको लागि निर्धारण गरेको योग्यता भएका व्यक्ति/संस्थाले यो सूचना प्रकाशन भएको मितिले ७ दिन भित्र बैंकको कर्पोरेट कार्यालय, कमलादी काठमाडौंमा माथि उल्लेखित ४५,००० कित्ता संस्थापक शेयर खरीद गर्ने दरभाउ समेत उल्लेख गरी लिखित निवेदन पेश गर्नुहुन अनुरोध छ । उल्लेखित संस्थापक शेयर खरीदका लागि प्राप्त निवेदनहरु मध्ये सबैभन्दा बढी दरभाउ तोक्ने रीतपूर्वक प्राप्त निवेदकलाई शेयर बिक्री गर्न सकिनेछ । साथै, खरीदकर्ता छनौट भए पश्चात् निज व्यक्ति/संस्थाले यस बैंकलाई नेपाल राष्ट्र बैंकले संस्थापक शेयरधनी हुनको लागि निर्धारण गरेको सम्पूर्ण योग्यता एवं विवरणहरु बैंकले माग गरे बमोजिम बुझाउनुपर्ने व्यहोरा समेत यसै सूचना मार्फत जानकारी गराइन्छ ।
साथै, यसरी बिक्री गर्न लागिएको संस्थापक शेयर सम्बन्धमा कुनै आवेदन प्राप्त भएमा सो आवेदन स्वीकार गर्ने वा कुनै कारण नजनाई अस्वीकार एवं रद्द गर्ने अधिकार यस बैंक तथा बिक्रीकर्ता संस्थापकमा नै निहित रहने व्यहोरा समेत यसै सूचना मार्फत जानकारी गराइन्छ ।
This notice is published to inform that Mr. Govinda Lal Sanghadale, a founder shareholder of this bank, has expressed his desire to sell ४५,००० units of promoter shares owned by him and has submitted an application. As per the directive of Nepal Rastra Bank, priority must be given to the bank's existing founder shareholders for the purchase of these shares. Therefore, a notice was published on २०८३/०१/२५ in the national daily newspaper "News 24" requesting existing founder shareholders to submit applications if they wished to purchase the shares within a period of ३५ days. Since no applications were received from founder shareholders during that period, this notice is now published to allow other individuals/institutions to apply for the purchase, as per Nepal Rastra Bank's directive.
Individuals/institutions interested in purchasing the said promoter shares and who meet the eligibility criteria set by Nepal Rastra Bank for being a founder shareholder are requested to submit a written application, including the bid price for the aforementioned ४५,००० units of promoter shares, to the bank's Corporate Office, Kamaladi, Kathmandu, within ७ days from the date of publication of this notice. Among the applications received for the purchase of the mentioned promoter shares, the shares will be sold to the duly received applicant quoting the highest bid price. Furthermore, it is hereby informed through this notice that after the buyer is selected, the concerned individual/institution must submit all qualifications and details as required by the bank for a founder shareholder as per Nepal Rastra Bank.
Additionally, it is hereby informed through this notice that the right to accept or reject/cancel any application received in relation to the promoter shares being sold, without stating any reason, remains vested in this bank and the selling founder.
