The long-stalled capital increment process of Nepal Reinsurance Company Limited (NRIC) is finally moving forward. A Cabinet meeting held on Tuesday decided to approve the government's investment in the company's proposed right shares, thereby clearing the major hurdle for its capital expansion.
Earlier in Mangsir 2082, the Ministry of Finance had declined to inject further funds, citing the country's economic situation and pressure on the state treasury following the 'Gen-Z' protests. Following the government's withdrawal, the Nepal Insurance Authority had suspended the company's right share issuance process. However, with the government reversing its previous stance and agreeing to purchase additional shares, the stalled process is now certain to resume.
A board of directors meeting in Shrawan 2082 had proposed issuing 100% (1:1) right shares to existing shareholders in order to expand the business and meet regulatory requirements. Currently, the company's paid-up capital stands at Rs 13.42 billion, which will double to Rs 26.84 billion once the right shares are issued. As the government holds a 44.04% stake (under public debt management), it is estimated that the state will need to invest approximately Rs 5.91 billion for its portion.
In Bhadra 2083, the Nepal Insurance Authority issued a directive requiring reinsurance companies to maintain a minimum paid-up capital of Rs 20 billion within a year. Additionally, a new policy mandate requires domestic insurance companies to cede at least 20% of their direct insurance policies to the Nepal Reinsurance Company. Following the recent Cabinet decision, the company is now expected to quickly initiate the approval process through its general assembly and the Securities Board of Nepal (SEBON).
