सानिगाड हाइड्रो लिमिटेडले आफ्नो जारी पूँजी रु.२,८५,००,००,०००/- (अक्षरुपी दुई अर्ब पचासी करोड मात्र) को ३०% अर्थात ८५,५०,००० कित्ता साधारण शेयर सर्वसाधारणहरुको लागि छुट्याइएको मध्ये जारी पूँजीको १०% अर्थात रु.२८,५०,००,०००/- रकम बराबरको रु.१००/- अंकित दरका २८,५०,००० कित्ता साधारण शेयर आयोजना प्रभावित क्षेत्र स्थानीय बासिन्दाहरुलाई बाँडफाँट गरी बाँकी जारी पूँजीको २०% अर्थात रु.५७,००,००,०००/- रकम बराबरको रु.१००/- अंकित दरका ५७,००,००० कित्ता शेयर साधारण शेयर मध्ये १०% अर्थात ५,७०,००० कित्ता वैदेशिक रोजगारीमा रहेका नेपालीहरुलाई, २% अर्थात १,१४,००० कित्ता निष्काशनकर्ता कम्पनीका कर्मचारीहरुलाई र ५% अर्थात २,८५,००० कित्ता सामूहिक लगानी कोषहरुलाई बाँडफाँट गरेपश्चात बाँकी ४८,८१,००० कित्ता साधारण शेयर सर्वसाधारणहरुको लागि आज मिति २०८३ जेठ १८ गते सोमबारदेखि निष्काशन तथा बिक्री खुल्ला गरिएको व्यहोरा सम्बन्धित सबैको जानकारीको लागि सूचित गरिन्छ ।

क्रेडिट रेटिङ्ग सम्बन्धी व्यवस्था :
यस विवरणपत्र अनुसार सार्वजनिक रुपमा निष्काशन गर्न लागिएको साधारण शेयरको लागि “क्रेडिट रेटिङ्ग नियमावली, २०६८” को नियम ३ मा भएको व्यवस्था बमोजिम नेपाल धितोपत्र बोर्डबाट अनुमति प्राप्त क्रेडिट रेटिङ्ग संस्था इक्रा नेपाल लिमिटेड (ICRA Nepal Ltd.) डिल्लीबजार, काठमाण्डौबाट क्रेडिट रेटिङ्ग गराई मिति २०८२ पौष ३० गते "[ICRANP-IR] BB-" reaffirmed [ICRA NP Issuer Rating BB-] को प्रमाणपत्र प्राप्त गरेको छ । "ICRA NEPAL Issuer Rating BB-" ले कम्पनीको वित्तीय दायित्वको समयमै सेवा गर्ने सम्बन्धमा पूर्व निर्धारित मध्यम जोखिम रहेको (Moderate risk of default regarding timely servicing of financial obligations) भन्ने बुझिन्छ । इक्रा नेपाल लिमिटेडले [ICRANP-IR] AAA देखि [ICRANP-IR] D सम्मको रेटिङ्ग प्रदान गर्दछ जसमा [ICRANP-IR] AAA ले बलियो आधार जनाउँदछ र [ICRANP-IR] D ले कमजोर आधार जनाउँदछ । रेटिङ्ग संकेत पछाडि रहने + (जोड) वा - (घटाउ) चिन्हले सम्बन्धित रेटिङ्ग वर्ग भित्रको तुलनात्मक स्थितिलाई जनाउँदछ ।
सो रेटिङ्गको बैधता अवधि एक वर्ष अर्थात २०८३ पौष २४ गते (January 08, 2027) सम्म रहनेछ ।
लगानीकर्ताले धितोपत्रको सार्वजनिक निष्काशनमा लिखित वा विद्युतीय माध्यमबाट आवेदन दिँदा अनिवार्य रुपमा उक्त निष्काशनको लागि तयार गरेको विवरणपत्र पढी आफ्नो स्वविवेकले दरखास्त दिनुहुन अनुरोध गर्दछौं ।
Notice Regarding Opening of Issuance and Sale of Ordinary Shares
Sanigad Hydro Limited has allocated 30% of its issued capital, i.e., Rs. २,८५,००,००,०००/- (Two Billion Eighty-Five Crore only), which amounts to ८५,५०,००० units of ordinary shares for the general public. Out of this, २८,५०,००० units of ordinary shares at a face value of Rs. १००/- each, equivalent to Rs. २८,५०,००,०००/-, have been allotted to local residents of the project-affected area. After this allotment, out of the remaining 20% of the issued capital, i.e., Rs. ५७,००,००,०००/-, which amounts to ५७,००,००० units of ordinary shares at a face value of Rs. १००/- each, ५,७०,००० units have been allotted to Nepalis working abroad, १,१४,००० units to employees of the issuing company, and २,८५,००० units to collective investment funds. After these allotments, the remaining ४८,८१,००० units of ordinary shares are being issued and sold to the general public starting today, Monday, २०८३ Jestha १८. This information is hereby notified for the knowledge of all concerned.

As per the provisions of Rule 3 of the "Credit Rating Regulations, २०६८" for the ordinary shares being publicly issued according to this prospectus, ICRA Nepal Limited (ICRA Nepal Ltd.), Dillibazar, Kathmandu, has reaffirmed the credit rating "[ICRANP-IR] BB-" [ICRA NP Issuer Rating BB-] on २०८२ Poush ३०. "ICRA NEPAL Issuer Rating BB-" signifies a moderate risk of default regarding timely servicing of financial obligations of the company. ICRA Nepal Limited provides ratings from [ICRANP-IR] AAA to [ICRANP-IR] D, where [ICRANP-IR] AAA indicates a strong foundation and [ICRANP-IR] D indicates a weak foundation. The '+' (plus) or '-' (minus) sign after the rating indicates the comparative position within the respective rating category.
The validity period of this rating will be one year, i.e., until २०८३ Poush २४ (January 08, 2027).
