सानिमा रिलायन्स लाइफ इन्स्योरेन्स कम्पनीले चैत्र ८ गते ८औँ वार्षिक साधारणसभा आह्वान गरेको छ। सभा अनमोल बैंक्वेट, शंखमुलमा बिहान ११ बजेदेखि सुरु हुनेछ। कम्पनीले साधारणसभा प्रयोजनका लागि फागुन २६ गते बुक क्लोज गर्नेछ। सभामा शेयरधनीहरूलाई १.२४८९% बोनस सेयर र कर प्रयोजनसहित ८% नगद लाभांश गरी कुल ९.२४८९% लाभांश वितरण गर्ने प्रस्ताव पेश हुनेछ। साथै, आर्थिक वर्ष २०८०/०८१ को वार्षिक प्रतिवेदन, लेखापरीक्षण प्रतिवेदन, वासलात, नाफा नोक्सान हिसाब, नगद प्रवाह विवरण र NFRS प्रणालीअनुसारको वित्तीय विवरण पारित गरिनेछ।
सभामा कम्पनीको अधिकृत पूँजी ५ अर्ब २ करोड कायम गर्ने, बोनस सेयर वितरणपछि चुक्ता पूँजी ५ अर्ब १ करोड ४९ लाख २४ हजार पुर्याउने, रजिष्टर्ड कार्यालय नक्साल, काठमाडौंमा परिवर्तन गर्ने र संस्थागत सामाजिक उत्तरदायित्व खर्च अनुमोदन गर्ने प्रस्ताव छन्। लेखापरीक्षक नियुक्ति, पारिश्रमिक निर्धारण र नियमनकारी निकायको निर्देशनअनुसार संशोधन गर्न सञ्चालक समितिलाई अख्तियारी दिने विषय पनि समावेश छन्।
Sanima Reliance Life Insurance Company has scheduled its 8th Annual General Meeting (AGM) for March 21, 2024 (Chaitra 8, 2080), to be held at Anmol Banquet, Shankhamul, Kathmandu, starting at 11 AM. The book closure date is March 10, 2024 (Falgun 26, 2080). The AGM will address key proposals, including the approval of the annual report and audited financial statements for the fiscal year 2023/24 (2080/081), the appointment of the auditor for 2024/25 (2081/082), and the distribution of dividends to shareholders.
Shareholders will vote on a total dividend of 9.2489%, comprising an 8% cash dividend (including tax) worth NPR 396,235,218 and 1.2489% bonus shares valued at NPR 61,858,832. Post-bonus, the paid-up capital will rise to NPR 5,014,924,000. Other proposals include increasing the authorized capital to NPR 5.02 billion, shifting the registered office to Naxal, Kathmandu, approving corporate social responsibility expenses, and authorizing the board to handle regulatory amendments.
