काठमाडौं — पछिल्लो समय देशका विभिन्न हिमाली तथा नदी तटीय क्षेत्र, विशेषगरी त्रिशूली र भोटेकोशी बेसिनमा आएको विनाशकारी बाढीका कारण जलविद्युत् आयोजनाहरूमा ठूलो क्षति पुगेपछि नियामक निकाय नेपाल धितोपत्र बोर्ड (सेबोन) ले चासो देखाएको छ । लगानीकर्ताको हित संरक्षण र सेयर बजारलाई पारदर्शी बनाउने उद्देश्यले बोर्डले फ्रन्टलाइन रेगुलेटर नेपाल स्टक एक्सचेन्ज (नेप्से) लाई पाँच बुँदे कडा निर्देशन जारी गरेको छ । धितोपत्र सम्बन्धी ऐनको दफा ८४ (१) मा टेकेर दिइएको उक्त निर्देशनमा प्रभावित कम्पनीहरूको वास्तविक अवस्था सार्वजनिक गर्न र सेयर कारोबारमा विशेष निगरानी बढाउन भनिएको छ ।
बोर्डले विपद्बाट प्रत्यक्ष वा अप्रत्यक्ष रूपमा प्रभावित भएका सूचीकृत कम्पनीहरूको तत्कालै पहिचान गरी सूची तयार पार्न नेप्सेलाई भनेको छ । अब प्रभावित कम्पनीहरूले आफ्नो आयोजनाको नाम, अवस्थित स्थान, भौतिक क्षतिको विवरण र विद्युत् उत्पादनको वर्तमान अवस्थाबारे सर्वसाधारणलाई जानकारी गराउनुपर्नेछ । यसका साथै, जनशक्तिमा पुगेको क्षति, प्रसारण लाइन तथा वितरण पूर्वाधारको अवस्था, बीमा दाबीको प्रक्रिया र यसले पार्ने प्रारम्भिक वित्तीय प्रभावबारे पनि स्पष्ट पार्न निर्देशन दिइएको छ । आयोजना पुनः सञ्चालन हुन लाग्ने समय, बैंकको ऋण तिर्न सक्ने क्षमतामा पर्ने असर र क्षति न्यूनीकरणका लागि व्यवस्थापनले चालेका तत्कालका कदमहरू समेत अनिवार्य रूपमा सार्वजनिक गर्नुपर्ने व्यवस्था गरिएको छ ।
प्राकृतिक विपत्तिको फाइदा उठाउँदै सेयर बजारमा हुन सक्ने चलखेल रोक्न बोर्डले नेप्सेलाई थप अलर्ट गराएको छ । प्रभावित कम्पनीहरूको सेयर मूल्यमा हुने अस्वाभाविक उतारचढाव र असामान्य कारोबारमाथि कडा निगरानी राख्न निर्देशन दिइएको छ । कुनै पनि शङ्कास्पद खरिदबिक्री आदेश, संवेदनशील सूचना बाहिरिनुअघि नै भित्री सूचना चुहाएर (इनसाइडर ट्रेडिङ) हुन सक्ने कारोबार तथा बजारको स्वच्छतामा आँच पुर्याउने जुनसुकै गतिविधिमाथि सुक्ष्म अनुसन्धान र अनुगमन गर्न बोर्डले स्पष्ट पारेको छ ।
यसैगरी, भविष्यमा आउन सक्ने यस्तै प्रकृतिका बाढी, पहिरो, आगलागी वा अन्य असाधारण विपद्का बेला सूचीकृत कम्पनीहरूमा पर्ने असरलाई सम्बोधन गर्न बोर्डले दीर्घकालीन कदम पनि चालेको छ । यस्ता परिस्थितिमा सूचना कसरी प्रवाह गर्ने, कारोबार कुन अवस्थामा रोक्का गर्ने र पुनः कसरी सुचारु गर्ने भन्ने विषयमा छुट्टै स्पष्ट कार्यविधि बनाउन नेप्सेलाई निर्देशन दिइएको छ । यसका साथै, बजार अनुगमनको अवस्था र यस सम्बन्धी प्रगतिको नियमित प्रतिवेदन बोर्डमा पेस गर्न पनि सेबोनले नेप्सेलाई सचेत गराएको छ ।
Kathmandu — Following severe damage to hydropower projects caused by devastating floods in the mountainous and river basin regions, particularly the Trishuli and Bhote Koshi basins, the Securities Board of Nepal (SEBON) has taken decisive action. To protect investors' interests and maintain market transparency, the regulatory authority has issued a strict five-point directive to the Nepal Stock Exchange (NEPSE) under Section 84 (1) of the Securities Act.
SEBON has instructed NEPSE to immediately identify and compile a list of all listed companies directly or indirectly affected by the recent natural disasters. In coordination with these companies, NEPSE must ensure the public disclosure of critical information. Affected companies are now required to publish detailed reports outlining the project's name, location, extent of physical damage, and the current status of electricity generation. Furthermore, they must clarify the disaster's impact on human resources, production capacity, and transmission or distribution infrastructure. The directive also mandates the disclosure of insurance claim statuses, initial financial impacts, estimated timelines for resuming operations, the potential effect on bank loan repayment capacities, and the immediate remedial measures taken by the management.
To prevent opportunistic market manipulation during this crisis, the board has placed NEPSE on high alert. The stock exchange has been directed to rigorously monitor the stock trading of the affected companies. This includes keeping a close watch on unnatural price fluctuations, abnormal trading volumes, and suspicious buy or sell orders. SEBON explicitly emphasized the need to trace and prevent any potential insider trading occurring before sensitive information is officially released, ensuring that no malicious activities compromise the fairness of the market.
Looking ahead, SEBON has also taken long-term steps to address the impact of future natural disasters, fires, or other extraordinary events on listed companies. NEPSE has been instructed to formulate a clear and separate set of procedures detailing how information should be disseminated, under what circumstances trading should be halted, and the protocols for resuming trading during such crises. Additionally, SEBON has mandated NEPSE to submit regular progress updates and market surveillance reports to the board.
