काठमाडौं — हिमालयन रिइन्स्योरेन्स कम्पनीलाई प्रिमियम मूल्यमा साधारण शेयर (आईपीओ) निष्कासन गर्न दिइएको अनुमति कानूनसम्मत नभएको सर्वोच्च अदालतले ठहर गरेको छ।
यससम्बन्धी मुद्दामा सर्वोच्चले २०८३ वैशाख १५ गते आदेश दिएको थियो। उक्त आदेशको हाल सार्वजनिक भएको पूर्णपाठमा नेपाल धितोपत्र बोर्ड र नेपाल बीमा प्राधिकरणको भूमिकामाथि प्रश्न उठाइएको छ।
अदालतका अनुसार धितोपत्र बोर्डले कम्पनीका आवश्यक विवरण पर्याप्त अध्ययन नगरी आईपीओ निष्कासनको अनुमति दिएको देखिएको छ। त्यस्तै, बीमा प्राधिकरणले पनि प्रचलित कानूनविपरीत प्रिमियम मूल्यमा शेयर निष्कासनका लागि बोर्डसमक्ष सिफारिस गरेको फैसलामा उल्लेख छ।
नियामक निकायबाट कानूनअनुकूल प्रक्रिया पालना नहुँदा धितोपत्र बजारप्रति लगानीकर्ताको विश्वासमा नकारात्मक असर पर्ने तथा संस्थागत सुशासनसमेत कमजोर हुने सर्वोच्चको निष्कर्ष छ।
हिमालयन रिलाई प्रिमियममा आईपीओ निष्कासनको अनुमति दिइँदा धितोपत्र बोर्डको अध्यक्षमा रमेश हमाल र बीमा प्राधिकरणको अध्यक्षमा सूर्यप्रसाद सिलवाल थिए।
कम्पनीले प्रतिकित्ता १०० रुपैयाँ अंकित मूल्यमा १०६ रुपैयाँ प्रिमियम थप गरी २०६ रुपैयाँका दरले ३ करोड कित्ता आईपीओ निष्कासन गरेको थियो।
प्रिमियम मूल्यमा आईपीओ निष्कासन रोक्न माग गर्दै २०८० मंसिर ८ गते सर्वोच्च अदालतमा मुद्दा दायर भएको थियो।
Kathmandu — The Supreme Court has ruled that the approval granted to Himalayan Reinsurance Company to issue its initial public offering (IPO) at a premium price was contrary to law.
The full text of the court’s order, issued on Baisakh 15, 2083, has recently been made public. The ruling has raised questions over the roles of both the Securities Board of Nepal (SEBON) and the Nepal Insurance Authority.
According to the verdict, SEBON failed to adequately examine the relevant documents and financial details before approving the premium IPO. The court also stated that the Insurance Authority recommended the share issuance at a premium despite legal provisions not supporting such a decision.
The Supreme Court observed that such actions by regulatory bodies could undermine investor confidence in the securities market and weaken institutional governance.
At the time the IPO approval was granted, Ramesh Hamal was serving as chairman of SEBON, while Surya Prasad Silwal was chairman of the Nepal Insurance Authority.
Himalayan Reinsurance issued 30 million shares at Rs 206 per share, comprising a face value of Rs 100 and a premium of Rs 106 per share.
A petition seeking to stop the company from issuing shares at a premium had been filed at the Supreme Court on Mangsir 8, 2080.
