आदरणीय शेयरधनी महानुभावहरु,
यस वित्तीय संस्थाको सञ्चालक समितिको २०८३ साल जेठ २५ गते सोमबार बसेको १११औं बैठकको निर्णय अनुसार यस वित्तीय संस्थाको विशेष साधारण सभा निम्न लिखित मिति, समय र स्थानमा देहायका विषयहरु उपर छलफल तथा निर्णय गर्न बस्ने भएको हुँदा कम्पनी ऐन, २०६३ को दफा ६७ बमोजिम सम्पूर्ण शेयरधनी महानुभावहरुको जानकारी तथा उपस्थितिका लागि अनुरोध गर्दै यो सूचना प्रकाशित गरिएको छ ।

छलफलका विषयहरु:
(क) विशेष प्रस्तावहरु:
- यस युनिक नेपाल लघुवित्त वित्तीय संस्था लिमिटेड, कोहलपुर बाँके, जीवन विकास लघुवित्त वित्तीय संस्था लिमिटेड, कटहरी मोरङ्ग र मानुषी लघुवित्त वित्तीय संस्था लिमिटेड, बनेपा काभ्रेपलाञ्चोक बीच एक आपसमा गाभ्ने/गाभिने सम्बन्धमा सञ्चालक समितिको तर्फबाट अध्यक्षज्यूको प्रतिवेदन पारित गर्ने ।
- तीनवटै लघुवित्त वित्तीय संस्था एक आपसमा गाभ्ने/गाभिने सम्बन्धमा हालसम्म गरिएको काम कारबाही, निर्णय, खर्च रकम र लेखापरीक्षकको नियुक्ति तथा पारिश्रमिक अनुमोदन गर्ने ।
- तीनवटै लघुवित्त वित्तीय संस्थाको सम्पत्ति, दायित्व तथा कारोबारको मूल्याङ्कन (Due Diligence Audit-DDA) प्रतिवेदनको आधारमा संयुक्त मर्जर समितिको सिफारिसमा सञ्चालक समितिले निर्धारण गरेको शेयर आदान प्रदान अनुपात (Share SWAP Ratio) सहित गाभ्ने/गाभिने (Merger) सम्बन्धी सम्झौताको प्रस्ताव पारित गर्ने ।
- तीनवटै लघुवित्त वित्तीय संस्था एक आपसमा गाभ्ने/गाभिने सम्बन्धमा तयार गरिएको अन्तिम सम्झौता पत्र र व्यावसायिक योजना तथा प्रक्षेपण (Business Plan and Projection) स्वीकृत गर्ने ।
- तीनवटै लघुवित्त वित्तीय संस्था एक आपसमा गाभ्ने/गाभिने लगायतका थप कार्य गर्न सञ्चालक समितिलाई अख्तियारी प्रदान गर्ने ।

१. विशेष साधारण सभा प्रयोजनका लागि मिति २०८३/०३/०३ गते १ दिन वित्तीय संस्थाको दाखिल खारेज बन्द (Book Close) रहनेछ । नेपाल स्टक एक्सचेञ्ज लिमिटेडमा मिति २०८३/०३/०२ गतेसम्म कारोबार भई सि.डि.एस.एण्ड क्लियरिङ्ग लिमिटेडबाट राफसाफ समेत भई प्रचलित नियमानुसार यस वित्तीय संस्थाको शेयर रजिष्ट्रार श्री मुक्तिनाथ क्यापिटल लिमिटेड, नारायणचौर, नक्साल, काठमाण्डौमा रहेका शेयरधनी दर्ता किताबमा अद्यावधिक भई कायम हुन आएका शेयरधनीहरु मात्र विशेष साधारण सभामा भाग लिन पाउनेछन् ।
२. विशेष साधारण सभामा भाग लिन आउनुहुने शेयरधनी महानुभावहरुले आधिकारिक परिचय पत्र वा सोको प्रतिलिपि अनिवार्य रुपमा साथमा लिई आउन अनुरोध छ ।

As per the decision of the 111th meeting of the Board of Directors of this financial institution held on Monday, २०८३ Jestha २५, a Special General Meeting of this financial institution will be held on the following date, time, and place to discuss and decide on the matters mentioned below. This notice has been published for the information and attendance of all shareholders as per Section ६७ of the Companies Act, २०६३.

Discussion Topics:
(A) Special Proposals:
१. To pass the Chairman's report on behalf of the Board of Directors regarding the merger of Unique Nepal Microfinance Financial Institution Limited, Kohalpur Banke, Jeevan Bikas Laghubitta Bittiya Sanstha Limited, Katahari Morang, and Manushi Laghubitta Bittiya Sanstha Limited, Banepa Kavrepalanchok.
२. To approve the work, decisions, expenses, and appointment and remuneration of the auditor related to the merger of the three microfinance financial institutions.
३. To pass the proposal for the merger agreement, including the Share SWAP Ratio determined by the Board of Directors based on the recommendation of the Joint Merger Committee, after evaluating the assets, liabilities, and business of the three microfinance financial institutions (Due Diligence Audit-DDA) report.
४. To approve the final agreement letter and Business Plan and Projection prepared in relation to the merger of the three microfinance financial institutions.
५. To authorize the Board of Directors to perform additional tasks, including the merger of the three microfinance financial institutions.

Other Information Regarding the Special General Meeting
१. For the purpose of the Special General Meeting, the book close of the financial institution will be for १ day on २०८३/०३/०३. Only shareholders whose names are updated and maintained in the share register book of this financial institution, located at Muktinath Capital Limited, Narayan Chaur, Naxal, Kathmandu, the share registrar of this financial institution, after transactions up to २०८३/०३/०२ on Nepal Stock Exchange Limited and settlement by CDS and Clearing Limited as per prevailing rules, will be eligible to participate in the Special General Meeting.
२. Shareholders attending the Special General Meeting are requested to bring their official identification card or a copy thereof.
