आईपीओ पर्खिरहेका १४ कम्पनीको आवेदन अस्वीकृत, ४ अर्बभन्दा बढीको निष्कासन अन्योलमा14 Companies Rejected from IPO Pipeline, Over NPR 4.21 Billion Worth of Issuances in Limbo
काठमाडौं । नेपाल धितोपत्र बोर्डले अन्तिम समयमा आएर आईपीओ निष्कासनको तयारीमा रहेका १४ वटा कम्पनीको आवेदन अस्वीकृत गर्दै पाइपलाइनबाट हटाएको छ । बोर्डको यस निर्णयसँगै करिब ४ अर्ब २१ करोड ३२ लाख रुपैयाँ बराबरको आईपीओ निष्कासन प्रक्रियामा अन्योलता पैदा भएको छ ।
अस्वीकृत भएका कम्पनीहरूमध्ये ६ वटा जलविद्युत् कम्पनी, २ वटा औषधि उद्योग, ४ वटा पर्यटन व्यवसाय, १ सञ्चार प्रतिष्ठान र १ हेलिकप्टर सेवा प्रदायक कम्पनी रहेका छन् । यी कम्पनीहरूमा एपेक्स हस्पिटालिटी, अर्किड होल्डिंग्स, अन्नपूर्ण केबलकार, ठमेल प्लाजा होटल एन्ड सुइट्स, सानिमा हाइड्रोपावर, रिचेत जलविद्युत्, बेनी हाइड्रोपावर, लाफिङ बुद्ध पावर, युनिक हाइडेल, पुवाखोला वान हाइड्रोपावर, एक्कर्ड फर्मास्युटिकल्स, सोपन फर्मास्युटिकल्स, कान्तिपुर टेलिभिजन र प्रभु हेलिकप्टर पर्छन् ।
बोर्डका अनुसार हटाइएका १३ कम्पनीको प्रतिकित्ता नेटवर्थ ९० रुपैयाँभन्दा कम रहेको पाइएको छ भने एक कम्पनीको विद्युत् खरीद सम्झौता (PPA) को अवधि केवल ५ वर्षको मात्र छ । नेपालको धितोपत्रसम्बन्धी निर्देशिका अनुसार आईपीओ निष्कासन गर्न कम्पनीको प्रतिकित्ता नेटवर्थ न्यूनतम ९० रुपैयाँ हुनुपर्ने प्रावधान छ ।
यसै आधारमा बोर्डले सम्बन्धित कम्पनीहरूलाई ९० रुपैयाँभन्दा माथिको नेटवर्थ रहेको प्रमाणसहित पुनः आवेदन दिन पत्राचार गरेको छ । यसअघि संसदको सार्वजनिक लेखा समितिले समेत नेटवर्थ न्यून रहेको कम्पनीलाई आईपीओ निष्कासन अनुमति नदिन निर्देशन दिएको थियो ।
बोर्डको यो निर्णयले प्राथमिक बजारमा छिट्टै प्रवेश गर्ने अपेक्षामा रहेका लगानीकर्तालाई समेत निराश बनाएको छ । अब यी कम्पनीहरूले आफ्नो वित्तीय अवस्था सुधार गरी नयाँ प्रमाणसहित पुनः आवेदन नगरेसम्म तिनीहरूको आईपीओ प्रक्रिया अघि बढ्ने छैन ।
Kathmandu – The Securities Board of Nepal (SEBON) has rejected IPO applications from 14 companies that were in the pipeline for public issuance. This last-minute decision has put IPOs worth NPR 4.21 billion into uncertainty.
Among the rejected companies are 6 hydropower firms, 2 pharmaceutical companies, 4 from the tourism sector, one media house, and one helicopter service company. The companies include Apex Hospitality, Orchid Holdings, Annapurna Cable Car, Thamel Plaza Hotel & Suites, Sanima Hydropower, Richet Hydropower, Beni Hydropower, Laughing Buddha Power, Unique Hydel, Puwa Khola One Hydropower, Accord Pharmaceuticals, Sopan Pharmaceuticals, Kantipur Television, and Prabhu Helicopter.
According to SEBON, 13 of these companies have a net worth per share of less than NPR 90, which disqualifies them from issuing IPOs under current regulations. One company had a Power Purchase Agreement (PPA) valid for only 5 years, which SEBON deemed insufficient for long-term financial sustainability.
As per regulatory guidelines, a minimum net worth of NPR 90 per share is mandatory to qualify for public issuance. SEBON has also sent official correspondence to these companies advising them to reapply with updated financials proving a per-share net worth above the threshold.
This action follows earlier directives from the Public Accounts Committee of Parliament, which had instructed SEBON not to allow IPOs from companies with net worth below the NPR 90 mark.
The board’s decision has disappointed investors who were expecting these companies to enter the primary market soon. Until these companies improve their financial health and resubmit valid documentation, their IPOs will remain suspended.
