Notice of Bonus Shares Deposited in Beneficiary Accounts

We hereby inform that as per the decision of the Special General Meeting of Buddhabhumi Nepal Hydropower Company Limited held on २०७९/०२/३०, ४०,००,००० units of bonus shares (including those shares not applied for and sold through auction), issued at a ratio of 100% of the paid-up capital to existing shareholders until २०८२/१०/२१, are now listed and registered with Nepal Stock Exchange Ltd. and CDS and Clearing Ltd., and the system for dematerialized trading has been established.

For the purpose of these bonus shares, we hereby inform all concerned that the bonus shares of the said company have been deposited into the beneficiary accounts of those who have already dematerialized their physical shares by the book closure date of २०८२/११/०१ (provided shares were not frozen until the book closure date).

Additionally, shareholders/beneficiaries who have pledged their shares as collateral for a loan until २०८२/१०/२१ will have their bonus shares deposited into their accounts only after submitting approval or release from the respective banks and financial institutions. Furthermore, for shares frozen after that date, the respective banks and financial institutions are hereby informed to verify whether the bonus shares are frozen or not, and to freeze them if necessary.

Note: Shareholders who have not yet received shares in their accounts for various reasons or have not dematerialized their shares are informed that they can contact the share registrar Prabhu Capital Limited, Kamaladi, Kathmandu, to dematerialize their shares and directly receive the bonus shares in their beneficiary accounts.
