बुढानिलकण्ठ हेरिटेज लिमिटेडले आफ्नो सातौँ वार्षिक साधारण सभा (AGM) बस्ने मिति घोषणा गरेको छ। कम्पनीले प्रकाशित गरेको सूचनाअनुसार साधारण सभा २०७२ साल कात्तिक २५ गते (आइतबार) का दिन बिहान ११:०० बजे कम्पनीको रजिष्टर्ड कार्यालय, बुढानिलकण्ठ न.पा–१, काठमाडौंमा आयोजना हुने भएको छ।
साधारण सभामा आर्थिक वर्ष २०८१/८२ को सञ्चालक समितिको प्रतिवेदन, लेखापरीक्षकको प्रतिवेदनसहितको लेखा–परीक्षण प्रतिवेदन, नाफा–नोक्सान हिसाब र नगद प्रवाह विवरण लगायतका विषयहरूमा छलफल र पारित गरिनेछ। साथै, लेखापरीक्षकको नियुक्ति र पारिश्रमिक निर्धारण, आगामी वर्षका नीति तथा कार्यक्रम स्वीकृत गर्ने एजेन्डा पनि सभामा रहनेछन्।
त्यससँगै कम्पनीले आफ्ना नियमावलीका विभिन्न दफाहरू संशोधन गर्ने, नयाँ शेयर जारी गर्ने (IPO), पूँजी वृद्धि गर्ने, सञ्चालक समिति सदस्यहरूको निर्वाचन गर्ने लगायतका विशेष प्रस्तावहरू पनि सभामा पेस गर्ने जनाएको छ।
कम्पनीका अनुसार, कात्तिक १७ गतेदेखि शेयर दर्ता पुस्तिका बन्द हुनेछ। यस अवधिमा शेयर हस्तान्तरण वा नामसारीका लागि आवेदन स्वीकार गरिने छैन।
Budhanilkantha Heritage Limited has announced the date for its 7th Annual General Meeting (AGM). According to the notice published by the company, the AGM will be held on 25th Kartik, 2082 (Sunday) at the company’s registered office in Budhanilkantha Municipality–1, Kathmandu, starting at 11:00 AM.
The meeting will present and discuss the Board of Directors’ report, auditor’s report, audited financial statements, profit and loss account, and cash flow statement for the fiscal year 2081/82. It will also approve the appointment and remuneration of the auditor for the upcoming fiscal year.
In addition to the regular agendas, the company will table several special resolutions, including:
Approval for capital increment and amendment to the company’s Articles of Association and Memorandum of Association.
Proposal to issue new shares (IPO) and related regulatory approvals.
Amendment of various clauses of the company’s regulations.
Election of Board of Directors as per the company’s bylaws.
Authorization to the board to make necessary changes and amendments as directed by regulatory bodies.
The company has also informed shareholders that the share register book will remain closed from 17th Kartik, 2082, and share transfers will not be accepted during that period.
