घोराही सिमेन्ट इन्डस्ट्री लिमिटेड (GCIL) ले गत आर्थिक वर्षको मुनाफाबाट घोषणा गरेको लाभांश प्रस्ताव पारित गर्न पुस १४ गते साधारण सभा बोलाएको छ। पाँचौँ वार्षिक साधारण सभा दाङको घोराही उपमहानगरपालिका–१५ स्थित होटल पौवामा आयोजना हुने र सभा बिहान ९ बजे सुरू हुने कम्पनीले जनाएको छ।
कम्पनीले हाल कायम चुक्ता पूँजीको १० प्रतिशत बोनस शेयर तथा कर प्रयोजनार्थ ०.५२६३ प्रतिशत नगद लाभांश वितरण गर्ने विशेष प्रस्ताव सभामा प्रस्तुत गर्नेछ। साथै, कम्पनीको प्रबन्धपत्र तथा नियमावली संशोधनका लागि सञ्चालक समितिलाई अख्तियारी प्रदान गर्ने प्रस्ताव पनि सभाको कार्यसूचीमा समावेश छ।
यसका अतिरिक्त, कम्पनीले हालको चुक्ता पूँजी र सञ्चित नाफाभन्दा बढीका ऋणहरुलाई अनुमोदन गर्ने, संस्थापक शेयरधनीतर्फबाट प्रतिनिधित्व गर्ने सञ्चालकहरुको निर्वाचन गर्ने तथा आगामी आर्थिक वर्षका लागि लेखापरीक्षक नियुक्त गर्नेजस्ता प्रस्तावहरू पनि सभामा पेश गरिनेछ।
साधारण सभा तथा लाभांश वितरण प्रयोजनार्थ कम्पनीले मंसिर २६ गते एकदिने बुकक्लोज गर्ने भएको छ। सोअनुसार मंसिर २५ गतेसम्म नेप्सेमा कारोबार भइ नाम दर्ता भएका शेयरधनीहरूले सभामा उपस्थित रहन तथा कम्पनीले वितरण गर्ने लाभांश प्राप्त गर्न सक्नेछन्।
Ghorahi Cement Industry Limited (GCIL) has announced the date for its fifth Annual General Meeting (AGM) to endorse the dividend proposal declared from the profit of the last fiscal year. The company has scheduled the AGM for 14th Poush 2082 (December 29, 2025) at Hotel Pauwa, located in Ward No. 15, Ghorahi Sub-Metropolitan City, Dang. The meeting will begin at 9:00 AM.
According to the company, the AGM will discuss and approve the distribution of a 10% bonus share and an additional 0.5263% cash dividend for tax purposes, based on the existing paid-up capital. Alongside the dividend approval, the meeting will also deliberate on authorizing the Board of Directors to make necessary amendments to the company’s Articles of Association and Bylaws.
The AGM will further approve borrowings exceeding the combined total of the current paid-up capital and accumulated profits, elect directors representing promoter shareholders, and appoint an auditor for the upcoming financial year. These proposals are expected to guide the company’s governance and future operations.
For the purpose of AGM participation and dividend distribution, the company has announced book closure on Mangsir 26 (December 11, 2025). Therefore, shareholders recorded in NEPSE up to Mangsir 25 will be eligible to attend the meeting and claim the declared dividends.
