कार्तिक ३० गते, काठमाडौं — दुई महत्वपूर्ण सूचीकृत कम्पनी हिमालयन डिस्टिलरी लिमिटेड र सिद्धार्थ बैंक लिमिटेड आज आफ्नो वार्षिक साधारण सभा बसाउँदै छन्। दुवै कम्पनीले आर्थिक वर्ष २०८०/८१ को नाफाबाट सेयरधनीलाई दिने लाभांश प्रस्ताव अनुमोदन गर्नुपर्ने भएकाले सो बैठकलाई लगानीकर्ताले विशेष महत्व दिएका छन्।
हिमालयन डिस्टिलरीको २५औँ साधारण सभा
हिमालयन डिस्टिलरीको २५औँ वार्षिक साधारण सभा आज बिहान १० बजे लिपनिविर्ता, विरगञ्जस्थित कम्पनीको रजिष्ट्रर्ड कार्यालयमा सुरु हुनेछ। कंपनीले चालु वर्षको मुनाफाबाट सेयरधनीलाई २० प्रतिशत बोनस सेयर तथा करसहित ५ प्रतिशत नगद लाभांश वितरण गर्ने प्रस्ताव साधारण सभामा पेश गर्नेछ।
सभामा सञ्चालक समितिको वार्षिक प्रतिवेदन, लेखापरीक्षण प्रतिवेदन, वासलात, नाफा–नोक्सान विवरणलगायतका वित्तीय कागजात अनुमोदन गर्ने एजेन्डा रहेको कम्पनीले जनाएको छ। आगामी वर्षका लागि लेखापरीक्षक नियुक्ति तथा पारिश्रमिक निर्धारणसम्बन्धी प्रस्ताव पनि सोही सभाबाट पारित गरिनेछ।
कम्पनीले कात्तिक २० गते बुकक्लोज गरी लाभांशका लागि योग्यता तोकेको थियो। त्यसअनुसार कात्तिक १९ गतेसम्म नाम दर्ता भएका सेयरधनी मात्रै प्रस्तावित बोनस तथा नगद लाभांशका हकदार हुनेछन्।
सिद्धार्थ बैंकको साधारण सभा आजै
सिद्धार्थ बैंक लिमिटेडले पनि आजै वार्षिक साधारण सभा आयोजना गर्दैछ। सभा बिहान १० बजे भद्रकालीस्थित आर्मी अफिसर्स क्लब, काठमाडौंमा सुरु हुने बैंकले जनाएको छ।
बैंकले यस वर्ष ५ प्रतिशत बोनस सेयर र कर प्रयोजनार्थसहित ५.५३ प्रतिशत नगद लाभांश वितरण गर्ने प्रस्ताव AGM मा पेश गर्नेछ। साथै, बैंकको प्रबन्धपत्र तथा नियमावली संशोधनका लागि सञ्चालक समितिलाई आवश्यक अधिकार दिनेसहितका एजेन्डा पनि सभामा छन्।
नयाँ सञ्चालक नियुक्ति, सामाजिक उत्तरदायित्व (CSR) शीर्षकमा भएको खर्च स्वीकृत गर्ने तथा आगामी वर्षका लागि लेखापरीक्षक नियुक्ति सम्बन्धी प्रस्ताव पनि बैठकमा छलफल हुनेछ।
सिद्धार्थ बैंकले कात्तिक १७ गते बुकक्लोज गरिसकेको छ। त्यसअनुसार कात्तिक १६ गतेसम्म सेयर नाम दर्ता गराएका लगानीकर्ता AGM तथा लाभांश प्राप्तिको हकदार ठहरिनेछन्।
Kartik 30, Kathmandu — Two major listed companies, Himalayan Distillery Limited and Siddhartha Bank Limited, are holding their annual general meetings (AGM) today. Both companies are set to endorse their respective dividend proposals from the profit of fiscal year 2080/81, making the meetings highly significant for shareholders.
Himalayan Distillery’s 25th Annual General Meeting
Himalayan Distillery is convening its 25th AGM at 10 AM today at the company’s registered office in Lipnibirta, Birgunj, Parsa. The company will present a proposal to distribute 20 percent bonus shares and 5 percent cash dividend (including tax) from its profit of the last fiscal year.
The meeting will also table the Board of Directors’ annual report, audited financial statements including balance sheet and profit–loss account, and the proposal for appointment and remuneration of the auditor for the upcoming fiscal year.
For dividend distribution, the company had set Kartik 20 as the book-close date. Accordingly, shareholders registered until Kartik 19 are eligible to receive the proposed bonus and cash dividends.
Siddhartha Bank’s AGM Also Today
Siddhartha Bank Limited is holding its AGM today at 10 AM at the Army Officers’ Club, Bhadrakali, Kathmandu.
The bank will propose a combined dividend of 5 percent bonus shares and 5.53 percent cash dividend (including tax adjustment). In addition, the AGM will discuss amendments to the bank’s Memorandum and Articles of Association, authorize the Board to make necessary changes, appoint new directors, approve corporate social responsibility (CSR) expenditures, and appoint an auditor for the upcoming fiscal year.
The bank had already completed its book-close on Kartik 17. Thus, shareholders whose names were registered until Kartik 16 are eligible to attend the AGM and claim the proposed dividends.
