संस्थापक शेयर बिक्री सम्बन्धी ३५ दिने सूचना

आई.एम.ई. लाइफ इन्स्योरेन्स कम्पनी लिमिटेडको संस्थापक समूहतर्फको १,००० (एक हजार मात्र) कित्ता शेयर यस कम्पनीको सञ्चालक समितिको मिति २०८३/०६/२१ मा बसेको २५४औं बैठकको निर्णयानुसार प्रचलित नियम कानून तथा नेपाल बीमा प्राधिकरणबाट जारी गरिएको बीमकको संस्थापक शेयर कारोबार सम्बन्धी निर्देशिका, २०७७ मा भएको व्यवस्थाको अधिनमा रही बिक्री गर्न लागेको हुँदा उक्त शेयर खरीद गर्न ईच्छुक विद्यमान संस्थापक शेयरधनीहरुको लागि यो सूचना प्रकाशित गरिएको छ ।
सूचनामा उल्लेख भए बमोजिमको संस्थापक शेयर खरिद गर्न इच्छुक विद्यमान संस्थापक शेयरधनीहरूले यो सूचना प्रकाशित भएको मितिले ३५ (पैंतीस) दिन भित्र नेपाल बीमा प्राधिकरणले तोके बमोजिमको उपयुक्तताको जाँच (Fit & Proper Test) को मापदण्ड पूरा हुने आवश्यक कागजातहरू सहित यस कम्पनीको रजिष्टर्ड तथा कर्पोरेट कार्यालय वा यस कम्पनीको शेयर रजिस्ट्रार ग्लोबल आइएमई क्यापिटल लि.को नक्साल स्थित रजिष्टर्ड कार्यालयमा कार्यालय समयभित्र उक्त १,००० कित्ता शेयरको लागि दर रेट उल्लेख गरी रितपूर्वक आवेदन पेश गर्नुहुन गोप्य शीलबन्दी बोलपत्र आह्वान गरिएको छ । निर्धारित समयभित्र विद्यमान संस्थापक शेयरधनीहरूबाट शेयर खरिदका लागि कुनै पनि आवेदन प्राप्त नभएमा प्रचलित कानून र नियम बमोजिम उक्त शेयरहरू संस्थापक शेयरधनी बाहेकका अन्य व्यक्ति वा संस्थालाई बिक्री गर्ने प्रक्रिया अगाडि बढाइने व्यहोरा समेत यसै सूचनाद्वारा अवगत गराइन्छ । थप जानकारीका लागि कम्पनीको रजिष्टर्ड तथा कर्पोरेट कार्यालयमा सम्पर्क गर्नुहुन सूचित गरिन्छ ।

35-Day Notice Regarding Sale of Promoter Shares
(First Date of Publication: २०८३/०६/२३)
As per the decision of the २५४th meeting of the Board of Directors of I.M.E. Life Insurance Company Limited held on २०८३/०६/२१, १,००० (one thousand only) units of promoter shares of the company are being offered for sale in accordance with the prevailing laws and the provisions of the Insurer's Promoter Share Transaction Directive, २०७७ issued by the Nepal Insurance Authority. This notice is published for the existing promoter shareholders interested in purchasing the said shares.
Existing promoter shareholders interested in purchasing the promoter shares as mentioned in the notice are requested to submit a formal application stating the bid rate for the said १,००० units of shares in a sealed envelope within ३५ (thirty-five) days from the date of publication of this notice. The application must include the necessary documents fulfilling the Fit & Proper Test criteria prescribed by the Nepal Insurance Authority and should be submitted during office hours to the Registered and Corporate Office of this company or to the company's Share Registrar, Global IME Capital Ltd., located at Naxal, Kathmandu. If no application is received from the existing promoter shareholders within the specified timeframe, this notice hereby informs that the process for selling the said shares to other individuals or institutions besides the promoter shareholders will be initiated in accordance with prevailing laws and regulations.
