माछापुच्छ्रे बैंकको साधारणसभा असोज १० गते, ८% लाभांश दिने निर्णयMachhapuchchhre Bank to Hold AGM on Ashwin 10; Announces 8% Dividend
माछापुच्छ्रे बैंक लिमिटेड (MBL) ले आफ्नो २७ औँ वार्षिक साधारणसभा २०८२ साल असोज १० गते पोखरास्थित होटल पोखरा ग्राण्डमा बिहान ११ बजे आयोजना गर्ने भएको छ।
साधारणसभाले आर्थिक वर्ष २०८१/८२ का लागि प्रस्तावित ८% लाभांश पारित गर्नेछ। बैंक सञ्चालक समितिको भदौ १२ गतेको बैठकले ४% बोनस सेयर र ४% नगद लाभांश (करसहित) वितरण गर्ने प्रस्ताव गरेको हो। हाल बैंकको चुक्ता पुँजी रु. ११ अर्ब ६२ करोड रहेको छ।
यसका साथै, साधारणसभाले अडिटरको प्रतिवेदनसहित नाफा नोक्सानी विवरण, वित्तीय विवरण, नगद प्रवाह विवरण स्वीकृत गर्ने, आर्थिक वर्ष २०८२/८३ का लागि अडिटर नियुक्त गर्ने, तथा सर्वसाधारण सेयरधनी समूहको तर्फबाट सञ्चालक नियुक्त गर्ने एजेन्डा समेत रहेको छ।
यस्तै, बैंकले ८.२५% माछापुच्छ्रे स्थायी असंचयी प्रिफरेन्स सेयर रु. ३ अर्ब बराबर अंकित दर रु. १०० मा जारी गर्ने प्रस्ताव गरेको छ। त्यस्तै, बैंकको अधिकृत पुँजी रु. १५ अर्बबाट बढाएर रु. २० अर्ब पुर्याउने र यससम्बन्धी बैंकको नियमावली तथा संस्थापक पत्र संशोधन गर्ने विशेष प्रस्ताव पनि पारित गर्ने तयारी छ।
सञ्चालकहरूको बैठक भत्ता र सुविधा संशोधन गर्ने, नियामक निकायको निर्देशन अनुसार थप संशोधन गर्न सञ्चालक समितिलाई अधिकार दिने लगायतका प्रस्ताव पनि साधारणसभामा पेश गरिनेछ।
यसका लागि बैंकले भदौ २७ गतेलाई किताब बन्द मिति तोकेको छ। त्यस दिनसम्म नामसारी भइसकेका सेयरधनीहरूले लाभांश प्राप्त गर्न र उक्त साधारणसभामा सहभागी हुन सक्नेछन्।
Machhapuchchhre Bank Limited (MBL) has scheduled its 27th Annual General Meeting (AGM) for Ashwin 10, 2082, at Hotel Pokhara Grand, Pokhara. The meeting will begin at 11 AM.
The AGM will endorse the proposed 8% dividend for the fiscal year 2081/82. As per the decision of the board meeting held on Bhadra 12, the bank has proposed a 4% bonus share and a 4% cash dividend (including tax). The bank’s current paid-up capital stands at Rs. 11.62 Arba.
In addition, the AGM agenda includes endorsing the auditor’s report along with the profit and loss account, financial statements, and cash flow statements for FY 2081/82. It will also appoint an auditor for the fiscal year 2082/83 and approve the appointment of a director representing the public shareholders’ group.
The bank has also proposed issuing 8.25% Machhapuchchhre Perpetual Non-Cumulative Preference Shares worth Rs. 3 Arba at a face value of Rs. 100 per share. Similarly, the authorized capital of the bank will be increased from Rs. 15 Arba to Rs. 20 Arba, and related provisions of the Memorandum of Association will be amended accordingly to reflect the issuance of bonus shares and preference shares.
Other agendas include revising directors’ meeting allowances and benefits, amending provisions of the bank’s bylaws, and authorizing the board to make necessary amendments as directed by regulatory authorities.
The book closure date has been set for Bhadra 27. Shareholders who have maintained shares before this date will be eligible to receive the dividend and attend the AGM.
