Mai Khola Hydropower to Hold 5th AGM on Mangsir 25; Company Preparing to Issue 1:1 Right Shares

Kathmandu — Mai Khola Hydropower Limited is set to hold its 5th Annual General Meeting (AGM) on Mangsir 25, 2082. The AGM will take place at Smart Durbar located in Shankha Park, Kathmandu, starting at 11:00 AM. The company has prepared a series of key agendas, ranging from financial approvals to project reconstruction plans, making this year's AGM particularly important for shareholders.

The meeting will first present the audited financial statements, profit and loss report, financial reports, and cash flow statements for the fiscal year 2081/82. Through the AGM, the company aims to provide shareholders with a detailed overview of its financial health and operational performance for the past fiscal year. Likewise, the appointment of an auditor for FY 2082/83 is also on the agenda, which is expected to strengthen the company’s financial transparency and accountability going forward.

Another key agenda includes the approval of decisions made by the Board of Directors over the past year. The AGM will also discuss proposals regarding meeting allowances and facilities for the board members. Additionally, the institutional good governance report will be presented for approval, highlighting the company’s commitment to maintaining transparency, discipline, and responsible management practices across its operations.

A major proposal in this AGM is the plan to secure additional loans for the reconstruction of the hydropower project. Due to technical and structural challenges faced by the project, additional financing has become necessary to ensure the project’s timely and efficient restoration. The company expects this agenda to generate significant interest among shareholders, given its long-term importance.

Furthermore, the company is preparing to issue right shares in a 1:1 ratio to increase its authorized and paid-up capital. This right share proposal is aimed at strengthening the financial structure of the company and enabling future expansion and operational improvements. If approved by the AGM, the company will proceed with the right share issuance process in the near future.

For participation eligibility, the company has announced Mangsir 11 as the book closure date. Shareholders who maintain their shares before this date will be eligible to attend the AGM and take part in the discussions and decision-making processes.

Mai Khola Hydropower expects this AGM to serve as a crucial platform for outlining its long-term plans, reviewing financial progress, and presenting its reconstruction strategies to shareholders in a clear and comprehensive manner.
