अब गैरआवासीय नेपाली (एनआरएन)हरूले नेपाली रुपैयाँमै नेपालका इन्भेष्टमेन्ट कम्पनीमा शेयर आवेदन दिन र लगानी तथा मुनाफा सहजै फिर्ता लैजान सक्ने व्यवस्था भएको छ। नेपाल राष्ट्र बैंकले विदेशी लगानी तथा विदेशी ऋण व्यवस्थापन विनियमावलीमा चौथो संशोधन गर्दै यस्तो सहजता ल्याएको हो।

राष्ट्र बैंकले बुधबार सूचना जारी गर्दै विदेशी विनिमय व्यवस्थापन ऐन, २०१९ को दफा १०(क) अनुसार विनियमावली २०७८ मा आवश्यक संशोधन गरेको जनाएको छ। अब एनआरएनले इन्भेष्टमेन्ट कम्पनीको शेयर खरिद गर्न विदेशी लगानी स्वीकृतिपूर्व नै रकम नेपाल ल्याउन सक्नेछन्। स्वीकृति पछि मात्र लगानी प्रक्रिया अघि बढ्ने हो भन्ने अड्चन अब हटेको छ।

संशोधनअनुसार, एनआरएनहरूले नेपाली बैंकमा नेपाली रुपैयाँमै खाता खोली त्यही खाताबाट आईपीओ आवेदन दिन सक्नेछन्। यसअघि विदेशी मुद्रामै खाता खोल्नुपर्ने र लगानी गर्नुपर्ने जटिलता हटाइएको छ। यससँगै एनआरएनहरूको १० अर्ब चुक्ता पुँजीमा आधारित एनडीएफ (NRN Development Fund) मार्फत ८ अर्ब ५० करोड रुपैयाँ बराबरको आईपीओ ल्याउन बाटो खुलेको छ।

एनआरएनले भरिएको आईपीओमा शेयर नपरेमा लगानी रकम फिर्ता गर्न सम्बन्धित बैंक, इन्भेष्टमेन्ट कम्पनी वा शेयर रजिस्ट्रारको सिफारिस सहित निवेदन दिनुपर्नेछ। साथै, विदेशी लगानीकर्ताले प्राप्त मुनाफा वा लगानी फिर्ता रकम पनि नेपाली रुपैयाँमै सञ्चालित खाताबाट लैजान सक्ने प्रस्ट व्यवस्था गरिएको छ।

नयाँ संशोधनले प्राइभेट इक्विटी तथा भेन्चर क्यापिटलजस्ता विशिष्टीकृत लगानी कोषमा विदेशी लगानी ल्याउन अनुमति दिएको छ। राष्ट्र बैंकले यस्ता इकाइ बिक्रीबापतको रकम भित्र्याउने तथा मुनाफा लैजाने व्यवस्था पनि खुला गरेको छ।

यसपटकको संशोधनमा ‘प्रविधि हस्तान्तरण’को परिभाषा समेत विस्तारित गरिएको छ। यसअन्तर्गत पेटेन्ट, डिजाइन, ट्रेडमार्क, व्यापारिक ख्याति, प्राविधिक ज्ञान, स्रोत र प्रक्रिया आदिलाई समेटिएको छ। साथै आईटी, मार्केटिङ, लेखा, इन्जिनियरिङ, आउटसोर्सिङ लगायत विविध सेवाहरूलाई पनि प्रविधि हस्तान्तरणको रूपमा परिभाषित गरिएको छ।

यस व्यवस्थाले एनआरएनहरूका लागि नेपालको पुँजी बजारमा लगानीको ढोका झनै फराकिलो बनाइदिएको छ। नेपाली रुपैयाँमै कारोबार गर्न पाइने भएकाले विदेशी मुद्रा सम्बन्धी सीमितता हट्न गएको र लगानी सुरक्षित तथा पारदर्शी बन्ने अपेक्षा गरिएको छ।

Non-Resident Nepalis (NRNs) can now invest in Nepal's capital market using Nepali Rupees (NPR), with the ability to repatriate both their investment and earnings more conveniently. Nepal Rastra Bank (NRB) has amended the "Foreign Investment and Foreign Loan Management Regulations" for the fourth time, easing the rules for NRNs to apply for shares in investment companies.

On Wednesday, the Foreign Exchange Management Department of NRB issued a notice outlining the amendments made under Section 10(a) of the Foreign Exchange Regulation Act, 2019. Under the revised provisions, NRNs are now allowed to transfer investment funds into their accounts in Nepal even before obtaining official investment approval, provided approval is acquired subsequently. This change removes a major barrier that previously restricted NRN participation.

One of the key reforms allows NRNs to open NPR-denominated bank accounts within Nepal and use those accounts to apply for IPOs. Earlier, investments had to be made in foreign currency (typically USD), and funds had to be held in foreign currency accounts. This requirement made it difficult for NRNs to participate in the Nepali capital market despite SEBON’s earlier provision allowing IPO applications in NPR.

With this reform, the path is now clear for the issuance of an NPR 8.5 billion IPO under the NRN Development Fund (NDF), which has a total paid-up capital of NPR 10 billion. The Government of Nepal holds a 5% stake in this fund. Only NRNs will be allowed to apply for this IPO.

If shares are not allotted, the refund process has also been clarified. The investor will be required to submit an application through the concerned bank or financial institution, the joint investment company, or its share registrar, in order to have the unused amount refunded to their foreign account.

Additionally, under the Foreign Investment and Technology Transfer Act, 2075 (2019), NRB has allowed tax payments related to foreign investment to be made in the name of the investor, company, or tax authority through banks without requiring further approval from NRB or the foreign investment approval body.

The amended regulation also specifies that foreign investors can open both convertible foreign currency and NPR-denominated accounts at Nepali banks and deposit investment funds into them. Both profits and repatriated investments can also be transferred from these NPR accounts.

Further, NRB has now permitted foreign investments in specialized funds such as private equity and venture capital. Returns from such funds and repatriation of earnings are also allowed as per the rates fixed by NRB.

The updated regulation has also expanded the definition of “technology transfer” to include patents, designs, trademarks, goodwill, technical knowledge, formulas, processes, licensing, and know-how. It also covers services such as IT, marketing, accounting, auditing, engineering, outsourcing, digital data processing/migration, HR outsourcing, design services, and even reverse engineering.

This amendment is expected to significantly open up the capital market for NRNs, offering them a streamlined, NPR-based investment channel while ensuring better transparency and flexibility for future returns.
