ओरिएन्टल होटल लिमिटेड OHL : १:०.२६६३ अनुपातमा हकप्रद शेयर निष्कासन गर्ने Oriental Hotels Limited to Hold 28th Annual General Meeting on Ashwin 31
काठमाडौं । ओरिएन्टल होटल लिमिटेड (OHL) ले आफ्नो २८औं वार्षिक साधारण सभा (AGM) बोलाएको छ। साधारण सभा आगामी २०८२ साल असोज ३१ गते (सेप्टेम्बर १६, २०२५) बिहान ११ बजे ललितपुर, जावलाखेलस्थित नेपाल प्रशासन प्रशिक्षण प्रतिष्ठानमा आयोजना हुने कम्पनीले जनाएको छ।
सभामा प्रस्तुत हुने प्रमुख एजेन्डा यस प्रकार रहेका छन्:
कम्पनीको वार्षिक प्रतिवेदन अनुमोदन गर्ने।
आ.व. २०८१/८२ को लेखापरीक्षण प्रतिवेदनसहित नाफा नोक्सान विवरण, वित्तीय विवरण र नगद प्रवाह विवरण पारित गर्ने।
आ.व. २०८२/८३ का लागि लेखापरीक्षक नियुक्ति तथा पारिश्रमिक निर्धारण गर्ने।
प्रवर्द्धक समूहबाट ६ जना सञ्चालकहरूलाई निर्वाचित गर्ने र स्वतन्त्र सञ्चालकको नियुक्ति गर्ने।

यस्तै, साधारण सभामा कम्पनीको जारी र अधिकृत पुँजी वृद्धि गर्ने उद्देश्यले १:०.२६६३ अनुपातमा हकप्रद शेयर निष्कासन गर्ने प्रस्ताव पनि रहेको छ। हाल कम्पनीको चुक्ता पुँजी १ अर्ब १८ करोड रुपैयाँ रहेको छ।
यस साधारण सभाका लागि बुक क्लोजर मिति असोज २ गते तोकिएको छ। असोज २ गतेभन्दा अघि नाम दर्ता गराएका सेयरधनीहरू मात्र सभामा उपस्थित भई लाभांश तथा अन्य सुविधाका लागि हकदार हुनेछन्।
Kathmandu – Oriental Hotels Limited (OHL) has announced that its 28th Annual General Meeting (AGM) will be held on Ashwin 31, 2082 (September 16, 2025) at 11:00 AM at the Nepal Administrative Training Institute, Jawalakhel, Lalitpur.
The major agendas of the AGM are as follows:
Endorsement of the company’s annual report.
Approval of the auditor’s report of FY 2081/82, including Profit & Loss statements, financial statements, and cash flow reports.
Appointment of the auditor and determination of their remuneration for FY 2082/83.
Election of 6 board members from the promoter group and approval of the appointment of an independent director.
Miscellaneous matters.
In addition, there is a proposal to issue right shares at the ratio of 1:0.2663 to increase the company’s authorized and issued capital. At present, the company’s paid-up capital stands at Rs. 1.18 Arba.
The book closure date is set for Ashwin 2, 2082. Only those shareholders registered before that date will be eligible to participate in the AGM and receive associated benefits.
