सानिमा जिआइसी इन्स्योरेन्स लिमिटेडले आफ्नो संस्थापक समूहभित्रका शेयरधनीहरूलाई लक्षित गर्दै विशेष सूचना प्रकाशित गरेको छ। कम्पनीका एक वा एकभन्दा बढी संस्थापक शेयरधनीहरूले आफ्ना नाममा रहेको ३,८२४ कित्ता संस्थापक शेयर बिक्री गर्न इच्छा व्यक्त गरेपछि कम्पनीले सो शेयर खरिद गर्न इच्छुक अन्य संस्थापक शेयरधनीहरूलाई प्राथमिकता दिने प्रक्रिया सुरु गरेको हो।
नेपाल बीमा प्राधिकरणको विद्यमान नियम अनुसार, संस्थापक शेयर खरिद–बिक्री गर्दा पहिलो प्राथमिकता हाल कायम रहेका संस्थापक शेयरधनीहरूलाई नै दिइने व्यवस्था छ। त्यसैले इच्छुक संस्थापक शेयरधनीहरूले यो सूचना प्रकाशित भएको मितिले ३५ दिनभित्र आवश्यक कागजातसहित कम्पनीको प्रधान कार्यालय टंगाल, काठमाडौंमा आफ्नो प्रस्ताव पेस गर्न सक्नेछन्।
संस्थापक शेयर खरिदका लागि निवेदन दिन इच्छुकले खरिद गर्न चाहेको कित्ता संख्या र दर (रेट) स्पष्ट उल्लेख गरी निवेदन पेश गर्नुपर्नेछ। तोकिएको समयभित्र कुनै संस्थापक शेयरधनीबाट निवेदन प्राप्त नभएमा कम्पनीले प्रचलित कानुनअनुसार अन्य योग्य गैर–संस्थापकलाई ती शेयर बिक्री गर्ने प्रक्रिया अघि बढाउने बताइएको छ।

Sanima GIC Insurance Limited has published an official notice inviting its existing promoter shareholders to purchase 3,824 promoter shares being offered for sale by one of its current promoters.
According to the notice, the company has received an application from a promoter shareholder expressing the intent to sell 3,824 promoter shares, and the Board of Directors has approved moving forward with the sale process in accordance with the rules of the Nepal Insurance Authority.
As per the regulatory provision, priority will be given to existing promoter shareholders who wish to purchase these shares. Interested promoters are required to submit their purchase applications within 35 days from the date of this notice publication, along with the necessary documents, to the company’s head office in Tangal, Kathmandu.
Applicants must clearly mention the number of shares they wish to purchase and the offered price (rate) in their application. If no applications are received from existing promoter shareholders within the stipulated time frame, the company will initiate the process of selling the shares to eligible non-promoters as per prevailing laws.
