शिवम् सिमेन्टले मङ्सिर २५ गते साधारणसभा बोलायो, १२.५० प्रतिशत लाभांश प्रस्तावShivam Cements Announces AGM on Mangsir 25; Proposes 12.50% Dividend
काठमाडौँ — शिवम् सिमेन्ट लिमिटेडले आगामी मङ्सिर २५ गते राष्ट्रिय सभागृह, प्रदर्शनी मार्गमा आफ्नो वार्षिक साधारणसभा गर्ने भएको छ। सञ्चालक समितिको निर्णयअनुसार कम्पनीले मुनाफा वितरणदेखि लेखापरीक्षक नियुक्तिसम्मका महत्वपूर्ण एजेन्डा सभामा पेस गर्ने जनाएको छ।
कम्पनीले आर्थिक वर्ष २०८१/८२ को नाफाबाट २.५० प्रतिशत बोनस सेयर र कर प्रयोजनसहित १० प्रतिशत नगद लाभांश गरी कुल १२.५० प्रतिशत लाभांश वितरणको प्रस्ताव AGM मा प्रस्तुत गर्न लागेको छ। साधारणसभाबाट स्वीकृति पाएपछि लगानीकर्ताले सो लाभांश प्राप्त गर्नेछन्।
साधारणसभाका लागि मङ्सिर ११ गते बुक क्लोज मिति तोकिएको छ। यसअनुसार मङ्सिर १० गतेसम्म नाम दर्ता गराएका सेयरधनीहरूले मात्र सभामा सहभागी हुन तथा प्रस्तावित लाभांश प्राप्त गर्न सक्नेछन्।
सभामा प्रस्तुत गरिने प्रमुख एजेन्डाहरूमा—
वार्षिक प्रतिवेदन पारित,
वित्तीय विवरण अनुमोदन,
आगामी वर्षका लागि लेखापरीक्षक नियुक्ति,
बोनस तथा नगद लाभांश स्वीकृति,
सम्बन्धित पक्षसँगका कारोबार अनुमोदन,
रिक्त पदमा संचालकको नियुक्ति स्वीकृति,
तथा अन्य विविध विषयहरू समेटिएका छन्।
यसबाहेक विशेष प्रस्तावअन्तर्गत २.५० प्रतिशत बोनस सेयर वितरणपछि कम्पनीको जारी तथा चुक्ता पूँजीमा हुने परिवर्तनअनुसार प्रवन्ध–पत्र (Memorandum of Association) संशोधन गर्ने प्रस्ताव पनि सभामा प्रस्तुत गरिने कम्पनीले जनाएको छ।
Kathmandu — Shivam Cements Limited has announced that it will convene its Annual General Meeting (AGM) on Mangsir 25 at the National Assembly Hall, Exhibition Road. As per the decision of the Board of Directors, the company will present key agendas ranging from profit distribution to the appointment of auditors.
For the fiscal year 2081/82, the company plans to propose a total dividend of 12.50%, which includes 2.50% bonus shares and 10% cash dividend (including tax). Investors will receive the dividend only after the proposal is approved by the AGM.
The company has set Mangsir 11 as the book closure date. Accordingly, only shareholders whose names are registered in the shareholder registry by Mangsir 10 will be eligible to attend the AGM and claim the proposed dividend.
Major agendas to be presented in the AGM include:
Approval of the annual report
Endorsement of financial statements
Appointment of the auditor for the upcoming fiscal year
Approval of bonus shares and cash dividend
Approval of related-party transactions
Approval of the appointment of board members to vacant positions
Discussion of various other agenda items
Under special resolution, the company will also propose an amendment to its Memorandum of Association to reflect changes in issued and paid-up capital after the distribution of 2.50% bonus shares.
