सिक्लेस हाइड्रो लिमिटेडले दुई आर्थिक वर्षको वार्षिक साधारण सभा एकैपटक आह्वान गर्दै १५.७८९ प्रतिशत लाभांश वितरण गर्ने प्रस्ताव गरेको छ। कम्पनीको मंसिर ८ गते बसेको सञ्चालक समितिको बैठकले आर्थिक वर्ष २०८१/८२ को सञ्चित मुनाफाबाट १५ प्रतिशत बोनस शेयर र ०.७८९ प्रतिशत नगद लाभांश (कर प्रयोजनका लागि) वितरण गर्ने निर्णय गरेको हो।
कम्पनीले यसअघि सम्पन्न नभएकाले २०औं र २१औं वार्षिक साधारण सभा एकै दिन बोलाएको छ। दुवै सभा मंसिर २९ गते पोखरामा अवस्थित आभ्या क्लबमा बिहान ११ बजेदेखि सुरु हुनेछन्। दुई वर्षका एजेन्डा एकैपटक पारित गर्ने तयारी कम्पनीकाे बताइएको छ।
साधारण सभाले बोनस शेयर पारित भएपछि कायम हुने चुक्ता पुँजी बराबर (१००%) हकप्रद शेयर जारी गर्ने प्रस्ताव पनि अनुमोदन गर्नेछ। साथै कम्पनीको प्रबन्धपत्र तथा नियमावली संशोधन, र नियमनकारी निकायले आवश्यक ठानेका संशोधन तथा निर्देशन कार्यान्वयन गर्न सञ्चालक समितिलाई अधिकार प्रदान गर्ने विशेष प्रस्तावहरू पनि सभामा पेश गरिनेछन्।
लाभांश वितरण तथा सभामा सहभागिताका लागि कम्पनीले मंसिर १८ गते सेयरधनी दर्ता किताब (बुक क्लोज) बन्द गर्ने निर्णय गरेको छ। यस अनुसार नेप्सेमा मंसिर १७ गतेसम्म कारोबार भई नाम दर्ता भएका सेयरधनीहरू मात्र साधारण सभामा सहभागी हुन र लाभांश प्राप्त गर्न योग्य हुनेछन्।
Sikles Hydropower Limited has announced a combined annual general meeting (AGM) for two fiscal years, along with a proposal to distribute dividends and issue right shares. The company’s Board of Directors, in its meeting held on Mangsir 8, decided to distribute a total dividend of 15.789% from the accumulated profit up to the end of Ashad 2082.
According to the decision, the company will distribute 15% bonus shares to its shareholders and an additional 0.789% cash dividend for tax purposes. This combined payout marks the company’s proposal to reward shareholders while also strengthening its capital base through bonus shares.
The company has called its 20th and 21st Annual General Meetings on the same day. The AGMs are scheduled to take place on Mangsir 29 at Aabhya Club, Pokhara, beginning at 11:00 AM. By conducting two AGMs together, the company aims to finalize pending agendas of both fiscal years in a single sitting.
A major agenda of the AGM includes the proposal to issue 100% right shares after the bonus shares are capitalized. This means the company will issue right shares equivalent to its paid-up capital after the issuance of bonus shares. Additionally, amendments to the company’s Articles of Association and Bylaws will be proposed. The AGM will also authorize the Board of Directors to make necessary changes if required by regulatory authorities.
For the purpose of dividend distribution and AGM participation, the company has decided to close its shareholders’ register (book closure) on Mangsir 18. Therefore, only those shareholders whose names are recorded in NEPSE by Mangsir 17 will be eligible to attend the AGMs and receive the declared dividends.
