Kathmandu — Spark Hydroelectric Company Limited is set to hold its 26th Annual General Meeting (AGM) on the coming Asar 8, Monday. In line with the board of directors' decision, the company has published the notice for the information and attendance of shareholders, as per Section 67 of the Companies Act 2063.

The meeting will take place at 10:30 am at Lisara Reception in Naxal, Kathmandu. The AGM will discuss and approve the annual report for fiscal year 2081/82, along with financial statements including the profit and loss account, cash flow statement, and balance sheet. The agenda also includes the appointment of an auditor and determination of remuneration for fiscal year 2082/83, as well as matters related to the election of the board of directors.

The meeting will also decide on calling for the share amount from the issued capital for the implementation of the company's objectives and on the allotment of shares. A proposal has been put forward to authorize the board of directors to sell shares even to new entrants, in accordance with prevailing law, if existing shareholders do not express interest in investing.

Shareholders registered up to the end of Jestha 2083 will be eligible to participate and vote in the meeting. Shareholders wishing to appoint a proxy must fill out the proxy form in the prescribed format and submit it to the company's registered office at least five days before the meeting begins. The company has stated that the schedule for the director election will be published by the election committee at least three days before the meeting.
