आज (माघ ३) देखि "साना तथा मझौला संगठित संस्थाको धितोपत्र निष्कासन तथा कारोबार नियमावली, २०८१" लागू भएको छ, जसले साना कम्पनीहरुलाई धितोपत्र बजारमा प्रवेश गर्ने अवसर प्रदान गरेको छ। यस नयाँ नियमावलीले चुक्तापुँजी २५ करोड रुपैयाँ भएका कम्पनीहरुलाई आईपीओ निष्कासन गर्ने बाटो खोल्दछ।
साना र मझौला कम्पनीहरूले ३०% देखि ४९% सम्मको आईपीओ निष्कासन गर्नुपर्ने व्यवस्था राखिएको छ। यस्ता कम्पनीहरूले ५०० कित्ताको आवेदन र न्यूनतम ५० रुपैयाँ अंकित मूल्य तोक्नुपर्नेछ। आईपीओ प्रिमियममा निष्कासन गर्नका लागि कम्पनीको मुनाफा र क्रेडिट रेटिङको आधारमा निर्णय हुनेछ।
पाँच प्रतिशत मर्चेन्ट बैंकर र १५ प्रतिशत योग्य संस्थागत लगानीकर्ताले आईपीओ खरिद गर्नुपर्नेछ, र तीन वर्षसम्म बिक्री गर्न नसकिने व्यवस्था गरिएको छ। यसबाट साना कम्पनीहरूलाई विकासको नयाँ दिशा मिल्नेछ।
From today (Magh 3), the "Securities Issuance and Trading Regulations for Small and Medium Organized Entities, 2081" have been implemented, providing small companies with an opportunity to enter the securities market. This new regulation opens the way for companies with a paid-up capital of 250 million rupees to issue IPOs.
Small and medium companies are required to issue 30% to 49% of their paid-up capital in the form of an IPO. These companies must apply for a minimum of 500 shares and set a face value of 50 rupees per share. The decision to issue an IPO at a premium will depend on the company's profitability and credit rating.
Five percent of the IPO must be purchased by a merchant banker, and 15% must be bought by qualified institutional investors, with a provision that the shares cannot be sold for three years. This move will provide small companies with a new direction for growth.
