Notice Regarding Opening of Public Issue and Sale of Shares for Local Residents of Project-Affected Area and Foreign Employed Nepalese

Him Parbat Hydropower Limited hereby informs all concerned that out of thirty-five percent of its issued capital Rs. 1,69,00,00,000/- (In words, One Billion Six Hundred Ninety Million Rupees only), amounting to Rs. 59,15,00,000/- (In words, Fifty-Nine Crore Fifteen Lakh Rupees only) equivalent to 59,15,000 (Fifty-Nine Lakh Fifteen Thousand) units of ordinary shares allocated for the general public, ten percent of the issued capital amounting to Rs. 16,90,00,000/- (In words, Sixteen Crore Ninety Lakh Rupees only) equivalent to 16,90,000 units at par value of Rs. 100/- each for local residents of project-affected area as per the table below, and out of the remaining twenty-five percent amounting to Rs. 42,25,00,000/- (In words, Forty-Two Crore Twenty-Five Lakh Rupees only) equivalent to 42,25,000 units of ordinary shares, ten percent amounting to 4,22,500 units of ordinary shares for Nepalese currently employed abroad after obtaining labor approval from relevant agencies of the Government of Nepal, are issued and opened for sale with effect from today, Wednesday, Kartik 11, 2083.

Details Regarding Shares Allocated to Local Residents of Project-Affected Area

Severely Affected Area Dolakha District, Bigu Rural Municipality Ward No. 5, 6, 7 and 8 and Kalinchowk Rural Municipality Ward No. 2, 3 and 4: 60% of 10% of Issued Capital, equivalent to 10,14,000 units

Affected Area All other wards of both Rural Municipalities except the wards mentioned above: 40% of 10% of Issued Capital, equivalent to 6,76,000 units

The share allocation for project-affected local residents is in accordance with the Environmental Impact Assessment Report.

After expiry of the license period, as per the Electricity Act, 2049 and its amendments from time to time, the project will be handed over to the Government of Nepal in running condition free of cost.

Rating Provision

According to the approved prospectus, as per the provision in the "Securities Registration and Issue Regulations, 2073" (including the Third Amendment), the company required an Issuer Rating. Thus, as per the provision in Rule 3 of the "Credit Rating Regulations, 2068", credit rating was conducted by ICRA Nepal Ltd., Dillibazar, Kathmandu, obtaining "[ICRANP-IR] BB+" on date 13/08/2026. [ICRANP-IR] BB+ (Pronounced as ICRANP Issuer Rating Double B Plus) indicates that the company's financial obligation carrying capacity is at moderate risk "Moderate Risk of Default Regarding Timely Servicing of Financial Obligations". ICRA Nepal Limited provides ratings from "[ICRANP- IR] AAA" to "[ICRANP- IR] D". Where rating "[ICRANP- IR]AAA" indicates strong fundamentals while "[ICRANP- IR]D" indicates weak fundamentals.
