काठमाडौं — संस्थापक र सर्वसाधारण सेयरको ‘आईएसआईएन’ (इन्टरनेसनल सेक्युरिटिज आइडेन्टिफिकेसन नम्बर) एउटै कायम भएसँगै दोस्रो बजारमा ठूलो परिमाणमा संस्थापक सेयर बिक्रीमा आउन थालेका छन् । नेपाल धितोपत्र बोर्डले आधारभूत सेयरधनी (५ प्रतिशत वा सोभन्दा बढी सेयर भएका) ले सेयर बेच्नुभन्दा १५ दिनअगावै सार्वजनिक सूचना दिनुपर्ने नयाँ नियम लागू गरेपछि अहिले धमाधम बिक्रीका सूचना आउन थालेका हुन् । सीडीएस एन्ड क्लियरिङले भदौ १७ गतेदेखि दुवै प्रकृतिका सेयरलाई एउटै आईएसआईएनमा गाभेपछि लकिङ अवधि सकिएका संस्थापक सेयरको कारोबार सहज भएको हो ।
बोर्डको नयाँ व्यवस्थाले सेयर बजारको मनोविज्ञानमा भने प्रत्यक्ष असर पारेको छ । बिक्रीको १५ दिनअघि नै बजारमा सूचना प्रवाह हुँदा कुन कम्पनीको कति सेयर आपूर्ति (सप्लाई) हुँदैछ भन्ने लगानीकर्ताले पहिल्यै थाहा पाउन थालेका छन् । बजार जानकारहरूका अनुसार, यसरी ठूलो परिमाणमा सेयर आउने जानकारीले लगानीकर्तालाई ‘पर्ख र हेर’ को अवस्थामा पुर्याएको छ । अग्रिम सूचना दिने व्यवस्था सैद्धान्तिक रूपमा पारदर्शी भए पनि यसले सेयर बिक्री हुनुअगावै सम्बन्धित कम्पनीको बजार मूल्यमा भने दबाब सिर्जना गर्न थालेको विश्लेषकहरूको भनाइ छ ।
पछिल्लो समय इमर्जिङ नेपाल लिमिटेडका १२ जना संस्थापकले एकैपटक २६ लाख २० हजार कित्ताभन्दा बढी सेयर बेच्ने घोषणा गरेका छन् । यो कम्पनीको कुल संस्थापक सेयरको ५२ प्रतिशतभन्दा ठूलो हिस्सा हो । जसमा सबैभन्दा धेरै व्यवसायी चन्द्रप्रसाद ढकाल एक्लैले ७ लाख २० हजार कित्ता बेच्दैछन् भने सुभाषचन्द्र संघईले ६ लाख २५ हजार कित्ता बिक्री गर्ने सूचना निकालेका छन् । यस्तै, कालिन्चोक दर्शनका ६ जना आधारभूत सेयरधनीले पनि आफ्नो हिस्साको करिब २६ प्रतिशत अर्थात् १३ लाख ४० हजार कित्ता सेयर बिक्री गर्ने तयारी गरेका छन् ।
यी दुईबाहेक अन्य जलविद्युत् तथा ऊर्जा कम्पनीका संस्थापकहरूले पनि धमाधम आफ्नो लगानी झिक्न थालेका छन् । मोदी इनर्जीका आदित्य अग्रवालले ४ लाख ७२ हजार र भगवती हाइड्रोपावरका रोशन केसी तथा प्रज्ञा थापाले झन्डै साढे ३ लाख कित्ता सेयर बेच्ने सूचना दिएका छन् । यसैगरी, अपर हेवाखोलाका दुई संस्थापकले १ लाख ३४ हजार कित्ता सेयर बेच्दैछन् भने श्वेत गंगा हाइड्रोपावरमा लगानी गरेको डोल्मा इम्प्याक्ट फन्ड–१ ले पनि आफ्नो सम्पूर्ण लगानी बिक्री गर्ने भन्दै सार्वजनिक सूचना जारी गरिसकेको छ ।
Kathmandu — The integration of the International Securities Identification Number (ISIN) for promoter and ordinary shares has unlocked a massive offloading of promoter stakes in the secondary market. Following a new directive from the Securities Board of Nepal (SEBON) requiring basic shareholders (holding 5 percent or more) to issue a 15-day advance public notice before selling their holdings, a flurry of sale announcements has surfaced. The trading of unlocked promoter shares was eased after CDS and Clearing Limited brought both share categories under a single ISIN earlier this month.
This new regulatory provision has directly impacted market psychology. Because investors are notified of an impending massive supply of shares two weeks in advance, many have adopted a cautious "wait and see" approach. Market analysts point out that while the advance disclosure rule promotes transparency in principle, practically, it exerts tremendous downward pressure on the market prices of the respective companies long before the actual shares are offloaded.
Recently, 12 promoters of Emerging Nepal Limited announced the sale of over 2.62 million shares, which constitutes a massive 52 percent of the company's total promoter holding. Notably, prominent businessman Chandra Prasad Dhakal alone is offloading 720,000 units, while Subhash Chandra Sanghai is selling 625,000 units. Similarly, six basic shareholders of Kalinchowk Darshan are preparing to dump about 26 percent of their promoter stake, amounting to 1.34 million shares.
The selling spree is not limited to these two companies; founders of various hydropower and energy firms are also rushing to pull out their investments. Aditya Agrawal of Modi Energy has announced the sale of 472,000 units, while Roshan KC and Pragya Thapa of Bhagawati Hydropower are selling nearly 350,000 shares combined. Furthermore, two promoters of Upper Hewakhola are preparing to sell 134,000 units, and Dolma Impact Fund-1 has also issued a public notice signaling its exit from Shwet Ganga Hydropower.
