काठमाडौँ — हिमालयन हाइड्रोपावर लिमिटेडले आगामी कात्तिक १९ गते (बिहीबार) आफ्नो १९औँ वार्षिक साधारण सभा आह्वान गरेको छ। कम्पनी सञ्चालक समितिको बैठकले पोखराको बिरौटास्थित 'होटेल पोखरा ग्राण्ड'मा बिहान ११ बजेदेखि सभा सञ्चालन गर्ने निर्णय गरेको हो।
यस पटकको साधारण सभामा कम्पनीले हकप्रद सेयर निष्कासन गर्दा हक हस्तान्तरण गर्ने विषय र कम्पनीको नियमावली संशोधन गर्ने विशेष प्रस्ताव अघि सारेको छ। यसका साथै, आर्थिक वर्ष २०८२/८३ को वासलात, नाफा–नोक्सान हिसाबसहितको वार्षिक लेखापरीक्षण प्रतिवेदन पारित गर्ने र चालु आव २०८३/८४ का लागि लेखापरीक्षक नियुक्त गरी निजको पारिश्रमिक तोक्ने सामान्य प्रस्ताव पनि अनुमोदनका लागि पेस गरिनेछ। सभाले एक जना स्वतन्त्र व्यावसायिक सञ्चालकको समेत नियुक्ति गर्ने कार्यसूची रहेको छ।
साधारण सभा प्रयोजनार्थ कम्पनीले आगामी कात्तिक ११ गते सेयर दाखिला खारेजी (बुक क्लोज) गर्ने जानकारी दिएको छ। यसको अर्थ, सेयरधनी दर्ता पुस्तिका बन्द हुनुभन्दा अघिल्लो दिनसम्म नेप्सेमा कारोबार भई कायम रहेका सेयरधनीहरूले मात्र उक्त सभामा सहभागिता जनाउन र मतदान गर्न पाउनेछन्।
KATHMANDU — Himalayan Hydropower Limited has convened its 19th Annual General Meeting (AGM) for Kartik 19 (Thursday). A meeting of the company's board of directors decided to hold the assembly at 'Hotel Pokhara Grande' in Birauta, Pokhara, starting at 11 AM.
For this AGM, the company has tabled special proposals regarding the transfer of rights during the issuance of right shares and the amendment of the company's articles of association. Additionally, general proposals to endorse the annual audit report—including the balance sheet and profit and loss account for the fiscal year 2082/83—and to appoint an auditor for the current fiscal year 2083/84 while fixing their remuneration, will be presented for approval. The agenda also includes the appointment of one independent professional director.
For the purpose of the AGM, the company has announced a book closure date on Kartik 11. This means only shareholders whose shares are traded and maintained in NEPSE until the day before the shareholder registry book closes will be eligible to participate and vote in the assembly.
