उपकार लघुवित्तको साधारण सभा सम्पन्न, हकप्रद शेयर जारी गर्ने निर्णयUpakar Laghubitta Approves Annual Reports, Rights Share Issuance in 7th AGM
काठमाडौं । उपकार लघुवित्त वित्तीय संस्था लिमिटेडको सातौं वार्षिक साधारण सभा सम्पन्न भएको छ । सभा २०८३ जेठ १० गते होटल सेन्ट्रल प्लाजा, कोहलपुरमा सम्पन्न भएको संस्थाले जनाएको छ ।
सभाले आर्थिक वर्ष २०८१/८२ को सञ्चालक समितिको प्रतिवेदन तथा लेखापरीक्षकको प्रतिवेदनसहित वार्षिक वित्तीय विवरण पारित गरेको छ । जसअनुसार सो अवधिको वासलात, नाफा–नोक्सान हिसाब तथा नगद प्रवाह विवरण स्वीकृत गरिएको हो ।
त्यस्तै, आर्थिक वर्ष २०८२/८३ का लागि संस्थाको लेखापरीक्षकमा PRSH & Associates लाई नियुक्त गर्दै पारिश्रमिक समेत निर्धारण गर्ने निर्णय गरिएको संस्थाले जनाएको छ ।
सभाले अन्य वित्तीय संस्थासँग मर्जर, एक्विजिसन वा प्राप्ति सम्बन्धी आवश्यक सम्झौता गर्न तथा सोसम्बन्धी अधिकार सञ्चालक समितिलाई प्रत्यायोजन गर्ने प्रस्ताव पनि पारित गरेको छ ।
यसैगरी, संस्थापक समूहबाट सञ्चालकका रूपमा आरती पौडेल र मुक्तीराम पन्थीलाई अनुमोदन गरिएको छ । साथै, संस्थाको पूँजी वृद्धि गर्न हकप्रद शेयर जारी गर्ने प्रस्ताव समेत सभाबाट पारित भएको छ ।
Kathmandu — Upakar Laghubitta Bittiya Sanstha Ltd. has successfully concluded its 7th Annual General Meeting (AGM), held on 10 June 2083 at Hotel Central Plaza in Kohalpur.
The meeting approved the financial statements for the fiscal year 2081/82, including the board of directors’ report, auditor’s report, balance sheet, profit and loss account, and cash flow statement along with related schedules.
For the fiscal year 2082/83, the AGM appointed PRSH & Associates as the external auditor and also determined its remuneration.
The shareholders’ meeting also passed a proposal authorizing the Board of Directors to undertake necessary processes related to mergers, acquisitions, or takeovers with other financial institutions, including signing relevant agreements as required.
In addition, the AGM approved the nomination of Arati Paudel and Muktiram Panthi as directors representing the promoter group.
The meeting further endorsed a proposal to issue rights shares in order to increase the institution’s capital base, according to the company.
