5. Loans and Advances are presented net of impairment charges and includes interest accruals and staff loans.
6. Figures are regrouped/rearranged/restated wherever necessary for consistent presentation and comparison.
7. Actuarial Valuation for defined benefit plans and staff leave have not been done for the reported period.

यस अवधिमा ऋण प्रवाह/सापटी, सदस्यहरुबाट प्राप्त बचत, कर्जा असुली तथा नोक्सानी व्यवस्थामा सकारात्मक प्रभाव परेको छ। बजारमा लगानी योग्य पूँजीको सहज उपलब्धता भएको कारण र बाह्य कर्जा व्याज प्रतिशत घट्दै गएको कारण कर्जा विस्तार बढेको र व्याज खर्चमा कमी आएको छ। व्यवस्थापनबाट लघुवित्त क्षेत्रमा देखिएको वाह्य जोखिम, कर्जा जोखिम तथा तरलता जोखिमहरुलाई उच्च प्राथमिकताका साथ विश्लेषण गर्दै वित्तीय कारोवारहरु सञ्चालन गरिएको छ। आगामी दिनमा वित्तीय क्षेत्रमा देखिएको बाह्य समस्यामा क्रमशः सुधार भई संस्थाको मौज्दात, आम्दानी र तरलता सन्तोषजनक रहने व्यवस्थापनको अनुमान रहेको छ।
ख) आगामी अवधिको व्यावसायिक योजना सम्बन्धमा व्यवस्थापनको विश्लेषणत्मक विवरण :
राष्ट्रिय स्तरका यस वित्तीय संस्थाले स्थापनाको सुरु देखिने वित्तीय पहुँच अभिवृद्धि गराई न्यून आय भएका तथा विपन्न वर्गका महिलाहरुलाई स्वरोजगार बनाउने उद्देश्यले लघुवित्त सेवा प्रदान गरिरहेको छ। हाल संस्थाले १३२ वटा शाखा कार्यालय मार्फत देशका ७ वटा प्रदेशमा ४५ जिल्ला भित्र एक लाख चालिस हजार भन्दा बढी विपन्न घर परिवारमा लघुवित्त सेवा प्रदान गरिरहेको छ। संस्थाले नवीनतम प्रविधिहरुको प्रयोग गरी छिटो छरितो र विश्वसनीय एवं दिगो सेवा प्रदान गर्दै कार्यक्रम विस्तारमा अग्रसर रहेको छ। संस्थाले कृषि, पशुपालन, सेवा व्यवसाय तथा लघुउद्यम जस्ता व्यवसायहरु सञ्चालनको लागि विशेष गरी महिलाहरुलाई केन्द्रित गरी विभिन्न किसिमको निःशुल्क सीपमूलक तालिम प्रदान गरी सवल, सरल तथा उत्तरदायी लघुवित्त सेवा उपलब्ध गराउँदै आएको छ। समय सापेक्ष सदस्यको चाहना अनुसार सेवा तथा सुविधाहरु परिमार्जन गर्दै सदस्यहरुलाई गुणस्तरीय लघुवित्तीय सेवा प्रदान गर्ने लक्ष्य लिइएको छ।
ग) विगतको अनुभवबाट संगठित संस्थाको मौज्दात, नाफा वा नगद प्रवाहमा असर पर्न सक्ने घटना आदि भएमा सो सम्बन्धी विश्लेषणात्मक विवरण :
लघुवित्त विरुद्धको आन्दोलन, श्रोतको परनिर्भरता र अपर्याप्तता, लघुवित्त संस्थाहरूमा देखिएको कर्जाको दोहोरोपना, अस्वस्थ प्रतिस्पर्धा, आर्थिक मन्दी जस्ता समस्याले संस्थाको आम्दानीमा प्रत्यक्ष असर पर्छ। भविष्यमा यस्ता किसिमका नकारात्मक असर पार्न सक्ने घटना वा अवस्था आउन नदिन आवश्यक नीति नियम, कार्यविधिहरुको तर्जमा गरी अगाडि बढ्ने नीति यस संस्थाले लिएको छ।
३. कानुनी कारवाही सम्बन्धी विवरण :
क) यस त्रैमासमा संस्थाले कर्मचारी विरुद्ध दायर गरेका केही मुद्दाहरू सम्बन्धित सम्मानित जिल्ला अदालतमा विचाराधिन रहेका छन् तथा संस्थाको विरुद्ध कुनै मुद्दा दायर भएको सूचना प्राप्त भएको छैन।
ख) यस संस्थाको संस्थापक वा सञ्चालकले वा संस्थापक वा सञ्चालकको विरुद्ध प्रचलित नियमको अवज्ञा वा फौजदारी अपराध गरेको सम्बन्धमा कुनै मुद्दा दायर गरेको वा भएको कुनै जानकारी प्राप्त भएको छैन।
ग) कुनै संस्थापक वा सञ्चालक विरुद्ध आर्थिक अपराध गरेको सम्बन्धमा कुनै मुद्दा दायर गरेको वा भएको कुनै जानकारी प्राप्त भएको छैन।
४. संगठित संस्थाको शेयर कारोबार सम्बन्धी विश्लेषण :
क) धितोपत्र बजारमा भएको संगठित संस्थाको कारोबार सम्बन्धमा व्यवस्थापनको धारणा
दोस्रो बजारमा हुने शेयर कारोबारको मूल्य खुल्ला बजारले निर्धारण भए अनुरूप हुने व्यवस्थापनको धारणा रहेको छ।
ख) नेपाल स्टक एक्सचेञ्ज लिमिटेडको वेभसाईट www.nepalstock.com को अनुसार चौथो त्रैमास अवधिमा यस वित्तीय संस्थाको शेयर कारोबार निम्न विवरण अनुसार भएको देखिन्छ ।

५. समस्या तथा चुनौती :
क) लघुवित्त वित्तीय संस्था विरुद्ध संघर्ष समितिमा आवद्ध केही व्यक्तिहरूले केन्द्र बैठक सञ्चालनमा अवरोध गर्ने र अन्य केही व्यक्तिहरूले समेत कर्जा नतिर्न उक्साया राखी अन्य ऋणीहरूलाई लघुवित्तको कर्जा नतिर्नु भन्ने गलत प्रचार बाजीको कारण निष्क्रिय ऋणीका साथै राम्रो व्यवसाय गरेर बसेका ग्राहक समेतले किस्ता तिर्न अटेर गरेको कारण कर्जा असुलीदरमा समस्या रहेकोले लघुवित्त व्यवसायको निरन्तरतालाई कायम राख्न चुनौती थपिएको छ।
ख) लघुवित्त वित्तीय संस्थाहरूबीच उत्पन्न भएको अस्वस्थ प्रतिस्पर्धा, सदस्यहरूको दोहोरोपना र सदस्यहरूमा कर्जाको अधिक भार आदि कारणले संस्थाको ग्राहक सदस्य तथा व्यवसाय विस्तारमा चुनौतीहरु थपिंदै गइरहेको छ।
ग) दक्ष जनशक्तिको कमि।
६. संस्थागत सुशासन :
संस्थागत सुशासनका लागि यस वित्तीय संस्था सदैव प्रतिवद्ध रहेको छ। सञ्चालक समितिका काम कारवाहीहरु तथा संस्थाको अन्य सबै क्रियाकलापहरु पारदर्शी रुपमा सञ्चालन गरी संस्थागत सुशासनको विकास गर्न एवम् सो को अनुभूती गराउन संस्था सदैव क्रियाशील छ।
क) यस वित्तीय संस्थाको सञ्चालक समिति तथा व्यवस्थापन, शेयरधनीहरु लगायत सम्पूर्ण सरोकारवालाहरुको हित संरक्षण तथा प्रवर्द्धन गर्न सदैव प्रतिवद्ध रहेको छ। कम्पनी ऐन २०६३, बैंक तथा वित्तीय संस्था सम्बन्धी ऐन २०७३, नेपाल राष्ट्र बैंक ऐन २०५८, धितोपत्र ऐन २०६३ तथा विद्यमान ऐन कानुन र अन्य नियमनकारी निकायहरुको निर्देशनको पालना गरी संस्थागत सुशासनको निरन्तर परिपालनाका लागि सञ्चालक समितिले प्रबन्धपत्र, नियमावली, कर्मचारी सेवा विनियमावली, आर्थिक प्रशासन विनियमावली, बचत तथा कर्जा निर्देशिका, कर्जा अपलेखन विनियमावली, समूह केन्द्र व्यवस्थापन तथा प्रवेश पूर्व तालिम सञ्चालन निर्देशिका लगायत अन्य आवश्यक नीति निर्देशिकाहरु तयार गरी लागू गरिएको छ।
ख) संस्थाले आफ्नो कारोबार तथा आन्तरिक नियन्त्रण प्रणालीलाई प्रभावकारी बनाउन सञ्चालक तथा व्यवस्थापन तहमा लेखापरीक्षण समिति, कर्मचारी सेवा सुविधा समिति, जोखिम व्यवस्थापन समिति, सम्पत्ति शुद्धीकरण अनुगमन समिति, आर्थिक निर्देशन समिति लगायतका विभिन्न समिति एवं उपसमितिहरु गठन गरी संस्थागत सुशासन सम्बन्धी व्यवस्था पालना गरेको छ।
७. सत्य, तथ्यता सम्बन्धमा प्रमुख कार्यकारी अधिकृतको उद्घोषण :
आजको मितिसम्म यस प्रतिवेदनमा उल्लेखित जानकारी तथा विवरणहरुको शुद्धता सम्बन्धमा म व्यक्तिगत रुपमा उत्तर दायित्व लिन्छु। साथै म यो उद्घोषण गर्छु कि मैले जाने बुझे सम्म यस प्रतिवेदनमा उल्लेखित विवरणहरु सत्य, तथ्य र पूर्ण छन्। लगानीकर्ताहरुलाई सु-सूचित निर्णय लिन आवश्यक कुनै विवरण वा सूचना तथा जानकारीहरु लुकाइएको छैन।

During this period, loan disbursement/borrowings, savings collected from members, loan recovery, and loan loss provision have shown a positive impact. Due to the easy availability of investable capital in the market and decreasing external borrowing interest rates, loan expansion has increased and interest expenses have decreased. The management has conducted financial transactions giving high priority to analyzing external risks, credit risks, and liquidity risks seen in the microfinance sector. The management estimates that external problems in the financial sector will gradually improve, and the institution's balance, income, and liquidity will remain satisfactory in the coming days.
b) Management's Analytical Details Regarding Business Plan for the Coming Period:
This national-level financial institution has been providing microfinance services with the objective of increasing financial access right from its inception to make low-income and deprived sector women self-employed. Currently, through 132 branch offices, the institution is providing microfinance services to over 140,000 deprived households across 45 districts in 7 provinces of the country. Using modern technology, the institution is proactive in expanding its programs by providing prompt, reliable, and sustainable services. The institution provides various free skill-based trainings focusing especially on women for running businesses such as agriculture, animal husbandry, service business, and micro-enterprises, providing strong, simple, and responsible microfinance services. It aims to provide quality microfinance services to members by modifying services and facilities according to members' needs over time.
c) Analytical Details Regarding Events That May Affect Balance, Profit, or Cash Flow Based on Past Experience:
Movements against microfinance, dependence on external sources and inadequacy of funds, double banking/multiple lending among microfinance institutions, unhealthy competition, and economic slowdown directly impact the institution's income. The institution has adopted a policy to formulate necessary policies, rules, and procedures to prevent such negative events or conditions from occurring in the future.
3. Details Regarding Legal Actions:
a) In this quarter, some cases filed by the institution against employees are pending in the respective honorable District Courts, and no information regarding any case filed against the institution has been received.
b) No information has been received regarding any cases filed by or against the institution's promoters or directors concerning violation of prevailing regulations or criminal offenses.
c) No information has been received regarding any cases filed by or against any promoter or director concerning financial crimes.
4. Analysis Regarding Share Transactions of the Company:
a) Management's view regarding the trading of the company's shares in the stock market:
Management believes that share trading prices in the secondary market are determined according to open market mechanisms.

5. Problems and Challenges:
a) Some individuals associated with the Struggle Committee against Microfinance Institutions obstructing center meetings, and inciting other borrowers not to pay loans, along with false publicity telling borrowers not to repay microfinance loans, has led to non-performing borrowers as well as good clients refusing to pay installments. This has created problems in loan recovery rates, posing an added challenge to maintaining microfinance business continuity.
b) Unhealthy competition among microfinance financial institutions, multiple membership of members, and excessive debt burden on members have added challenges to client acquisition and business expansion.
c) Shortage of skilled manpower.
6. Corporate Governance:
This financial institution is always committed to corporate governance. The Board of Directors operates all activities and actions of the institution transparently to develop corporate governance and foster trust.
a) The Board of Directors and management are committed to protecting and promoting the interests of all stakeholders, including shareholders. In compliance with the Companies Act 2063, Bank and Financial Institutions Act 2073, Nepal Rastra Bank Act 2058, Securities Act 2063, and other prevailing laws and directives of regulatory bodies, the Board of Directors has framed and implemented the Memorandum of Association, Articles of Association, Employee Service Regulations, Financial Administration Regulations, Savings and Credit Guidelines, Loan Write-off Regulations, Group Center Management and Pre-entry Training Guidelines, and other necessary policy guidelines.
b) To make its operations and internal control system effective, the institution has formed various committees and sub-committees at the board and management levels, including Audit Committee, Employee Service and Benefits Committee, Risk Management Committee, Anti-Money Laundering Monitoring Committee, Financial Guidance Committee, to maintain corporate governance provisions.
