१. वित्तीय विवरण
(क) त्रैमासिक अवधिको वासलात, नाफा-नोक्सान सम्बन्धी विवरण ।
यस बैंकको त्रैमासिक अवधिको वासलात, नाफा-नोक्सान सम्बन्धी विवरण यसै साथ प्रकाशित गरिएको छ ।
(ख) सम्बन्धित पक्ष
यस बैंकको सम्बन्धित पक्ष बीच भएको कारोबारको विवरण बैंकको Interim Financial Report मा समावेश गरिएको छ । बैंकको चौथो त्रैमासको Interim Financial Report बैंकको website www.ctznbank.com मा हेर्न सकिन्छ ।

२. व्यवस्थापकीय विश्लेषण :
(क) बैंकको खुद व्याज आम्दानीमा कमी तथा कर्मचारी खर्च, परिशोधन तथा ह्रास खर्च र गैर सञ्चालन खर्चमा वृद्धि भएता पनि खुद शुल्क तथा कमिसन आम्दानी, खुद व्यापारिक आम्दानी, अन्य सञ्चालन आम्दानी र गैर सञ्चालन आम्दानीमा वृद्धि र अन्य सञ्चालन खर्चमा केही कमी, तथा कर्जा नोक्सानी व्यवस्थामा भएको कमीका कारणले गत वर्षको सोही त्रैमासको तुलनामा खुद नाफामा वृद्धि देखिएको छ ।
(ख) व्यवसाय विविधिकरण तथा गुणस्तरीय सेवा प्रदान गर्ने बैंकको उद्देश्य तथा स्थानीय तहका दुर्गम क्षेत्रमा खोलिएका शाखाका साथ-साथै शाखा रहित बैंकिङ्ग (Branch Less Banking), विस्तारिक काउन्टर (Extension Counter) र Digital सेवा सुविधाका विभिन्न माध्यमबाट ग्रामिण क्षेत्रमा बैंकिङ्ग पहुँच वृद्धि गर्दै लैजाने तथा ग्राहकमुखी नयाँ सेवा तथा सुविधामा आवश्यकता अनुसार वृद्धि गर्ने र ग्राहक सेवा सुविधा अझ चुस्त दुरुस्त र स्तरीय बनाउँदै लगिने योजना रहेको छ ।

Notes to the Interim Financial Statements
1. Above financials have been prepared in accordance with Nepal Accounting Standards comprising of Nepal Financial Reporting Standards and Nepal Accounting Standard.
2. All Lease contracts have been accounted for as per NFRS 16. Accordingly, Right of Use Assets and Lease Liabilities have been recognised along with Right of Use Assets being dep
3. The Bank has prepared financial statements applying appropriate accounting judgement that are prudent and reasonable as having potential material impact on the financial stateme with NFRS requirements and consistently applied in comparative period also.
4. Previous Period figures have been regrouped/rearranged/restated wherever necessary which might vary from previous quarterly published figures.
5. Loans and Advances include accrued interest receivables and staff advances and are presented net of impairment loss.
6. Above financials have been prepared in accordance with Expected Credit Loss Related Guidelines issued by Nepal Rastra Bank.
7. Interest income has been recognized as per Guidance Note on Interest Income Recognition, 2025 issued by NRB.
8. Above figures are subject to change upon otherwise instructions of Statutory Auditor and/or Regulatory Authorities.

Related Party Disclosures
1. Group financial statement includes Citizens Bank International Limited (Parent Company), Citizens Capital Limited and Citizens Share Broker Limited (Subsidiary Companies) and A
2. All intra group transactions are conducted on arm's length basis.
3. An agreement has been entered between the Bank and the Subsidiary Companies to provide facilities like technical assistance, internal auditing, legal consulting, RTS Service.
4. All intra group transactions have been excluded in Group Financial Statement.
5. All transaction with Key Management Personnels (Directors and Executive Management staffs) are conducted as per Articles of Association and Employee Bylaws of the Bank.
(ग) हालको विवरण अनुसार बैंकको मौज्दात, नाफा वा नगद प्रवाहमा तात्विक असर पार्न सक्ने अवस्था आदि रहेको छैन ।
३. कानूनी कारवाही सम्बन्धी विवरण :
(क) यस अवधिमा बैंकले वा बैंकको विरुद्ध कुनै मुद्दा दायर भएको भए :
यस अवधिमा बैंकको तर्फबाट ८ वटा मुद्दा दायर भएको छ । बैंकको विरुद्धमा ४९ थान मुद्दा दायर भएको अवस्था देखिन्छ ।
(ख) बैंकको संस्थापक वा संचालकले वा संस्थापक वा संचालकको विरुद्धमा प्रचलित नियमको अवज्ञा वा फौजदारी अपराध गरेको सम्बन्धमा कुनै मुद्दा दायर गरेको वा भएको भए :
यस सम्बन्धमा कुनै जानकारी प्राप्त भएको छैन ।
(ग) कुनै संस्थापक वा संचालक विरुद्ध आर्थिक अपराध गरेको सम्बन्धमा कुनै मुद्दा दायर भएको भए :
यस सम्बन्धमा कुनै जानकारी प्राप्त भएको छैन ।
४. संगठित संस्थाको शेयर कारोबार सम्बन्धी विश्लेषण :
(क) धितोपत्र बजारमा भएको बैंकको शेयरको कारोबार सम्बन्धमा व्यवस्थापनको धारणा:
देशको धितोपत्र बजारमा संगठित संस्थाहरुको शेयर कारोबारमा देखिएको उच्च उतार चढाव अनुसार गत त्रैमासको तुलनामा यस बैंकको शेयर कारोबारमा केही कमी देखिएको छ ।
(ख) यस अवधिको शेयरको अधिकतम, न्यूनतम, अन्तिम मूल्य, कारोबार भएको कुल दिन तथा कारोबार संख्या:

५. समस्या तथा चुनौती :
(क) आन्तरिक समस्या तथा चुनौती
बैंकको संचालन खर्च वृद्धि हुँदै जानु, नियामकीय आधार दर तथा प्रिमियम मापदण्डमा रहेर ब्याजदर अन्तर बढाई खुद ब्याज आम्दानी बढाउने, आय विविधिकरण, कर्जाको गुणस्तर अभिवृद्धि र निष्कृय कर्जाको व्यवस्थापन, नियमनकारी समायोजनले गर्दा वितरणयोग्य मुनाफामा आएको कमी, उपयुक्त लगानीका क्षेत्र पहिचान, संचालन जोखिम व्यवस्थापन र सूचना प्रविधिमा हुने अन्तरनीहित जोखिमहरुको पहिचान र व्यवस्थापन जस्ता आन्तरिक समस्या तथा चुनौती रहेको विद्यमान परिप्रेक्ष्यमा दीर्घकालिन रुपमा बैंकका समग्र सूचकहरुलाई सुधार गर्दै जाने कार्य चुनौतीपूर्ण रहेको छ ।
(ख) बाह्य समस्या तथा चुनौती
बढ्दो क्रममा रहेको निष्कृय कर्जा तथा कर्जा नोक्सानी व्यवस्था र त्यस्ता निष्कृय कर्जा असूलीमा देखिएका कानुनि र प्रक्रियागत जटिलताका कारण निष्कृय कर्जा व्यवस्थापन ज्यादै नै चुनौतीपूर्ण रहेको छ । यस्ता चुनौतीहरु रहेको अवस्थामा बैंकिङ्ग क्षेत्रमा सहज तरलता बाबजुद बजारमा कर्जाको माग अपेक्षाकृत नबढ्नु, तीव्र प्रतिस्पर्धी हुनु, बैंकिङ्ग क्षेत्रबाट दक्ष जनशक्तिको पलायन, सूचना प्रविधिका क्षेत्रमा देखा परेका नयाँ किसिमका चुनौतीहरु, घर जग्गा कारोबारमा आएको सिथिलता, कर्जा असूलीका कानूनी तथा सामाजिक जटिलता लगायत प्रमुख बाह्य समस्या हुन् । यस्ता समस्या विद्यमान रहेको अवस्थामा बैंकको कारोबार दिगो रुपमा विस्तार गरी सम्पत्तिको गुणस्तर कायम राखि लगानीकर्तालाई उचित प्रतिफल दिने कार्य चुनौतीपूर्ण रहेको छ ।
(ग) रणनीति
बैंकले ग्रामीण तथा दुर्गम क्षेत्र र बैंकिङ्ग सेवाबाट वञ्चित व्यक्ति तथा संघ-संस्थालाई बैंकको दायरामा ल्याई निक्षेप परिचालन बढाउनुका साथै बैंकका अन्य सेवाहरूको आक्रामक रुपमा बजारीकरण गर्दै व्यवसाय विस्तारमा लाग्ने, आधुनिक प्रविधि तथा सफ्टवेयर प्रयोग गरी प्रत्यक्ष रुपमा ग्राहक बैंक समक्ष प्रस्तुत हुन नपर्ने गरी बैंकिङ्ग सुविधा प्रदान गर्ने, समय सापेक्ष प्रविधिमा आधारित नयाँ सेवाहरूको विकास गर्ने, विभिन्न व्यवसायिक संघ-संस्था लगायत व्यक्तिगत ग्राहकहरुसँगको सम्बन्ध सुमधुर बनाउनका लागि छिटो एवं छरितो तवरले ग्राहकमुखी सेवाहरु उपलब्ध गराउने, बैंकको समग्र जोखिम व्यवस्थापनको आधारभूत पक्षहरुलाई मजबुत बनाई उल्लिखित चुनौतीको समाधान गर्ने र बैंकको आन्तरिक कार्य प्रणाली स्वचालित तथा कागज रहित बनाई खर्च मितव्ययिता मार्फत निर्धारित लक्ष्य प्राप्त गर्ने तथा ग्राहक सेवा सुविधा चुस्त दुरुस्त बनाउने रणनीति अवलम्बन गरेको छ । साथै बैंकले कर्जा व्यवसाय वृद्धि गर्ने, कर्जा गुणस्तरलाई ग्राहयता दिने, निष्कृय कर्जा तथा पाकेको ब्याज तथा कर्जाको भाका नाघेका ऋणीहरु लगायत गैर बैंकिङ्ग सम्पत्ति र स्थगन कर सम्पत्तिको उचित व्यवस्थापन गरी वितरणयोग्य मुनाफा वृद्धि गर्ने नीति पनि लिएको छ ।
६. संस्थागत सुशासन :
(क) संस्थागत सुशासन अभिवृद्धिको लागि बैंकले आन्तरिक नियन्त्रण प्रणाली मजबुत बनाउन तथा व्यवस्थित गर्न अनुपालन विभाग तथा सुशासन इकाईको व्यवस्था गरिएको तथा लेखापरीक्षक तथा नियमनकारी निकायबाट दिइएका सुझाव तथा निर्देशनहरु व्यवस्थापन मार्फत कार्यान्वयन गराउन सदैव क्रियाशील रहेको छ ।
(ख) बैंकको समग्र जोखिम व्यवस्थापन कार्यलाई मजबुत पार्न, वर्तमान परिप्रेक्ष्यमा समग्र बजारमा देखापरेको IT Risk विश्लेषण गरी व्यवस्थापन गर्न, संचालन जोखिम कम गर्न तथा आन्तरिक प्रक्रियाहरुलाई व्यवस्थित गर्न जोखिम व्यवस्थापन समिति गठन गरिएको छ । बैंकको काम कारवाहीमा नियमितता, मितव्ययिता, कार्यदक्षता, प्रभावकारिता, औचित्यता जस्ता कुराहरु भए नभएको बारे समिक्षा गरी आवश्यक राय सुझाव दिन लेखापरीक्षण समिति गठन गरिएको छ । बैंकको समग्र अनुपालनका अवस्था विश्लेषण गर्न, ग्राहकको जोखिम स्तर निर्धारण गरी देखा परेका कमी कमजोरीको समाधान गर्न उपयुक्त निर्देशन दिने कार्य गर्न सम्पत्ति शुद्धिकरण निवारण समितिको गठन गरिएको छ । कर्जा जोखिमको अनुगमन तथा विश्लेषणलाई जोखिम व्यवस्थापन समिति अन्तर्गत रहने गरी छुट्टै विभागबाट हेर्ने व्यवस्था मिलाई बजार व्यवस्थापनको कार्यबाट छुट्टयाइएको छ । साथै विभिन्न विभागहरुसंग सम्बन्धित कार्य संचालनलाई व्यवस्थित गर्न आन्तरिक नीति, नियम तथा निर्देशिकाहरु जारी गरी लागू गरिएको छ । निर्णय प्रक्रियालाई छिटो-छरितो तथा चुस्त बनाउन व्यवस्थापन तहमा व्यवस्थापन समिति (Executive Committee), सम्पत्ति दायित्व व्यवस्थापन समिति (ALCO), IT Steering Committee लगायतका विभिन्न समितिहरु क्रियाशील रहेका छन् ।

2. Management Analysis:
(a) Despite a decrease in the bank's net interest income and an increase in employee expenses, amortization and depreciation expenses, and non-operating expenses; net profit has shown growth compared to the same quarter of the previous year due to increases in net fee and commission income, net trading income, other operating income, and non-operating income, along with some decrease in other operating expenses and a reduction in loan loss provisions.
(b) In line with the bank's objective of diversifying business and providing quality service, plans are in place to expand banking access in rural areas through branches opened in remote local levels, Branch Less Banking, Extension Counters, and various digital service channels, as well as to increase customer-oriented new services and facilities as needed, making customer service delivery more efficient, prompt, and of higher quality.

Notes to the Interim Financial Statements
1. Above financials have been prepared in accordance with Nepal Accounting Standards comprising of Nepal Financial Reporting Standards and Nepal Accounting Standard.
2. All Lease contracts have been accounted for as per NFRS 16. Accordingly, Right of Use Assets and Lease Liabilities have been recognised along with Right of Use Assets being dep
3. The Bank has prepared financial statements applying appropriate accounting judgement that are prudent and reasonable as having potential material impact on the financial stateme with NFRS requirements and consistently applied in comparative period also.
4. Previous Period figures have been regrouped/rearranged/restated wherever necessary which might vary from previous quarterly published figures.
5. Loans and Advances include accrued interest receivables and staff advances and are presented net of impairment loss.
6. Above financials have been prepared in accordance with Expected Credit Loss Related Guidelines issued by Nepal Rastra Bank.
7. Interest income has been recognized as per Guidance Note on Interest Income Recognition, 2025 issued by NRB.

Related Party Disclosures
1. Group financial statement includes Citizens Bank International Limited (Parent Company), Citizens Capital Limited and Citizens Share Broker Limited (Subsidiary Companies) and A

3. An agreement has been entered between the Bank and the Subsidiary Companies to provide facilities like technical assistance, internal auditing, legal consulting, RTS Service.
4. All intra group transactions have been excluded in Group Financial Statement.
5. All transaction with Key Management Personnels (Directors and Executive Management staffs) are conducted as per Articles of Association and Employee Bylaws of the Bank.
(C) According to the current information, there are no conditions that could have a material impact on the Bank's liquidity, profit, or cash flow.

During this period, 8 cases were filed on behalf of the Bank. It appears that 49 cases are filed against the Bank.

4. Analysis Regarding Share Transactions of the Corporate Body:

In line with the high volatility observed in the share trading of corporate bodies in the country's securities market, there has been a slight decrease in the Bank's share transactions compared to the previous quarter.

5. Problems and Challenges:
(A) Internal Problems and Challenges
In the existing context where there are internal problems and challenges such as increasing operating expenses of the Bank, increasing net interest income by expanding the interest spread within regulatory base rate and premium standards, income diversification, improving loan quality and managing non-performing loans, reduction in distributable profit due to regulatory adjustments, identifying appropriate investment sectors, operational risk management, and identifying and managing inherent risks in information technology, it remains challenging to continuously improve the Bank's overall indicators in the long run.
(B) External Problems and Challenges
Due to the increasing trend of non-performing loans and loan loss provisioning, and the legal and procedural complexities seen in recovering such non-performing loans, managing NPLs has been extremely challenging. Under such challenging circumstances, sluggish demand for credit in the market despite comfortable liquidity in the banking sector, intense competition, flight of skilled human resources from the banking sector, emerging new types of challenges in information technology, slowdown in real estate business, legal and social complications in loan recovery are the major external problems. In the face of such existing problems, it is challenging to sustainably expand the Bank's business, maintain asset quality, and provide reasonable returns to investors.
(C) Strategy
The Bank has adopted a strategy to bring unbanked individuals and institutions from rural and remote areas into the banking sphere, increase deposit mobilization, expand business by aggressively marketing other bank services, provide banking facilities through modern technology and software without requiring customers to physically visit the bank, develop new technology-based services in a timely manner, provide customer-oriented services quickly and efficiently to build harmonious relations with various business institutions and individual clients, solve the aforementioned challenges by strengthening the fundamental aspects of overall risk management, automate internal working systems to make them paperless, achieve set targets through cost efficiency, and make customer service facilities prompt and effective. Furthermore, the Bank has also adopted a policy to increase loan business, prioritize credit quality, properly manage non-performing loans, accrued interest, overdue borrowers, non-banking assets, and deferred tax assets to increase distributable profit.
6. Corporate Governance:
(A) To enhance corporate governance, the Bank has established a Compliance Department and Governance Unit to strengthen and systematize internal control systems, and is always active in implementing suggestions and directions given by auditors and regulatory bodies through management.
(B) To strengthen the Bank's overall risk management function, analyze and manage IT Risk emerging across the market in the current context, minimize operational risk, and streamline internal processes, a Risk Management Committee has been formed. An Audit Committee has been constituted to review and advise on regularity, economy, efficiency, effectiveness, and propriety in the Bank's operations. An Anti-Money Laundering Committee has been formed to analyze the Bank's overall compliance status, assess customer risk levels, and issue appropriate directives to rectify identified weaknesses. Credit risk monitoring and analysis has been separated from market management operations by establishing a dedicated department under the Risk Management Committee. Additionally, internal policies, rules, and guidelines related to operations of various departments have been issued and implemented. To make decision-making prompt and efficient, various committees including Executive Committee, Asset Liability Management Committee (ALCO), and IT Steering Committee are actively functioning at the management level.
(C) The Bank's Board of Directors and Management are always vigilant and committed to safeguarding the interests of shareholders, the general public, depositors, and all stakeholders, as well as maintaining corporate governance.
