आई.एम.ई. लाइफ इन्स्योरेन्स कम्पनी लिमिटेडका विद्यमान संस्थापक समूहका शेयरधनीहरु मध्ये केहि शेयरधनीहरुले आफ्नो नाममा रहेको संस्थापक शेयर बिक्री गर्न स्वीकृतिका लागि कम्पनीमा निवेदन दिनु भएकोमा संचालक समितिको मिति २०८३/०५/१७ गते बसेको २५३औं बैठकबाट निवेदन बमोजिम कुल ४,०५,३३४ कित्ता संस्थापक शेयर बिक्री प्रक्रिया अगाडी बढाउने निर्णय भएको हुँदा नियमनकारी निकाय श्री नेपाल बीमा प्राधिकरणबाट जारी “बीमकको संस्थापक शेयर कारोबार सम्बन्धी निर्देशिका, २०७७” को दफा ११ बमोजिम विद्यमान शेयरधनीहरुलाई प्राथमिकता दिई यो सूचना प्रकाशित गरिएको छ ।
सूचनामा उल्लेख भए बमोजिमको संस्थापक शेयर खरिद गर्न इच्छुक विद्यमान संस्थापक शेयरधनीहरुले यो सूचना प्रकाशित भएको मितिले पैंतीस (३५) दिन भित्र नेपाल बीमा प्राधिकरणले तोके बमोजिमको उपयुक्तताको जाँच (Fit & Proper Test) को मापदण्ड पूरा हुने आवश्यक कागजातहरु सहित यस कम्पनीको रजिष्टर्ड तथा कर्पोरेट कार्यालय, का.जि.का.म.न.पा. वडा नं. २६, लैनचौर, काठमाडौंमा कार्यालय समयभित्र आफुले खरिद गर्न चाहेको शेयर संख्या र दर रेट उल्लेख गरी रितपूर्वक आवेदन पेश गर्नुहुन शिलबन्दी बोलपत्र आव्हान गरिएको छ । निर्धारित समयभित्र विद्यमान संस्थापक शेयरधनीहरुबाट शेयर खरिदका लागि कुनै पनि आवेदन प्राप्त नभएमा प्रचलित कानून र नियम बमोजिम उक्त शेयरहरु संस्थापक शेयरधनी बाहेकका अन्य व्यक्ति वा संस्थालाई बिक्री गर्ने प्रक्रिया अगाडि बढाउने व्यहोरा समेत यसै सूचनाद्वारा अवगत गराईन्छ । थप जानकारीका लागि कम्पनीको रजिष्टर्ड तथा कर्पोरेट कार्यालयमा सम्पर्क गर्नुहुन सूचित गरिन्छ ।

35-Day Notice Regarding Promoter Share Sale

Among the existing promoter shareholders of I.M.E. Life Insurance Company Limited, some shareholders have submitted applications to the company for approval to sell promoter shares registered in their names. Following the decision made at the 253rd meeting of the Board of Directors held on 2083/05/17, to proceed with the sale of a total of 4,05,334 units of promoter shares as per the application, this notice is published giving priority to existing shareholders as per Section 11 of the “Insurer's Promoter Share Transaction Directive, 2077” issued by the regulatory body, Nepal Insurance Authority.
Existing promoter shareholders interested in purchasing the promoter shares mentioned in this notice are requested to submit a formal application, specifying the number of shares they wish to purchase and the rate, along with the necessary documents that meet the “Fit & Proper Test” criteria prescribed by the Nepal Insurance Authority, within thirty-five (35) days from the date of publication of this notice, during office hours at the company's Registered and Corporate Office, K.J.K.M.N.P. Ward No. 26, Lainchaur, Kathmandu. It is also informed by this notice that if no applications are received from existing promoter shareholders within the stipulated time, the process of selling these shares to individuals or institutions other than promoter shareholders will be initiated as per prevailing laws and regulations.
