२. व्यवस्थापकीय विश्लेषण

(क) त्रैमासिक अवधिमा संस्थाको मौज्दात, आम्दानी र तरलतामा कुनै परिवर्तन भएको भए सोको प्रमुख कारण सम्बन्धी विवरण :

यस त्रैमासिक अवधिसम्म आइपुग्दा नेपालको अर्थतन्त्र क्रमशः सुधारोन्मुख अवस्थामा रहेको देखिन्छ । नेपाल राष्ट्र बैंकले अवलम्बन गरेको सहज मौद्रिक नीतिका कारण बैंकिङ्ग प्रणालीमा पर्याप्त तरलता कायम रहनुका साथै ब्याजदरमा क्रमिक कमी आएको छ, जसले निजी क्षेत्रको लगानी तथा कर्जा मागलाई सकारात्मक पारिरहेको देखिन्छ । विप्रेषण (Remittance) आप्रवाहमा निरन्तर वृद्धि, विदेशी मुद्रा सञ्चिति सुदृढ रहनु तथा पर्यटन क्षेत्रको क्रमिक विस्तारले बाह्य क्षेत्रलाई थप सन्तुलित बनाएको देखिन्छ ।

1. Above financial statements are prepared in accordance with Nepal financial reporting standards (NFRSs) as per NRB Directive guidelines of Excepted Credit Loss (ECL) Model as required by NFRS 9. The Bank shall submit a separate ECL report to the Nepal Rastra Bank.

2. Previous period figure have been regrouped / rearranged wherever necessary as per NFRSs.

3. Loan and Advances includes Loan advances, interest receivables, staff loan presented net of impairment charges.

4. Personnel Expenses includes employment bonus provision calculated at 10 percent of profit after bonus.

5. Above figures are subject to change upon otherwise instructions of Statutory Auditor and/or Regulatory Authorities.

निजी क्षेत्रको कर्जा विस्तार अपेक्षित गतिमा हुन नसक्नु, निर्माण तथा रियल स्टेट क्षेत्रमा सुस्तता कायम रहनु तथा केही उद्योग-व्यवसायहरूको नगद प्रवाहमा देखिएको दबाबका कारण बैंकिङ्ग क्षेत्रमा कर्जा गुणस्तर (Asset Quality) सुधारको गति अझै चुनौतीपूर्ण रहेको देखिन्छ । यसका अतिरिक्त, अन्तर्राष्ट्रिय बजारमा कच्चा तेल लगायतका वस्तुहरूको मूल्यमा हुन सक्ने उतारचढाव, भूराजनीतिक तनाव तथा विश्व आर्थिक अनिश्चितताले आयात लागत, महँगी तथा समग्र आर्थिक गतिविधिमा प्रभाव पार्ने सम्भावना यथावत रहेको देखिन्छ ।

उल्लिखित परिस्थितिका बावजुद नेपाल सरकारले पूर्वाधार विकास, पूँजीगत खर्च वृद्धि तथा निजी क्षेत्रको लगानी प्रोत्साहनमा जोड दिएको तथा ब्याजदर अनुकूल रहनुले आगामी अवधिमा आर्थिक गतिविधि विस्तार हुने अपेक्षा गरिएको छ । यसले बैंकिङ्ग क्षेत्रमा कर्जा विस्तार, निक्षेप परिचालन तथा वित्तीय कारोबारमा क्रमिक सुधार ल्याउने सम्भावना रहेको छ ।

हालको परिप्रेक्ष्यमा आर्थिक संवेदनशीलतालाई ध्यानमा राख्दै कर्जा स्वीकृतिमा चुस्त जोखिम मूल्यांकन, क्षेत्रगत विविधिकरण र गुणस्तरीय कर्जातर्फ ध्यान केन्द्रित साथै तरलता व्यवस्थापन, कर्जा-निक्षेप सन्तुलन, जोखिममा आधारित कर्जा व्यवस्थापन, कर्जा असुली प्रक्रिया सुदृढीकरणमा बैंक व्यवस्थापन प्रतिबद्ध रहेको छ ।

समग्रमा, नयाँ गठन भएको सरकारको सम्भावित नीतिगत सुधारहरूले अर्थतन्त्रमा काही चुनौती कायम राखे पनि मध्यम् तथा दीर्घकालमा बैंकिङ्ग तथा वित्तीय क्षेत्रको स्थायित्व, कर्जा गुणस्तर सुधार तथा आर्थिक वृद्धिमा सकारात्मक प्रभाव पार्ने अपेक्षा गरिएको छ । साथै आम्दानी स्रोतहरूको विविधिकरण, सञ्चालन दक्षता अभिवृद्धि, मानव संसाधन क्षमताको विकास, प्रविधिमा आधारित सेवामा सुदृढीकरण तथा नियामक निकायको निर्देशनहरूको पूर्ण पालना गर्दै दीगो र सन्तुलित वित्तीय सेवामा केन्द्रित हुने व्यवस्थापनको योजना रहेको छ ।

(ग) विगतको अनुभवबाट, संगठित संस्थाको मौज्दात, नाफा वा नगद प्रवाहमा तात्विक असर पार्न सक्ने घटना, अवस्था अथवा बिन्दु सम्बन्धी व्यवस्थापकीय विवरण :

व्यवस्थापकीय विश्लेषण अन्तर्गत बुँदा (ख) मा उल्लेख गरिएको ।

३. कानूनी कारवाही सम्बन्धी विवरण

(क) त्रैमासिक अवधिमा संगठित संस्थाले वा संस्थाको विरुद्ध कुनै मुद्दा दायर भएको भए :

बैंकको कर्जा असुलीसम्बन्धी तथा दैनिक बैंकिङ्ग कार्य सञ्चालनको क्रममा हुने केही मुद्दाहरू बाहेकका अन्य मुद्दा नभएको र संगठित संस्थाले वा संस्थाको विरुद्ध कुनै मुद्दा चलेको जानकारी नभएको ।

(ख) संगठित संस्थाको संस्थापक वा संचालकले वा संस्थापक वा संचालकको विरुद्धमा प्रचलित नियमको अवज्ञा वा फौजदारी अपराध गरेको सम्बन्धमा कुनै मुद्दा दायर भएको वा भएको भए :

यस त्रैमासिक अवधिमा संस्थापक वा संचालक विरुद्ध कुनै मुद्दा दायर भएको जानकारीमा नआएको ।

(ग) कुनै संस्थापक वा संचालक विरुद्ध आर्थिक अपराध सम्बन्धमा कुनै मुद्दा दायर भएको भए :

यस सम्बन्धमा कुनै जानकारी प्राप्त नभएको ।

४. संगठित संस्थाको शेयर कारोबार सम्बन्धी विश्लेषण

(क) धितोपत्र बजारमा भएको संगठित संस्थाको शेयरको कारोबार सम्बन्धमा व्यवस्थापनको धारणा :

दोस्रो बजारमा हुने शेयर कारोबार शेयरको माग र आपूर्तिको सिद्धान्त र देशको समग्र आर्थिक स्थितिमा आधारित हुने भएकोले बैंकको यस सम्बन्धमा कुनै विशेष धारणा नभएको ।

(ख) त्रैमासिक अवधिको शेयरको अधिकतम, न्यूनतम, अन्तिम मूल्य, कारोबार भएको कुल दिन तथा कारोबार संख्या

अधिकतम मूल्य : रु. २४६.९० कारोबार भएको कुल दिन : ६४

न्यूनतम मूल्य : रु. २३७.८० कारोबार शेयर संख्या : ३,५०९,५५९ कित्ता शेयर

अन्तिम मूल्य : रु. २३९.००

५. समस्या तथा चुनौती

• कर्जा मागमा कमी

• निक्षेप कर्जा

• बैंकमा कार्यरत दक्ष जनशक्तिको पलायनबाट उत्पन्न हुन सक्ने सम्भावित जोखिम ।

• नवीनतम प्राविधिक प्रणालीहरूको कार्यान्वयनका क्रममा लाग्ने उच्च लागत तथा छोटो अवधिमा आवश्यक प्राविधिक विकाससँग सम्बन्धित चुनौतीहरू ।

• विभिन्न कारणबाट हुन सक्ने संचालन जोखिम ।

बाह्य

• व्यवसायिक विश्वासमा गिरावट

• नियमनकारी निकायबाट जारी गरिने नीति, निर्देशन तथा कानूनहरूमा हुने परिवर्तनले उत्पन्न हुन सक्ने सम्भावित जोखिमहरू ।

• कर्जाको मागमा आएको कमी, पूँजीगत बजेटमा हुन नसकेको बजेटको खर्च तथा सुस्त विकास निर्माणका कार्यहरू

• प्रविधिको विकाससँगै निम्त्याएको जोखिम ।

• वित्तीय सूचना प्रणालीमा सुरक्षासम्बन्धी जोखिममा आएको वृद्धि ।

रणनीति

• व्यवसायिक विविधिकरण, ग्राहक-केन्द्रित सेवामा जोड दिने ।

• निक्षेप कर्जाको मागमा कमी ल्याउन लक्षित रणनीतिहरूको योजना बनाउने र कार्यान्वयन गर्ने ।

• कर्मचारीहरूको वृत्ति विकासमा निरन्तर जोड दिने ।

• प्राविधिक विकाससँग सम्बन्धित चुनौतीहरूलाई कम गर्न लक्षित रणनीतिहरूको विकास र कार्यान्वयन ।

• आन्तरिक नियन्त्रण प्रणाली तथा जोखिम व्यवस्थापनलाई सुदृढीकरण गर्ने ।

• कर्जा जोखिम न्यूनीकरण तथा सम्पत्ति-दायित्व व्यवस्थापन गर्ने ।

• गैरब्याज आम्दानी तर्फको योगदान कायम राख्न व्यवसायका अन्य वैकल्पिक आयाम तथा व्यवसायिक क्षेत्रहरूको पहिचान गर्ने ।

६. संस्थागत सुशासन

संस्थागत सुशासन अभिवृद्धिका लागि व्यवस्थापनद्वारा चालिएका कदम सम्बन्धी विवरण :

शेयरधनी, निक्षेपकर्ता लगायत सरोकारवालाहरूको हित संरक्षण एवं संस्थागत सुशासन कायम राख्नका लागि बैंकको संचालक समिति, आन्तरिक लेखापरीक्षण समिति, जोखिम व्यवस्थापन समिति, कर्मचारी सेवा सुविधा समिति, AML/CFT समिति लगायत विभिन्न समितिहरू क्रियाशील रहेको, बैंक पदाधिकारी तथा कर्मचारीहरूका लागि आचार संहिता जारी गरिएको र बैंकको संस्थागत ढाँचा समेत सोही अनुरूप बनाई लागू गरिएको छ । साथै, नेपाल राष्ट्र बैंक तथा अन्य नियमनकारी निकायहरूद्वारा जारी गरिएका नीतिनिर्देशनहरू पूर्णरूपमा पालना गर्ने तर्फ यस विकास बैंक कटिबद्ध रहेको छ ।

७. सत्य, तथ्यता सम्बन्धमा कार्यकारी प्रमुखको उद्घोषण

आजका मितिसम्म यस प्रतिवेदनमा उल्लेखित जानकारी तथा विवरणहरूको शुद्धता सम्बन्धमा म व्यक्तिगत रुपमा उत्तरदायित्व लिन्छु । साथै म यो उद्घोष गर्दछु कि मैले जानेबुझेसम्म यस प्रतिवेदनमा उल्लेखित विवरणहरू सत्य, तथ्य र पूर्ण छन् र लगानीकर्ताहरूलाई सुसूचित निर्णय लिन आवश्यक कुनै विवरण, सूचना तथा जानकारीहरू लुकाइएको छैन ।

2. Management Analysis

(a) Details regarding major reasons for any changes in the institution's balance, income, and liquidity during the quarter:

As of this quarterly period, the economy of Nepal appears to be gradually recovering. Due to the easy monetary policy adopted by Nepal Rastra Bank, adequate liquidity has been maintained in the banking system, along with a gradual decline in interest rates, which is seen to be positively impacting private sector investment and credit demand. Continuous increase in remittance inflows, strong foreign exchange reserves, and gradual expansion of the tourism sector have further balanced the external sector.

During the review period, both deposit mobilization and credit investment of the development bank remained satisfactory. Up to this quarterly period, this development bank has earned a net profit of Rs. 1,59,52,993. Due to the inability of credit expansion in the private sector to move at the expected pace, sluggishness in the construction and real estate sectors, and pressure on cash flows of certain industries and businesses, improving Asset Quality in the banking sector remains challenging. Additionally, fluctuations in crude oil prices in international markets, geopolitical tensions, and global economic uncertainty continue to pose potential impacts on import costs, inflation, and overall economic activity.

Despite these circumstances, the Government of Nepal's emphasis on infrastructure development, capital expenditure growth, and encouragement of private sector investment, along with favorable interest rates, is expected to expand economic activities in the coming period. This is expected to bring gradual improvement in credit expansion, deposit mobilization, and financial operations in the banking sector.

In the current context, keeping economic sensitivities in mind, bank management remains committed to meticulous risk evaluation in credit approvals, sector diversification, focus on quality loans, liquidity management, credit-deposit balance, risk-based credit management, and strengthening recovery processes.

Overall, while potential policy reforms by the newly formed government may present some challenges to the economy, they are expected to have a positive impact on banking and financial sector stability, credit quality improvement, and economic growth in the medium to long term. Furthermore, management plans to focus on sustainable and balanced financial services by diversifying income sources, enhancing operational efficiency, developing human resource capabilities, strengthening technology-based services, and fully complying with regulatory guidelines.

(c) Management details regarding events, conditions or points that may have a material impact on the corporate entity's balances, profits or cash flows based on past experience:

3. Details Regarding Legal Actions

No other lawsuits except some cases arising during loan recovery and routine banking operations, and no information regarding any pending lawsuit by or against the corporate entity.

No information regarding any lawsuit filed against promoters or directors during this quarterly period.

As share trading in the secondary market depends on the principles of share demand and supply and the country's overall economic condition, the bank has no special opinion regarding this.

In order to protect the interests of shareholders, depositors, and stakeholders and maintain corporate governance, various committees including the Board of Directors, Internal Audit Committee, Risk Management Committee, Employee Service & Facilities Committee, and AML/CFT Committee are active. Code of conduct has been issued for bank officials and employees, and the organizational structure of the bank has been aligned accordingly. Furthermore, this development bank remains committed to fully complying with policy directives issued by Nepal Rastra Bank and other regulatory authorities.
