Notes to NFRS Compliant Financial Statement
• The above financial statement has been prepared in accordance with Nepal Financial Reporting standards (NFRS) and in the format prescribed by Nepal Rastra Bank.
• Recognition of Impairment Charges on Loans and Advances
The Bank, following regulatory backstop as mentioned in Clause 16 of “NFRS 9- Expected Credit Loss Related Guidelines, 2024” has recognized impairment on credit exposures as the HIGHER of total ECL calculated as per NFRS 9 and existing regulatory provisions as mentioned in Unified NRB Directives No. 2.

१. वित्तीय विवरण
• (क) त्रैमासिक अवधिको वासलात तथा नाफा नोक्सान सम्बन्धी विवरण यसै साथ संलग्न गरिएको छ ।
• (ख) प्रमुख वित्तीय अनुपातहरु :
प्रतिशेयर आम्दानी : रु (११.८७) मूल्य आम्दानी अनुपात : रु (६९.१९) प्रतिशेयर नेटवर्थ : रु ३४.१३
प्रतिशेयर कुल सम्पत्तिको मूल्य : रु २२१.०५ तरलता अनुपात : ८०.५३% पुँजीकोष अनुपात : २९.४१%
२. व्यवस्थापकीय विश्लेषण
• समीक्षा अवधिमा देशको आर्थिक गतिविधि तथा व्यवसायिक कारोवारमा देखिएको मन्दी, व्यवसायिक आत्मविश्वासमा देखिएको कमी आदीका कारणले गुणात्मक रुपमा नयाँ कर्जा लगानी वृद्धि हुन सकेको छैन । यद्यपी क्रमशः गुणस्तरीय कर्जाहरु वृद्धि हुँदै गएका छन् ।
• आगामी दिनहरुमा बैंकले व्यवसायिक योजनाका साथ दिगो संस्थागत विकासको लागि विश्वसनीय रुपमा गुणस्तरीय बैंकिङ्ग सेवा प्रदान गरी सरोकारवालाहरुको हित संरक्षण गर्दै जानेछ ।
• समीक्षा अवधिमा खराब कर्जाहरु अपेक्षित रुपमा घट्न नसकेतापनि क्रमिक रुपमा घट्दै गएका छन् । विभिन्न अराजक गतिविधि, धाकधम्की, अर्थतन्त्रमा आएको व्यवसायिक सुस्तता, स्थानिय निकायहरुको समन्वयमा देखिएको असहजता लगायतका कारणहरु विद्यमान रहेतापनि असुली कार्यलाई प्रभावकारी रुपमा अघि बढाईएकोले आगामी दिनमा व्यवहारिक एवम् कानूनी प्रक्रिया मार्फत खराब कर्जा क्रमिक रुपमा न्यूनीकरण गरिने लक्ष्य रहेको छ ।
३. कानूनी कारवाही सम्बन्धी विवरण
यस बैंकको मोबाईल बैंकिङ्ग प्रणालीको परिक्षणकालको समयमा ह्याकरले अनाधिकृत रुपमा रकमान्तर गरेको रकम कसुरदार बिरुद्धको बैंकिङ्ग कसुर सम्बन्धी मुद्दा, यस बैंकका एक ऋणीले बैंक विरुद्ध दर्ता गरेको धितो लिलाम बदर सम्बन्धी सर्वोच्च अदालतमा विचाराधिन मुद्दा, बैंकको कर्जा नतिर्ने विभिन्न ऋणीहरु विरुद्ध श्री ऋण असुली न्यायाधिकरणमा विचाराधिन मुद्दा र बैंकको संस्थापक/संचालकले बैंकको सण्डी डेर्टस बाट हिनामिना गरेको रकम सम्बन्धी सर्वोच्च अदालतमा विचाराधिन बैकिङ्ग कसुर सम्बन्धी मुद्दा रहेका छन् ।
४. संगठित संस्थाको शेयर कारोवार सम्बन्धी विश्लेषण
• यस संस्थाका शेयरहरु नेपाल स्टक एक्सचेन्जमा सूचिकृत भई कारोवार भइरहेको छ । शेयरको मूल्य तथा कारोवार बजारले निर्धारण गर्ने हुँदा यस संस्थाको व्यवस्थापन शेयरको मूल्य तथा कारोवार प्रति तटस्थ छ । तर प्रचलित कानून अनुसार लगानीकर्ता तथा सम्बन्धित निकायहरुलाई उपलब्ध गराउन पर्ने सूचना तथा जानकारी भने संस्थाले उपलब्ध गराएको छ ।
• यस विकास बैंकको त्रैमासिक अवधिमा शेयरको अधिकतम, न्यूनतम, अन्तिम मूल्य तथा कारोवार संख्या देहाय बमोजिम रहेको छ :

५. समस्या तथा चुनौतिहरु
क) आन्तरिक समस्या एवं चुनौतिहरु
- आम्दानीको अनुपातमा संचालन खर्चको बढी हुनुका कारण व्याजदर अन्तर कम हुनु ।
- कुल कर्जामा निष्क्रिय कर्जाको मात्रा बढी देखिएकाले सम्पत्तिको गुणस्तर एकैपटक सुधार हुन चुनौती रहेको ।
- लगानीका नयाँ क्षेत्रहरुको पहिचान गरी व्यवसाय बढाउनुपर्ने चुनौती ।
- ब्याज आम्दानीको अलावा अन्य आम्दानीको स्रोत कम हुनु ।
- सिपयुक्त दक्ष कर्मचारीको अभावले प्रतिस्पर्धात्मक कारोवारमा चुनौती ।
- संचालन जोखिम व्यवस्थापन खर्चिलो एवम् चुनौतीपूर्ण रहेको ।
ख) बाह्य समस्या एवं चुनौतिहरु
- बढ्दो प्रतिस्पर्धा, सूचना तथा प्रविधिको क्षेत्रमा देखिएका जोखिम तथा चुनौतीहरु ।
- बजारमा व्यावसायिक आत्मविश्वास वृद्धि हुन नसक्नुले देखिएको व्यावसायिक सुस्तता ।
- अधिक तरलताले भविष्यमा सृजना गर्नसक्ने चुनौतीहरु ।
- वित्तीय क्षेत्रमाथि हुने धाकधम्की, अफवाह, दुष्प्रचार लगायतका अराजक गतिविधि ।
- स्थानिय निकायहरु सँगको समन्वयमा देखिएको असहयोग एवम् असहजता लगायतका चुनौतीहरु ।
- रणनीति
बैंकले माथि उल्लेखित आन्तरिक एवम् बाह्य चुनौतीहरुका विषयमा सचेत भई सो बाट उत्पन्न हुन सक्ने जोखिमको विषयमा अध्ययन गरी नेपाल राष्ट्र बैंकको एकीकृत निर्देशन, विभिन्न समयमा जारी हुने परिपत्र, संस्थाको नीति, नियम तथा कार्यविधिको अधिनमा रही आवश्यक रणनीति तर्जमा गर्ने, न्यून लागत भएका दिगो निक्षेप लाई बढावा दिई व्याजदरलाई सन्तुलित राख्ने आवश्यक कदमहरु अवलम्बन गर्ने, संचालन खर्च न्यूनीकरण गर्न तर्फ सचेत रहने, बैंकको व्यवसाय अभिवृद्धि तथा शाखा संजाल बढाउदै उपयुक्त कर्मचारी भर्ना गर्ने, कार्यक्षमता वृद्धि गरी स्तरीय सेवा प्रदान गर्न तालिमहरु उपलब्ध गराउने तथा बैंक प्रति आवद्ध तथा प्रतिबद्ध राख्न यथोचित नीति अवलम्बन गरेको छ ।
७. संस्थागत सुशासन
बैंकले नेपाल राष्ट्र बैंकद्वारा जारी गरेको एकीकृत निर्देशनाहरूको पालना गर्नुका साथै लेखापरीक्षण समिति द्वारा संस्थागत सुशासन पालना भए नभएको सम्बन्धमा आवश्यक लेखाजोखा गर्ने गरिएको/साथै समय समयमा नेपाल राष्ट्र बैंकद्वारा हुने स्थलगत निरीक्षण, आन्तरिक तथा बाह्य लेखापरीक्षकको प्रतिवेदनको आधारमा संस्थागत सुशासनलाई सुदृढ बनाउन बैंक संचालक समिति प्रतिबद्ध रहेको छ ।

• The above financial statement has been prepared in accordance with Nepal Financial Reporting standards (NFRS) and in the format prescribed by Nepal Rastra Bank.
• Recognition of Impairment Charges on Loans and Advances
The Bank, following regulatory backstop as mentioned in Clause 16 of “NFRS 9- Expected Credit Loss Related Guidelines, 2024” has recognized impairment on credit exposures as the HIGHER of total ECL calculated as per NFRS 9 and existing regulatory provisions as mentioned in Unified NRB Directives No. 2.

2. Management Analysis
• During the review period, due to slowdown in economic activities and business transactions in the country, decline in business confidence, etc., qualitative growth in new loan investments could not take place. However, quality loans are gradually increasing.
• In the coming days, the bank will advance with business plans for sustainable institutional development, providing reliable quality banking services and protecting stakeholders' interests.
• Although non-performing loans could not decrease as expected during the review period, they are gradually declining. Despite existing factors such as various disruptive activities, threats, business slowdown in the economy, and difficulties in coordination with local bodies, recovery efforts have been effectively moved forward, targeting gradual reduction of NPLs through practical and legal processes in the coming days.
3. Details Regarding Legal Actions
Cases pending in the Supreme Court regarding banking offense against the perpetrator who made unauthorized money transfer during testing phase of the bank's mobile banking system; case pending in the Supreme Court filed by a borrower against the bank regarding cancellation of collateral auction; cases pending at Debt Recovery Tribunal against various defaulting borrowers; and case pending in the Supreme Court regarding banking offense related to misappropriation of funds from sundry debtors by founder/director of the bank.
4. Analysis Regarding Share Transactions of the Institution
• Shares of this institution are listed and traded on Nepal Stock Exchange. As market determines share price and transaction, the bank management remains neutral towards share price and trading. However, required information and notices under prevailing laws are provided to investors and relevant authorities.

Being aware of the above internal and external challenges, the bank studies potential risks, formulates strategies under Nepal Rastra Bank's unified directives, circulars issued from time to time, and institutional policies and procedures, takes necessary steps to maintain balanced interest rates by promoting low-cost sustainable deposits, remains conscious of minimizing operating expenses, enhances bank business and branch network while hiring suitable staff, provides training to improve efficiency and deliver quality service, and adopts appropriate policies to keep staff engaged and committed.
7. Corporate Governance
The bank complies with unified directives issued by Nepal Rastra Bank, while the Audit Committee reviews compliance with corporate governance / additionally based on NRB's periodic onsite inspections, internal and external auditors' reports, the Board of Directors remains committed to strengthening corporate governance.
