यस बैंकका संस्थापक शेयरधनीको नाममा कायम रहेको ६५,६२८ कित्ता संस्थापक शेयर बिक्री गर्नका लागि यसअघि बैंकबाट विभिन्न मितिमा सार्वजनिक सूचना प्रकाशित गरी विद्यमान संस्थापक शेयरधनीहरूबाट आवेदन आह्वान गरिएकोमा तोकिएको अवधिभित्र कुनै पनि आवेदन प्राप्त नभएको व्यहोरा सम्बन्धित सबैको जानकारीका लागि अनुरोध छ । यसरी यसअघि प्रकाशित सूचना बमोजिम संस्थापक शेयर खरिदका लागि आवेदन प्राप्त नभएको हुँदा प्रचलित कानून तथा नेपाल राष्ट्र बैंकबाट जारी निर्देशन/स्वीकृत व्यवस्था बमोजिम उक्त संस्थापक शेयर अन्य इच्छुक तथा योग्य व्यक्ति/संस्थालाई बिक्री गर्नुपर्ने भएकोले देहायबमोजिमको संस्थापक शेयर खरिद गर्न इच्छुक योग्य व्यक्ति/संस्था/निकायहरूबाट आवेदन आह्वान गरिएको छ । प्रचलित कानून तथा नेपाल राष्ट्र बैंकको निर्देशन बमोजिम योग्य व्यक्ति/संस्था आवेदन अवधि सूचना प्रकाशित भएको मितिले १५ दिनभित्र आवेदन पेश गर्नुहुन अनुरोध गरिन्छ ।
आवेदन सम्बन्धी शर्तहरू
- उपर्युक्त संस्थापक शेयर खरिद गर्न इच्छुक योग्य व्यक्ति/संस्था/निकायले यो सूचना प्रकाशित भएको मितिले १५ दिनभित्र बैंकको केन्द्रीय कार्यालयमा प्राप्त हुने गरी आवेदन पेश गर्नुपर्नेछ ।
- आवेदनमा आफूले खरिद गर्न चाहेको शेयर संख्या तथा प्रस्तावित खरिद मूल्य स्पष्ट रूपमा उल्लेख गर्नुपर्नेछ ।
- संस्थापक शेयर खरिद गर्न इच्छुक आवेदकले प्रचलित कानून तथा नेपाल राष्ट्र बैंकबाट जारी निर्देशन बमोजिम आफू संस्थापक शेयर खरिद गर्न योग्य रहेको प्रमाणित हुने आवश्यक कागजातहरू आवेदन साथ पेश गर्नुपर्नेछ ।
- एकभन्दा बढी योग्य आवेदकबाट आवेदन प्राप्त भएमा बिक्रीमा रहेको शेयर संख्याको सीमाभित्र रही प्रचलित कानून, नेपाल राष्ट्र बैंकको निर्देशन तथा बैंकको निर्णय बमोजिम शेयर बिक्री/बाँडफाँट प्रक्रिया अगाडि बढाइनेछ ।
- आवेदन प्राप्त हुँदैमा शेयर बिक्री भएको मानिने छैन । शेयर बिक्री तथा हस्तान्तरण सम्बन्धी सम्पूर्ण प्रक्रिया प्रचलित कानून, नेपाल राष्ट्र बैंकको निर्देशन तथा सम्बन्धित नियामकीय व्यवस्था पूरा भएपछि मात्र सम्पन्न गरिनेछ ।
- प्रचलित कानून तथा नियामकीय व्यवस्थाबमोजिम आवश्यक स्वीकृति/सहमति लिनुपर्ने भएमा सोही बमोजिम प्रक्रिया पूरा गरिनेछ ।
- तोकिएको समयावधि भित्र प्राप्त नभएका, अपूर्ण वा आवश्यक कागजात संलग्न नभएका आवेदनहरू उपर कुनै कारबाही गर्न बैंक बाध्य हुने छैन ।
- यस सूचनामा उल्लेख नभएका अन्य विषयहरू प्रचलित कानून, नेपाल राष्ट्र बैंकको निर्देशन/परिपत्र तथा बैंकको प्रचलित नीति, नियमावली र निर्णय बमोजिम हुनेछ ।
- शेयर बिक्री सम्बन्धी थप जानकारी तथा आवेदन फारामका लागि बैंकको केन्द्रीय कार्यालयमा कार्यालय समयभित्र सम्पर्क गर्न सकिनेछ ।

Public Notice regarding Sale of Promoter Shares

This is to inform all concerned that since no applications were received within the specified period from the existing promoter shareholders in response to the public notices published by this bank on various dates for the sale of 65,628 units of promoter shares held in the name of the bank's promoter shareholders. Since no applications were received for the purchase of promoter shares as per the previously published notices, and as those promoter shares need to be sold to other interested and eligible individuals/institutions in accordance with prevailing laws and directives/approved arrangements issued by Nepal Rastra Bank, applications are hereby invited from eligible individuals/institutions/entities interested in purchasing the promoter shares as detailed below. Eligible individuals/institutions are requested to submit their applications within 15 days from the date of publication of this notice, in accordance with prevailing laws and directives of Nepal Rastra Bank.
Terms and Conditions of Application
1. Eligible individuals/institutions/entities interested in purchasing the aforementioned promoter shares must submit their applications to the bank's Central Office within 15 days from the date of publication of this notice.
2. The application must clearly state the number of shares the applicant wishes to purchase and the proposed purchase price.
3. Applicants interested in purchasing promoter shares must submit along with the application the necessary documents proving their eligibility to purchase promoter shares in accordance with prevailing laws and directives issued by Nepal Rastra Bank.
4. If applications are received from more than one eligible applicant, the share sale/allotment process will be carried forward within the limit of the number of shares on sale, in accordance with prevailing laws, directives of Nepal Rastra Bank, and the bank's decision.
5. Merely receiving applications shall not be deemed as shares sold. The entire process of share sale and transfer will be completed only after fulfilling the prevailing laws, directives of Nepal Rastra Bank, and relevant regulatory provisions.
6. If necessary approvals/consents are required as per prevailing laws and regulatory provisions, the process will be completed accordingly.
7. The bank shall not be obliged to take any action on applications that are not received within the specified timeframe, are incomplete, or do not have the necessary documents attached.
8. Other matters not mentioned in this notice shall be in accordance with prevailing laws, directives/circulars of Nepal Rastra Bank, and the bank's prevailing policies, rules, and decisions.
