संस्थापक शेयरधनीहरुको शेयर संरचना परिवर्तन सम्बन्धी अत्यन्त जरूरी सूचना

यस प्रभु महालक्ष्मी लाइफ इन्स्योरेन्स लिमिटेडको हाल कायम रहेको संस्थापक शेयरधनी समूहको ८४.६७% र सर्वसाधारण शेयरधनी समूहको १५.३३ % शेयर स्वामित्व संरचनालाई परिवर्तन गरी संस्थापक ७६.२०३०% र सर्वसाधारण २३.७९७० % कायम गर्ने प्रस्ताव नेपाल बीमा प्राधिकरणबाट स्वीकृति प्राप्त भएपश्चात् मिति २०८२/१२/१९ मा सम्पन्न विशेष साधारण सभाबाट पारित भई, सोही बमोजिम प्रबन्धपत्र तथा नियमावली संशोधन गरी शेयर रूपान्तरण तथा शेयर दाखिलाको अन्तिम चरणमा रहेको व्यहोरा सम्पूर्णमा जानकारी गराइन्छ ।
साथै, कम्पनीले मिति २०८२/१२/२७ गतेको "आर्थिक अभियान" राष्ट्रिय दैनिकमा सूचना प्रकाशित गरी आफ्नो स्वामित्वमा रहेको संस्थापक शेयरलाई सर्वसाधारण समूहमा परिवर्तन गर्न अनिच्छुक रहेका शेयरधनी महानुभावहरूलाई ७ (सात) दिनभित्र लिखित निवेदन पेश गर्न आह्वान गरिएकोमा सूचनामा तोकिएको निर्धारित समयभित्र कुनै पनि संस्थापक शेयरधनीबाट शेयर परिवर्तन गर्न अनिच्छा व्यक्त गर्दै निवेदन प्राप्त नभएकाले, मिति २०८३/०७/१६ गतेसम्म कायम रहेका सम्पूर्ण संस्थापक शेयरधनीहरूको समानुपातिक (Pro-rata basis) आधारमा १० प्रतिशत संस्थापक शेयरलाई सर्वसाधारण शेयरमा परिवर्तन गरिनेछ ।
उक्त शेयर रूपान्तरण मिति २०८३/०७/१६ गतेसम्म कायम रहेका संस्थापक शेयरधनीहरूको हकमा हुने भएकाले, उक्त मिति सम्ममा कुनै नामसारी गर्न बाँकी (खरीद-बिक्री, लिलामी, घरायसी, मृत्युनामसारी, अंशबण्डा आदि) भएमा कानूनी तथा नियामक प्रक्रिया पूरा गरी यथाशीघ्र नामसारी सम्पन्न गर्नुहुन अनुरोध गरिन्छ ।
साथै, शेयर धितोबन्धकी वा रोक्का रहेको हकमा सम्बन्धित बैंक तथा वित्तीय संस्था वा निकायको फुकुवा पत्र वा स्वीकृति पत्र (No Objection Letter) अनिवार्य रूपमा पेश गरेपश्चात् मात्र परिवर्तित शेयर शेयरधनीहरूको हितग्राही खातामा जम्मा गरिने व्यहोरा समेत जानकारी गराइन्छ । सो प्रयोजनका लागि कम्पनीको प्रधान कार्यालय, कमलादी, काठमाडौँमा सम्पर्क राख्नुहुन जानकारी गराइन्छ ।
Urgent Notice Regarding Change in Promoter Shareholders' Shareholding Structure

This is to inform all concerned that after receiving approval from the Nepal Insurance Authority to change the existing shareholding structure of Prabhu Mahalaxmi Life Insurance Limited from 84.67% Promoter group and 15.33 % Public group to 76.2030% Promoter and 23.7970 % Public, the proposal was passed by the Special General Meeting held on 2082/12/19, and accordingly, the Memorandum and Articles of Association have been amended, and the process is currently in its final stage of share conversion and transfer.
Furthermore, the company had published a notice in the "Aarthik Abhiyan" national daily newspaper on 2082/12/27 inviting promoter shareholders who were unwilling to convert their promoter shares to the public category to submit a written application within 7 (seven) days. Since no application expressing unwillingness to convert shares was received from any promoter shareholder within the specified time limit, 10 percent promoter shares of all promoter shareholders maintained as of 2083/07/16 will be converted into public shares on a proportional (Pro-rata basis).
Since the said share conversion will apply to promoter shareholders existing as of 2083/07/16, if there are any pending share transfers (purchase-sale, auction, household transfer, transfer due to death, partition, etc.) as of that date, shareholders are requested to complete the legal and regulatory procedures and effect the transfer at the earliest.
Additionally, in cases where shares are pledged or frozen, the converted shares will be deposited into the DEMAT account of the shareholders only after submitting an official release letter or approval letter (No Objection Letter) from the concerned bank, financial institution, or authority.
