35-Day Public Notice Regarding Sale of Promoter Shares

Since the promoter shareholders mentioned in the schedule below have submitted applications to the bank to transfer/sell the promoter shares held in their names, and upon presenting the said applications to the Board of Directors meeting, a decision was made to proceed with the due process for transfer/sale, this public notice is published for the information of interested existing promoter shareholders, in accordance with the provisions of the unified directives issued by Nepal Rastra Bank requiring that first priority be given to existing promoter shareholders to purchase such promoter shares.

All concerned are hereby informed to submit a written application along with necessary documents disclosing the number of shares they wish to purchase to the Company Secretary's Office at the Bank's Head Office in Naxal, Kathmandu within 35 (thirty-five) days from the date of publication of this notice during office hours.

If no application is received from existing promoter shareholders within the stipulated deadline for purchasing promoter shares, or if applications are not received for the entire proposed shares, all concerned are further notified through this notice that necessary procedures will be initiated to sell the promoter shares to non-promoter individuals or institutions in accordance with applicable laws, and no claims or objections will be entertained thereafter.
