गुराँस लघुवित्त वित्तीय संस्था लिमिटेडले आफ्नो एघारौं वार्षिक साधारण सभा (AGM) आगामी कात्तिक १० गते आयोजना गर्ने भएको छ। संस्थाको सञ्चालक समितिको बैठकले धनकुटाको हिलेस्थित 'हिले कान्जिरोवा मकालु होटल' मा बिहान ९ बजेदेखि साधारण सभा सञ्चालन गर्ने निर्णय गरेको हो।
यस साधारण सभामा सञ्चालक समितिले सिफारिस गरेको १० प्रतिशत लाभांश वितरण गर्ने मुख्य प्रस्ताव पेस गरिनेछ। आर्थिक वर्ष २०८२/८३ को मुनाफाबाट संस्थाले हाल कायम चुक्ता पुँजी (१३ करोड २३ लाख ५८ हजार रुपैयाँ) को ९.५ प्रतिशतले हुने १ करोड २५ लाख ७४ हजार रुपैयाँ बराबरको बोनस सेयर र कर प्रयोजनार्थ ०.५ प्रतिशतले हुने ६ लाख ६१ हजार रुपैयाँ नगद लाभांश वितरण गर्ने प्रस्ताव पारित गर्दैछ। बोनस सेयर वितरणपश्चात् संस्थाको पुँजी वृद्धि हुने भएकाले प्रबन्धपत्र र नियमावली संशोधनको विशेष प्रस्ताव पनि सभामा लगिनेछ।
साधारण सभा प्रयोजनका लागि संस्थाले असोज २८ गते बुक क्लोज गर्ने निर्णय गरेको छ। यसर्थ, नेपाल स्टक एक्सचेन्ज (नेप्से) मा असोज २७ गतेसम्म कारोबार भई कायम सेयरधनीहरूले मात्र साधारण सभामा भाग लिन र प्रस्तावित लाभांश प्राप्त गर्न सक्नेछन्। सभामा सहभागी हुन नसक्ने सेयरधनीले ४८ घण्टाअगावै प्रोक्सी (प्रतिनिधि) नियुक्त गर्न सक्ने व्यवस्था पनि मिलाइएको छ।
Gurans Laghubitta Bittiya Sanstha Limited has scheduled its 11th Annual General Meeting (AGM) for Kartik 10 (October 27). A recent meeting of the company's board of directors decided to host the event at the Hile Kanjirowa Makalu Hotel in Hile, Dhankuta, starting at 9:00 AM.
A major agenda item for the upcoming AGM is the endorsement of a 10 percent dividend proposed by the board. From the distributable profit of the fiscal year 2082/83, the microfinance institution plans to distribute a 9.5 percent bonus share (amounting to Rs 1.25 crore) and a 0.5 percent cash dividend for tax purposes (amounting to Rs 6.61 lakh). As the issuance of bonus shares will increase the company's current paid-up capital of Rs 13.23 crore, the meeting will also pass a special resolution to amend its Memorandum and Articles of Association accordingly.
For the purpose of the AGM and dividend distribution, the company has announced a book closure date on Ashwin 28. Consequently, only investors who trade and hold the company's shares on the Nepal Stock Exchange (NEPSE) up to Ashwin 27 will be eligible to participate in the meeting and claim the proposed dividend. Shareholders unable to attend the assembly in person can appoint a proxy at least 48 hours prior to the event.
