१० प्रतिशत हकप्रदमार्फत कम्पनीले २३ करोडभन्दा बढी पूँजी थप्दै
United Ajod Insurance Limited ले निष्काशन गरेको १० प्रतिशत हकप्रद शेयरमा आवेदन दिने समय आजबाट सकिँदैछ । कम्पनीले चैत २६ गतेदेखि विद्यमान शेयरधनीहरूका लागि हकप्रद शेयर बिक्री खुला गरेको थियो ।
कम्पनीले १०० कित्ता शेयर बराबर १० कित्ताको अनुपातमा हकप्रद शेयर जारी गरेको हो । यसअनुसार प्रतिकित्ता १०० रुपैयाँ अंकित मूल्यमा कुल २३ लाख १० हजार कित्ता हकप्रद शेयर निष्काशन गरिएको छ । यसको कुल आकार २३ करोड १० लाख रुपैयाँ बराबर रहेको कम्पनीले जनाएको छ ।
हकप्रद निष्काशन प्रयोजनका लागि कम्पनीले फागुन १७ गते बुकक्लोज गरेको थियो । त्यसअनुसार फागुन १४ गतेसम्म नेपाल स्टक एक्सचेञ्ज (नेप्से) मा कारोबार भई कायम रहेका शेयरधनीहरूले मात्र हकप्रदमा आवेदन दिन पाउने व्यवस्था गरिएको छ ।
बीमा कम्पनीहरूले नियामकीय पूँजी मजबुत बनाउने क्रममा पछिल्लो समय हकप्रद निष्काशनलाई प्राथमिकता दिन थालेका छन् । यूनाइटेड अजोड इन्स्योरेन्सले पनि चुक्ता पूँजी विस्तार गर्दै वित्तीय आधार बलियो बनाउने उद्देश्यले हकप्रद निष्काशन अघि बढाएको देखिन्छ ।
रेटिङ संस्था इक्रा नेपालले कम्पनीलाई ‘इक्रा एनपी इस्यूअर रेटिङ ट्रिपल बी’ प्रदान गरेको छ । उक्त रेटिङले कम्पनीको वित्तीय दायित्व बहन क्षमता मध्यम स्तरको रहेको संकेत गर्ने विश्लेषण गरिएको छ ।
कम्पनीको हकप्रद शेयर निष्काशन तथा बिक्री प्रबन्धक Laxmi Sunrise Capital Limited रहेको छ । लगानीकर्ताले लक्ष्मी सनराइज बैंकका तोकिएका शाखा कार्यालय, आस्वा सेवामा सहभागी बैंक तथा वित्तीय संस्था तथा सीडीएस एन्ड क्लियरिङको ‘मेरो शेयर’ प्रणालीमार्फत आवेदन दिन सक्नेछन् ।
हाल कम्पनीको चुक्ता पूँजी २ अर्ब ३१ करोड रुपैयाँ रहेको छ । हकप्रद शेयर निष्काशनपछि कम्पनीको चुक्ता पूँजी बढेर २ अर्ब ५४ करोड १० लाख रुपैयाँ पुग्नेछ ।
Company Looking to Raise Over Rs 231 Million Through Rights Offering
United Ajod Insurance Limited is closing applications today for its 10 percent rights share offering issued to existing shareholders. The company had opened the rights issue for subscription on March 8 (Chaitra 26).
Under the offering, shareholders are entitled to apply for 10 new shares for every 100 shares they currently hold. Accordingly, the insurer has issued a total of 2.31 million rights shares at a face value of Rs 100 each, amounting to Rs 231 million in total.
The company had fixed February 29 (Falgun 17) as the book closure date for the rights issue. Therefore, only shareholders who held shares traded on the Nepal Stock Exchange (NEPSE) until February 26 (Falgun 14) are eligible to apply for the rights shares.
In recent years, insurance companies in Nepal have increasingly relied on rights offerings to strengthen their paid-up capital and meet regulatory capital requirements. United Ajod Insurance also appears to be moving in the same direction by expanding its capital base through the latest issuance.
Credit rating agency ICRA Nepal has assigned the company an ‘ICRA NP Issuer Rating Triple B,’ indicating a moderate degree of safety regarding the company’s ability to meet its financial obligations.
The issue and sales manager for the rights offering is Laxmi Sunrise Capital Limited. Investors can apply through designated branches of Laxmi Sunrise Bank, ASBA-approved banks and financial institutions, or via the CDS and Clearing-operated ‘Mero Share’ online platform.
At present, the company’s paid-up capital stands at Rs 2.31 billion. Following the completion of the rights issue, the paid-up capital is expected to increase to Rs 2.541 billion.
