संस्थापक शेयर खरिद गर्न चाहनुहुने महानुभावहरूलाई जरूरी सूचना
यस ज्योति विकास बैंक लिमिटेडका केही संस्थापक शेयरधनीहरूले आफ्नो नाममा रहेको संस्थापक शेयरहरू मध्ये आंशिक/पुरा शेयरहरू बिक्री गर्ने इच्छा राखी निवेदन दिनु भएकोमा उक्त निवेदनहरू सञ्चालक समितिको बैठकमा पेश हुँदा रित पुऱ्याई बिक्री गर्न प्रक्रिया अघि बढाउने निर्णय भएकोले उक्त संस्थापक शेयरहरू खरिद गरी लिनको लागि यस ज्योति विकास बैंक लिमिटेडका हाल कायम रहनुभएका संस्थापक शेयर धनीहरूले प्राथमिकता पाउने हुँदा यस विकास बैंकमा हाल कायम रहनु भएका संस्थापक शेयरधनीहरूको जानकारीको लागि विभिन्न मितिमा संस्थापक शेयर बिक्री सम्बन्धी ३५ दिने सूचना प्रकाशित गरिएकोमा कुनै पनि संस्थापक शेयरधनी महानुभावहरूबाट उक्त संस्थापक शेयर खरिद गर्न इच्छा जनाई आवेदन प्राप्त नभएकोले उक्त संस्थापक शेयरहरू संस्थापक बाहेकका अन्य व्यक्ति/कम्पनी/संस्थाहरूले खरिद गरी लिन इच्छा भएमा यो सूचना प्रकाशित भएको मितिले ३५ (पैंतीस) दिनभित्र नेपाल राष्ट्र बैंकबाट संस्थापक शेयरधनीको लागि तोकिएको Fit & Proper Test (अनुसूची ३) को विवरण भरि कर्जा सूचना केन्द्र लिमिटेडको कालोसूचीमा समावेश नभएको प्रमाणित हुने कागजात, आयश्रोत खुल्ने कागजातको प्रतिलिपि तथा सोको उपलब्धता सम्बन्धी अद्यावधिक विवरण, स्थायी लेखा नं. को प्रमाणपत्रको प्रतिलिपि तथा पछिल्लो आ.व. को कर चुक्ता प्रमाणपत्र वा कर दाखिला गरेको निस्साको प्रतिलिपि र नागरिकता प्रमाणपत्रको प्रतिलिपि संलग्न गरी यस बैंकको केन्द्रीय कार्यालय कमलपोखरी, काठमाडौँमा केति शेयर कित्ता खरिद गरी लिनु हुने हो सो को व्यहोरा खुलाई निवेदन दिनु हुन सूचित गरिन्छ । साथै उक्त शेयर खरिद गर्ने खरिदकर्ता संस्थापक समूहमा पर्ने व्यहोरा समेत यसै सूचना मार्फत जानकारी गराईन्छ ।
Urgent Notice for Individuals Interested in Purchasing Promoter Shares
Since some promoter shareholders of this Jyoti Bikash Bank Limited have submitted applications expressing their desire to sell partial/full promoter shares held in their names, and upon presenting those applications to the meeting of the Board of Directors, a decision has been made to proceed with the sale process in due order. As the currently existing promoter shareholders of this Jyoti Bikash Bank Limited have the first priority to purchase and acquire the said promoter shares, a 35-day notice regarding the sale of promoter shares was published on various dates for the information of the currently existing promoter shareholders of this Bikash Bank. However, since no application expressing interest to purchase the said promoter shares was received from any of the existing promoter shareholders, if other individuals/companies/institutions other than promoters wish to purchase and acquire the said promoter shares, they are hereby notified to submit an application within 35 (thirty-five) days from the date of publication of this notice, specifying the number of share units they wish to purchase, at the Bank's Central Office in Kamalpokhari, Kathmandu. The application must include the completed Fit & Proper Test (Schedule 3) form prescribed by Nepal Rastra Bank for promoter shareholders, documents proving non-inclusion in the blacklist of Credit Information Bureau Limited, copies of documents disclosing sources of income along with updated details of its availability, a copy of the Permanent Account Number (PAN) certificate, a copy of the tax clearance certificate of the latest fiscal year or proof of tax submission, and a copy of the citizenship certificate. Additionally, it is also informed through this notice that the purchaser of the said shares will fall under the promoter group.
