नगद लाभांश वितरण सम्बन्धी सूचना
सानिमा बैंक लिमिटेडको मिति २०८३/०६/१२ गते सम्पन्न २२औं वार्षिक साधारण सभाबाट शेयरधनीहरुलाई आ.व. २०८२/०८३ को मुनाफाबाट चुक्ता पूँजीको १० प्रतिशत (कर सहित) का दरले नगद लाभांश वितरण गर्ने प्रस्ताव पारित भए बमोजिम उक्त नगद लाभांश सम्बन्धित शेयरधनीको हितग्राही खातामा उपलब्ध गराएको बैंक खातामा मिति २०८३/०६/१२ गतेदेखि क्रमानुसार जम्मा/भुक्तानी गर्न थालिएको व्यहोरा सम्पूर्ण शेयरधनी महानुभावहरुको जानकारीको लागि यो सूचना प्रकाशित गरिएको छ। साथै, ८.२५% सानिमा अविमोच्य असञ्चित अग्रधिकार शेयरधनीहरुलाई ८.२५ प्रतिशतका दरले नगद लाभांश (कर सहित) वितरण गरिएको व्यहोरा समेत यसै सूचना मार्फत जानकारी गराइन्छ।
क. बैंक खातामा नगद लाभांश जम्मा गर्दा सम्बन्धित बैंक वा वित्तीय संस्थाको नियमानुसार कुनै शुल्क लाग्ने भएमा सो शुल्क शेयरधनीले नै व्यहोर्नु पर्नेछ।
ख. मर्जर पश्चात् गाभिएका बैंक तथा वित्तीय संस्थाको खाता नं. रहेका शेयरधनीहरुको खाता नं. परिवर्तन हुने हुँदा त्यस्ता शेयरधनीहरुको लाभांशको रकम सम्बन्धित बैंक तथा वित्तीय संस्थाबाट फिर्ता आएको हुँदा यथाशक्य छिटो आफ्नो परिवर्तित नयाँ खाता नं. हितग्राही खातामा अद्यावधिक गराउनु पर्नेछ।
आफ्नो शेयर धितोमा राखी कर्जा सुविधा उपभोग गर्दै आउनु भएका शेयरधनीहरुको हकमा:
यस साधारण सभा प्रयोजनका लागि शेयर दाखिल/खारेज बन्द भएको मिति २०८३/०६/०१ गते भन्दा अघिल्लो दिनसम्ममा आफ्नो शेयर धितोमा राखी कर्जा सुविधा उपभोग गर्नुभएका शेयरधनी महानुभावहरुले सम्बन्धित बैंक वा वित्तीय संस्थाबाट धितो राखेको शेयरको संख्या समेत खुल्ने गरी No Objection Letter अथवा उल्लेखित मिति पछाडी कर्जा चुक्ता गर्नु भएका शेयरधनीहरुले नगद लाभांश फुकुवा गरिदिने सक्कल पत्र सानिमा क्यापिटल लिमिटेडमा पेश गरे पश्चात् नगद लाभांश निज शेयरधनीको हितग्राही खातामा उल्लेख गरेको बैंक खातामा जम्मा गरिने व्यहोरा समेत यसै सूचनाद्वारा जानकारी गराउँदछौं।
Notice Regarding Cash Dividend Distribution
As per the decision of the 22nd Annual General Meeting of Sanima Bank Limited held on 2083/06/12, which approved the proposal to distribute a cash dividend at the rate of 10 percent (including tax) of the paid-up capital from the profits of FY 2082/083 to the shareholders, this notice is published to inform all shareholders that the said cash dividend has been started to be deposited/paid sequentially from मिति 2083/06/12 into the bank accounts linked to the respective shareholders' Demat accounts. Additionally, it is also informed through this notice that cash dividend at the rate of 8.25 percent (including tax) has been distributed to the 8.25% Sanima Non-Cumulative Non-Redeemable Preference Shareholders.
क. If any charges are applicable as per the rules of the respective bank or financial institution while depositing the cash dividend into the bank account, such charges shall be borne by the shareholder themselves.
ख. Since the account numbers of shareholders having accounts in banks and financial institutions merged after merger are subject to change, and the dividend amount of such shareholders has been returned by the respective banks and financial institutions, they must update their changed new account numbers in their Demat accounts as soon as possible.
In case of shareholders who have been utilizing loan facilities by pledging their shares:
Shareholders who have utilized loan facilities by pledging their shares until the day prior to the book closure date (मिति 2083/06/01) for the purpose of this Annual General Meeting must submit a No Objection Letter from the concerned bank or financial institution clearly stating the number of pledged shares, or in case of shareholders who have cleared the loan after the specified date, the original release letter for releasing the cash dividend must be submitted to Sanima Capital Limited. After submission, the cash dividend will be deposited into the bank account mentioned in the respective shareholder's Demat account, which is hereby informed through this notice.
