काठमाडौँ — नेरुडे मिर्मिरे लघुवित्त वित्तीय संस्था लिमिटेडले आगामी असार २२ गते वार्षिक साधारणसभा बोलाएको छ। कम्पनीले सभामा पुँजी वृद्धि योजनाअन्तर्गत हकप्रद सेयर निष्कासनको प्रस्ताव अघि सार्ने भएको छ।
कम्पनीले हाल कायम चुक्ता पुँजीको २५ प्रतिशत बराबर हकप्रद सेयर निष्कासन गर्ने प्रस्ताव साधारणसभामा लैजान लागेको हो। नियामक निकायबाट आवश्यक स्वीकृति प्राप्त भएपछि मात्र हकप्रद निष्कासन प्रक्रिया अघि बढाइने कम्पनीको प्रस्तावमा उल्लेख छ।
प्रस्तावअनुसार कम्पनीले करिब ३४ करोड ९४ लाख रुपैयाँ बराबरको हकप्रद सेयर जारी गर्ने तयारी गरेको छ। यो प्रस्ताव पारित भए कम्पनीको चुक्ता पुँजी थप बढ्नेछ।
सभामा हकप्रद निष्कासनसँगै कम्पनीको प्रबन्धपत्र तथा नियमावलीमा आवश्यक संशोधन गर्ने प्रस्ताव पनि पेश हुनेछ। नियामक निकायबाट थप संशोधन वा निर्देशन आएमा सोहीअनुसार आवश्यक निर्णय गर्न सञ्चालक समितिलाई अख्तियारी दिने प्रस्तावसमेत सभामा लगिनेछ।
त्यसैगरी, उपयुक्त लघुवित्त वा अन्य वित्तीय संस्थासँग मर्जर तथा प्राप्ति प्रक्रियामा जान आवश्यक परे त्यससम्बन्धी सम्पूर्ण काम अघि बढाउन पनि सञ्चालक समितिलाई अधिकार दिने प्रस्ताव साधारणसभामा राखिने भएको छ।
कम्पनीले साधारणसभा प्रयोजनका लागि असार १९ गते बुक क्लोज गर्ने निर्णय गरेको छ। यस आधारमा असार १८ गतेसम्म नेपाल स्टक एक्सचेन्जमा कारोबार भई कम्पनीको सेयरधनी दर्ता किताबमा कायम रहने सेयरधनीले मात्र सभामा सहभागी हुन पाउनेछन्।
कम्पनीले यसपटक सेयरधनीका लागि लाभांश भने प्रस्ताव गरेको छैन। साधारणसभामा वार्षिक प्रतिवेदन, लेखापरीक्षण प्रतिवेदन, वित्तीय विवरण तथा लेखापरीक्षक नियुक्तिसम्बन्धी नियमित प्रस्तावमाथि पनि छलफल हुनेछ।
हकप्रद सेयर प्रस्तावलाई कम्पनीको पुँजी आधार बलियो बनाउने योजनाका रूपमा हेरिएको छ। यद्यपि प्रस्ताव कार्यान्वयनका लागि साधारणसभाको स्वीकृति र नियामक निकायको अन्तिम अनुमति आवश्यक हुनेछ।
Kathmandu — Nerude Mirmire Microfinance Financial Institution Limited has called its annual general meeting for July 6.
The company is preparing to present a proposal to issue rights shares as part of its capital enhancement plan. The rights issue will move forward only after the required approval is received from the concerned regulatory authorities.
According to the proposal, the company plans to issue rights shares equivalent to 25 percent of its current paid-up capital. The proposed rights issue will be worth around Rs 349.4 million.
The company’s current paid-up capital stands at Rs 1.39 billion. If the proposed rights issue is approved and implemented, the company’s paid-up capital will increase further.
Along with the rights issue proposal, the company will also present a proposal to amend its memorandum and articles of association as required. The board of directors will also be authorised to make additional amendments if directed by the regulatory authorities.
The meeting will also discuss granting authority to the board to move ahead with merger or acquisition procedures if a suitable institution is identified.
For the purpose of the annual general meeting, the company has decided to close its book on July 3. This means shareholders maintained in the company’s records before the book closure date will be eligible to participate in the meeting.
The company has not proposed any dividend for shareholders this time.
The meeting will also discuss regular agenda items, including the annual report, audited financial statements, auditor appointment and other related matters.
The proposed rights issue is being viewed as part of the company’s plan to strengthen its capital base. However, the proposal will require approval from the annual general meeting and final permission from the regulatory authorities before implementation.
