नुम्बुर हिमालय हाइड्रोपावर लिमिटेडले आईपीओ निष्कासनको प्रस्ताव राख्दै कात्तिक ७ गते आफ्नो साधारणसभा आह्वान गरेको छ। सभा कम्पनीको रजिस्टर्ड कार्यालय, नक्साल, काठमाडौंमा बिहान ११ बजेबाट सुरु हुनेछ।
मुख्य एजेन्डाहरू:
आईपीओ निष्कासन: कम्पनीले आईपीओ निष्कासनका लागि साधारणसभा मार्फत प्रस्ताव पारित गर्नेछ।
वित्तीय प्रतिवेदन: सभाले गत आर्थिक वर्षको प्रतिवेदन, वासलात, नाफा-नोक्सान हिसाब, नगद प्रवाह विवरण लगायतका वित्तीय विवरणहरू छलफल गरी पारित गर्नेछ।
लेखापरीक्षक नियुक्ति: चालू आर्थिक वर्षका लागि लेखापरीक्षकको नियुक्ति र पारिश्रमिक निर्धारण गर्ने प्रस्ताव पनि पारित गरिनेछ।
विशेष प्रस्ताव:
आईपीओ निष्कासन गर्नका लागि प्रबन्धपत्र वा नियमावली संशोधन गर्न सञ्चालक समितिलाई अख्तियारी प्रदान गरिने।
प्रबन्धपत्रमा प्रिमियम मूल्यको शेयर जारी गर्न सक्ने व्यवस्था गर्ने प्रस्ताव पनि सभाले पारित गर्नेछ।
कम्पनीको आईपीओ निष्कासन प्रस्ताव पारित भएमा, नुम्बुर हिमालय हाइड्रोपावरले सार्वजनिक शेयर निष्कासनमार्फत पुँजी जुटाउन सक्नेछ।
Numbur Himalaya Hydropower Limited has announced the issuance of an IPO and called for its general meeting on Kartik 7 (October 23). The meeting will take place at the company's registered office in Naxal, Kathmandu, starting at 11 AM.
Key Agendas:
IPO Issuance: The company will propose the issuance of an IPO, which will be approved through the general meeting.
Financial Reports: The meeting will discuss and approve financial statements, including the balance sheet, profit and loss account, and cash flow details from the previous fiscal year.
Auditor Appointment: The proposal to appoint an auditor for the current fiscal year and determine their remuneration will also be approved.
Special Proposals:
The board of directors will be authorized to amend the memorandum and articles of association to facilitate the IPO issuance.
The meeting will also pass a proposal to allow the issuance of shares at a premium price by amending the memorandum.
If the IPO issuance proposal is approved, Numbur Himalaya Hydropower will be able to raise capital through a public share offering.
