युनिक नेपाल लघुवित्त वित्तीय संस्था लिमिटेडले छैटौं वार्षिक साधारणसभा (एजिएम) पुस १० गते (डिसेम्बर २५, २०२४) कोहलपुर नगरपालिका-४, होटल सेन्ट्रल प्लाजामा बिहान १० बजे बोलाउने निर्णय गरेको छ। साधारणसभाले कम्पनीको रणनीतिक दिशामा महत्त्वपूर्ण निर्णय गर्ने अपेक्षा गरिएको छ।
लाभांशसम्बन्धी प्रस्ताव समावेश छैन
यस पटकको साधारणसभा एजेन्डामा लाभांश वितरणसम्बन्धी कुनै प्रस्ताव समावेश गरिएको छैन। यो निर्णय कम्पनीले आफ्नो दीर्घकालीन लक्ष्य हासिल गर्न वा सञ्चालन स्थिरता कायम राख्न पुँजी जोगाउने रणनीतिलाई प्राथमिकता दिएको संकेत हुनसक्छ।गाभ्ने/गाभिने प्रस्तावको अधिकार दिने विशेष प्रस्ताव
साधारणसभामा कुनै अन्य लघुवित्तसँग गाभ्ने वा गाभिने प्रस्ताव आएमा सो कार्यका लागि सञ्चालक समितिलाई अधिकार दिने विशेष प्रस्ताव प्रस्तुत गरिनेछ। यो नेपालका लघुवित्त क्षेत्रमा भइरहेका एकीकरणका प्रवृत्तिसँग मेल खाने कदम हो, जसले सञ्चालनको प्रभावकारिता र वित्तीय मजबूतीमा सहयोग पुर्याउन सक्छ।आर्थिक प्रतिवेदनको अनुमोदन
गत आर्थिक वर्षको वासलात, नाफा-नोक्सान हिसाब, नगद प्रवाह विवरणजस्ता वार्षिक वित्तीय प्रतिवेदनमाथि छलफल गरी पारित गर्ने एजेन्डा पनि साधारणसभामा राखिएको छ।लेखापरीक्षक नियुक्ति
चालू आर्थिक वर्षका लागि लेखापरीक्षक नियुक्ति र पारिश्रमिक निर्धारण गर्ने प्रस्ताव पनि प्रस्तुत गरिनेछ, जसले कम्पनीको वित्तीय पारदर्शिता र अनुपालनमा योगदान पुर्याउँछ।
साधारणसभा प्रयोजनका लागि कम्पनीले पुस २ गते (डिसेम्बर १७, २०२४) बुक क्लोज गर्ने निर्णय गरेको छ। पुस १ गतेसम्म कायम सेयरधनीले साधारणसभामा सहभागी हुने योग्यता प्राप्त गर्नेछन्।

No Dividend Proposal
Shareholders should note that the AGM agenda does not include any proposals for dividend distribution. This might suggest the company’s intent to focus on capital conservation or reinvestment, likely to support its long-term goals or operational stability.Authorization for Future Mergers/Acquisitions
A special proposal will seek to authorize the board of directors to initiate mergers or acquisitions with other microfinance institutions. This move aligns with the broader trend of consolidation in Nepal’s microfinance sector, aimed at improving operational efficiency and financial robustness amidst regulatory pressures.Approval of Annual Financial Reports
The meeting will review and approve the institution's annual financial performance, including the balance sheet, profit and loss statement, and cash flow for the previous fiscal year. This is a standard yet crucial process to maintain transparency and accountability toward shareholders.Appointment of Auditor
Proposals to appoint an external auditor for the current fiscal year and determine their remuneration will also be tabled, reinforcing the company’s commitment to financial compliance.
To facilitate participation, the company has announced a book closure on December 17, 2024. Only shareholders holding shares as of December 16, 2024, will be eligible to attend the AGM.
