शेयर बजार सुधारका लागि कम्पनी ऐन, २०५३ मा ५ बुँदे संशोधन सरकारले शेयर बजार सुधारका लागि कम्पनी ऐन, २०५३ मा महत्वपूर्ण संशोधन गरेको छ। अर्थ मन्त्रालयद्वारा आज आयोजित पत्रकार सम्मेलनमा पाँच बुँदे संशोधनका प्रावधानहरू सार्वजनिक गरिएका छन्। संशोधन अनुसार, स्टार्टअप कम्पनीहरूलाई प्रवर्धन गर्न चूक्ता पुँजीको ४० प्रतिशत र कम्पनीको २० प्रतिशतसम्म शेयर व्यक्ति विशेषलाई उपलब्ध गराउन सकिने व्यवस्था गरिएको छ। यस्तै, प्राइभेट कम्पनीका सहभालकले अर्को प्राइभेट कम्पनीमा पनि सहभालक बन्न सक्ने कानूनी अधिकार पाउने व्यवस्था थप गरिएको छ। बैंक, वित्तीय संस्था, र बीमा क्षेत्रबाहेकका पब्लिक कम्पनीका सहभालक बन्नका लागि सहजीकरण गरिने तथा प्राइभेट कम्पनीलाई प्रिमियम मूल्यमा आइपीओ जारी गर्ने प्रक्रियालाई सरल बनाउन कम्पनी रजिस्ट्रार कार्यालयको थप स्वीकृतिको आवश्यकता हटाइएको छ। कम्पनी दर्ता प्रक्रियालाई सहज बनाउनेतर्फ सरकारले विशेष ध्यान दिएको छ। हालसम्म सहभालक विवरण नपेश गर्ने वा बन्द गर्नुपर्ने कम्पनीहरूलाई न्यूनतम जरिवाना तिर्नुपर्ने व्यवस्था गरिएको छ। सरकारका अनुसार यी संशोधनले शेयर बजारमा सुधार ल्याउँदै आर्थिक क्षेत्रको विकास र लगानीकर्ताको विश्वास अभिवृद्धि गर्ने अपेक्षा गरिएको छ।5-Point Amendment to Companies Act 2053 for Stock Market Reform The government has introduced significant amendments to the Companies Act, 2053, aimed at reforming the stock market. नेपाल धितोपत्र बोर्डले लामो समयदेखि रोकिएको साधारण शेयर निष्काशनका लागि प्रक्रिया पुनः सुरु गरेको छ। बोर्डले क्रेष्ट माइक्रो लाइफ इन्स्योरेन्स लिमिटेड र ओम मेगाश्री फार्मासिटिकल्सलाई साधारण शेयर बिक्रीका लागि अनुमति दिएको हो। क्रेष्ट माइक्रो लाइफ इन्स्योरेन्स लिमिटेडलाई २२ करोड ५० लाख रुपैयाँ बराबरको २२ लाख ५० हजार कित्ता शेयर बिक्रीका लागि माघ ३ गते अनुमति दिइएको छ, जसको शेयर बिक्री प्रबन्धक एनआइएमबी एस क्यापिटल रहेको छ। अर्कोतर्फ, ओम मेगाश्री फार्मासिटिकल्सलाई १८ करोड रुपैयाँ बराबरको १८ लाख कित्ता साधारण शेयर बिक्रीका लागि स्वीकृति दिइएको छ, र यसको शेयर बिक्री प्रबन्धक प्रभु क्यापिटल रहेको छ। यी दुई कम्पनीलाई कुल ८५ करोड ५० लाख रुपैयाँ मूल्य बराबरको ८५ लाख ५० हजार कित्ता साधारण शेयर बिक्रीका लागि अनुमति दिइएको छ।The Securities Board of Nepal (SEBON) has resumed the process for the issuance of ordinary shares, which had been on hold for a long time. Crest Micro Life Insurance Limited has been allowed to issue 22.5 lakh shares worth NPR 225 million, with the share issuance manager being NIMB S Capital. Meanwhile, Om Megashree Pharmaceuticals has been granted approval to issue 1.8 million shares worth NPR 180 million, with Prabhu Capital as the share issuance manager. Together, the two companies have been allowed to issue 8.55 million shares worth a total of NPR 855 million.
